1.0 Sealed tenders are invited from competent firms with sound technical and financial capability on Lump
Sum Turnkey Contract (LSTK) basis on behalf of MRPL as detailed hereinafter. Bids meeting the
Bidder’s Qualification Criteria specified in this Tender Enquiry Document only shall be considered for
evaluation.

1.1 Name of Work Lump Sum Turnkey Contract for Developing, Designing,
Engineering, Procurement, Factory Testing, Transporting to Site,
Supply, Erection, Construction, Commissioning and Performance
Testing including Site Investigation, site Development and all
related Civil, Mechanical, Electrical and Control & Instrumentation
works for 30 MLD Seawater RO Desalination Plant with partial
BWRO and blending, complete intake and outfall systems, Cross
country piping of about 11 kms for conveying product water to
MRPL refinery and 10 years of O&M with all spares and
consumables including membranes. The scope also includes
product water distribution within the refinery and near shore
protection of existing SPM pipeline for MRPL at Thannirbhavi,
Mangalore, Karnataka, India

1.2 Earnest Money Deposit Rs. 24,005,200 (Rupees twenty four million five thousand two
hundred only) for Indian bidders and

USD 358,290 (US Dollars three hundred fifty eight thousand two
hundred ninety only) for foreign bidders

2.0 The unpriced part (Part 1) of the tenders will be opened at 15:00 HRS on Thursday, 28 June
2018 at Fichtner Consulting Engineers (India) Pvt. Ltd., Chennai in the presence of the
attending bidders or their authorized representatives, if any. The time, date and place of opening of
the price part (Part 2) of the tender shall be intimated at a later date to the bidders whose tenders
are found technically acceptable.

3.0 Owner / Consultant take no responsibility for delay, loss or non-receipt of tenders sent by post and

4.0 No extension of time for submission of tender shall be considered.

5.0 Owner/Consultant reserve the right to assess bidder’s capability and capacity to execute the
contract by taking in to account various aspects such as concurrent commitments performance
etc., of the bidder and accordingly decide whether their price bids shall be opened and considered
for further evaluation.

2.0 BIDDER’S QUALIFICATION CRITERIA

2.1 BIDDER QUALIFICATION CRITERIA (BQC)

Bidders intending to participate shall fulfill all of the following qualification criteria:

2.1.1 TECHNICAL CRITERIA

[Link] Bidder shall have experience of having carried out and successfully completed all of the following
works, within previous Ten years ending last day of the month preceding to the one in which this bid
is invited:

a. Detailed Engineering, procurement and Supply, Construction, Erection, Testing,

Commissioning and Successful completion of PGTR (Performance Guarantee Test Run) in a
single contract, of at least one Sea Water Reverse Osmosis (SWRO) based Desalination Plant
of minimum production capacity of 30MLD. This Plant shall have been in satisfactory operation
for at least one year from the date of commissioning.

b. Operation and maintenance of minimum 30 MLD Sea Water Reverse Osmosis Desalination
plant for a period of at least 36 months.

c. Engineering, Fabrication and Erection of sub-sea dredged and buried pipe line for sea water
intake / reject facility of at least 1000mm pipe diameter

[Link] In case the bidder by themselves do not have the above sea water intake / reject facility related
experience as per clause2.1.1.1 (c), they may associate with a Contractor to meet the criteria
specified in clause [Link] (c) above Such Contractor shall have successfully completed the scope
within previous Ten years ending last day of the month preceding to the one in which this bid is
invited .

Bidder shall enter into agreement with such agency for execution of sea water intake / reject facility
related scope of work. Copy of such agreement and supporting credentials shall be submitted along
with the bid. In such a case, the bidder shall meet the criteria mentioned in clauses [Link](a) &
[Link](b) through his reference work order only. Bidder shall be solely responsible for the entire
scope of work including Performance Guarantee under the Contract.

An undertaking shall be furnished by the associate member stating that he is not associated with any
other company for this particular bid.

[Link] The Bidder shall submit details of experiences along with documentary evidences such as copies
of the following documents in support of their meeting the above stipulated Eligibility Criteria:

a. Letter of Award / Work order / Contract agreement in support of experience prescribed

against clauses [Link](a),[Link](b) &[Link](c) OR clauses [Link](a), [Link](b) &
[Link] above, which should contain date and reference number of Letter of Award / Work
order / Contract agreement the complete scope of work.

b. Completion & Commissioning certificate issued by Client for successful completion &
commissioning of work as mentioned in clauses [Link](a),[Link](b) & [Link] (c) OR
clauses [Link] (a) , [Link] (b) &[Link] above, which should contain date and reference
number of Letter of Award / Work order / Contract agreement the complete scope of work.

c. Please note that these references furnished by the Bidder in support of meeting the
Technical Criteria will not be considered in the absence of the certificates mentioned above.

d. A job executed by the Bidder for his own plant / project cannot be considered as meeting
the Technical Criteria.

e. Client certificate for one year satisfactory operation from the date of commissioning.

[Link] The above documents are mandatory and in case these documents are not enclosed with the bid,
such works may not be considered as meeting the Technical Criteria. Only such orders, the details
of which have been submitted by the bidders as per enclosed Formats A, B, C along with copy of
order and completion certificates, shall be taken into consideration.

2.1.2 FINANCIAL CRITERIA

[Link] Annual Turnover

The Average Annual Financial Turnover of the bidder during the last 3 years ending 31st March of
the previous financial year should be at least INR1305,400,000 ( Indian Rupees one thousand three
hundred five million four hundred thousand only) or USD 19,482,270 (US Dollars nineteen Million
four hundred eighty two thousand two hundred seventy only ) in the case of an overseas bidder

Note: For any Bidder, as per their company policy if the financial year ending is other than 31st
March, then in that case the financial year as followed in their company shall be applicable.

[Link] Net Worth

Net worth of the bidder shall be positive as per the immediate preceding year’s audited annual
financial results.

[Link] Working Capital

a. Bidder should have minimum working capital of INR 274,900,000 (Indian Rupees two hundred
seventy four million nine hundred thousand only) or USD 4,101,535 (US Dollars Four Million one
hundred one thousand five hundred thirty five only) in the case of an overseas bidder as per the
immediate preceding year’s audited annual financial results.

b. In case the Bidder is unable to meet the Working Capital requirement then they can supplement
the Working Capital with a fund based Line of Credit from any scheduled bank in India or a
commercial bank having Net Worth more than equivalent to INR 1000 Million (Indian rupees one
thousand million)In such a case the Bidder shall furnish a declaration ( as per prescribed in
Format E attached to Notice Inviting Tender) from the bank ( dated any date between Tender
Notification date and Bid due date for submission) for availability of unutilized fund based line of
credit for the short fall in Working Capital.

2.1.3 Declaration on Liquidation, Holiday List

a. The Bidder and any agency with whom the bidder is associating for sea water intake / reject
facility, if applicable as detailed in clause2.1.1.2 shall not be under liquidation, court receivership
or similar proceedings. A declaration to this effect shall be given by the bidder and any agency
with whom the bidder is associating.

b. The Bidder and any agency with whom the bidder is associating for sea water intake / reject
facility, if applicable as detailed in clause [Link] above should not be in Holiday list / Negative
List of CONSULTANT/MRPL as on due date of submission of bids / during the process of
evaluation of the bids. The offer of such a bidder shall not be considered for bid
opening/evaluation/award. An undertaking with regard to the same shall be submitted.

2.1.4 Mandatory Notes

a. Consortium / Joint Venture is not permitted for this tender.

b. A job executed by a bidder for its own plant / projects cannot be considered as experience for
the purpose of meeting requirement of Bid Qualification Criteria under [Link]. [Link](a), [Link]
(b) and [Link] (c) OR [Link](a), [Link](b) and [Link] of the Notice Inviting Tender.

c. A job executed by subsidiary of the bidder cannot be considered as experience for the purpose
of meeting requirement of Bid Qualification Criteria under [Link](a), [Link] (b) and [Link] (c)
OR [Link](a), [Link](b) and [Link] of the Notice Inviting Tender.

d. Indian Bidders shall quote their Prices in Indian Rupees only. Foreign bidders may quote their
prices in any one of the following currencies

a. US Dollars/ Euro / Yen/ Pound Sterling.;

e. In case of Foreign Bidders, if the Annual Turnover is in currency other than USD, the same shall
be converted into equivalent USD considering the conversion factor indicated in Bidder’s
Audited Financial Report. In case the same is not indicated, the conversion rate of USD as on
last date of Bidder’s financial year shall be considered based on RBI reference Rates.

f. In case the last financial year closing date is within 9 (nine) months of bid due date and audited
annual report of immediate preceding financial year is not available, bidder has the option to
submit the financial details of the three previous years immediately prior to the last financial
year. Otherwise, it is compulsory to submit the financial details of the immediate three preceding
financial years

g. In case a bidder is having wholly owned subsidiaries but only a single consolidated annual report
is prepared and audited which includes the financial details of their wholly owned subsidiaries,
consolidated audited annual report shall be considered for establishing the financial criteria
subject to statutory auditor of the bidder certifying that separate annual report of bidder (without
the financial data of subsidiaries) is not prepared and audited.

h. Further, in case a bidder is a subsidiary company and separate annual report of the bidder is not
prepared & audited, but only a consolidated annual report of the Parent Company is available,
consolidated audited annual report shall be considered for establishing the financial criteria
subject to statutory auditor of the parent company certifying that separate annual report of
bidder is not prepared and audited.

i. Bidder shall complete and submit Technical Criteria Formats A, B and C and Financial Criteria
Format D with the Bid along with all the documents as mentioned in the Notice Inviting Tender
in order to establish that the Bidder meets the Bidder Qualification Criteria as per Cl. No 2.1 of
BQC.

j. The bidder shall, in his own interest, furnish complete documentary evidence to justify that the
bidder meets the Qualification criteria as given above.

k. Bidder shall furnish documentary proof of fulfilling the “Bidder Qualification Criteria” as
mentioned in above. The documentation shall include but not limited to copies of work order(s) /
contract agreements(s) / relevant pages of contract document(s), completion certificate(s),
fulfilling the qualification criteria, complete annual reports containing audited balance sheets and
profit & loss accounts statement etc. MRPL / CONSULTANT reserves the right to complete the
evaluation based on the details furnished without seeking any additional information.
l. All supporting documents, pertaining to “Bidder Qualification Criteria (Technical as well as
Financial)” shall be submitted duly authenticated as follows:

m. Documents shall be submitted duly certified by Statutory Auditor of the bidder or a practicing
Chartered Accountant (not being an employee / Director and not having any interest in the
bidder’s company) where audited accounts are not mandatory as per law.

OR

Bidder shall submit documents duly notarized by any notary public/ Apostille in the bidder’s
country or certified true copies duly signed, dated and stamped by an official authorized for this
purpose in Indian Embassy/ High Commission in Bidder’s country.

OR

Bidder shall submit self-certified documents in original from any one out of CEO or CFO or
Company Secretary of the bidder (Limited company only) along with Self-Certification as per
Format F attached to Invitation to Bid. This option shall not be applicable to Proprietorship/
Partnership firms.

n. In the event of submission of any document/ certificate by the bidder in a language other than
English, the bidder shall get the same translated into English and submit the same after getting
the translation duly authenticated by local Chamber of Commerce of bidder’s country.

o. Bidder shall confirm that all authenticated documents submitted for meeting the BQC are
certified as per the authentication requirement defined in the bidding document.

p. It is clarified that if authenticated documents are either not submitted through e-tendering or not
submitted in original, in physical form, offer shall not be considered.

q. However, in case the bidder submits either a photo copy of published statement or a translated
copy of the published financial statements, the same shall be certified either by statutory auditor
or Notary Public, in original as per Clause l above.

r. Any additional documents if deemed necessary to establish the qualifying requirements may be
submitted by the Bidder.

s. Submission of authentic documents is the prime responsibility of the Bidder. In addition,

CONSULTANT /MRPL may verify the credentials of the Bidders before award as per their
prevailing guidelines.

t. MRPL/ CONSULTANT reserves the right to complete the evaluation based on the details
furnished (without seeking any additional information) and / or in-house data, survey or
otherwise.

u. Failure to meet the above Qualifying Criteria at -2.1.1 & 2.1.2 above will render the bid to be
summarily rejected.

v. Bidders are required to submit all such Proven Track Records (PTR) meeting the BQC along
with relevant supporting documents in the first instance itself, along with the bid. Accordingly,
only such past experience(s) shall be considered for qualification, details of which are provided
in the bid by the bidder and subsequently no additional Proven Track Records (PTR) shall be
sought from the bidder.
