Further to your interest and subsequent representation with respect to necessary qualification, experience and facility
to execute and deliver the required work to our satisfaction, we are pleased to appoint you as our “FREELANCER/
GIG CONSULTANT” (hereinafter also referred to as Consultant or you or your) under our “RizeUp India”
Programme, with effect from the date mentioned in this letter and on such terms and conditions as mentioned
herein below. Term We, us and our wherever referred in this Work Order shall mean NetAmbit ValueFirst Service
Private Limited.

RizeUp India” PROGRAMME : We have designed and launched a Programme on pan India basis, of creating a
network of Freelancer/gig consultants who are willing to work on flexible work hours, basis their free will and
availability. They are also willing to be paid on per task basis and/or output basis. This is being done through an
innovative programme called “RizeUp India” with an objective to create income opportunities for millions of
Indians specially in tier II, III, IV cities and rural India by training these people and by bringing flexible income
earning opportunities in their respective cities/villages.

1. Scope of Service

The Freelancer/gig consultant agrees to go through and complete a training program designed by NetAmbit
under its “RizeUp India” initiative for those who agree to work as freelancers and provide their services at their
free will.

Upon completion of the training and subject to the terms and conditions of this Work Order, the Freelancer/gig
consultant will reach out and provide such services as may be prescribed, on a non-exclusive basis, without any
minimum commitment as to volume or value.

If any services, functions or responsibilities not specifically described in this Work Order to be performed by the
Freelancer/gig consultant which are an inherent, necessary or customary part of the Services or are required for
proper performance or provision of the Services in accordance with this Work Order, they shall be deemed to be
included within the scope of the Services to be delivered for the agreed upon fees, as if such services, functions
or responsibilities were specifically described in this Work Order.

Freelancer/gig consultant shall not subcontract or outsource any Services to any third party or to any sub-
contractor.
 Upon establishing of any defects or error in completion of any assignment, the Freelancer/gig consultant shall
be provided with a period of two (02) days in which he has to cure the error and defects. If the error and defects
is not cured during the foregoing 02 days period, then such Assignment shall not be treated as complete and the
Freelancer/gig consultant shall not claim payment and we shall not pay for all those incomplete assignments.

2. Freelancer/gig consultant’s Fees/Payment Terms:

We will make the payments to you on the basis of number of task/assignment completed, as per our
confirmation, within a period of 1 (One) calendar week as per the commercials given in Annexure A, on subsequent
Thursday. The payment will be subject to applicable withholding tax as may be applicable from time to time.

We will share with you details of tasks/assignments completed by you during the period of a calendar week, if you
wish to raise any issue or find discrepancy in it, you may raise your query within 1 day from the receipt of the said
report. However, our decision, with respect to each task/assignment successfully completed shall be final and
payment shall be processed accordingly.

Any and all payment shall be made solely on the basis of the parameters as mentioned above or such other
parameters as may be revised from time to time and communicated to the Agent through an e-mail in writing.

3. No Agency or partnership between the Parties

Nothing contained in this Work Order shall be construed as to create the relationship of employer-employee,
partners, collaborators, joint-venture or principal-agent between the Freelancer/gig consultant and us. The
relationship shall be on a principal to principal basis and neither you or we shall bind each other by its acts, deeds
or omissions. You will be free to work as per your convenience and availability of time. There is no requirement
from our side as to when or how long you should work during a day.

4. Data Protection:

a) Freelancer/gig consultant shall protect the data collected during the course of providing their services, by
making reasonable arrangements to prevent unauthorized access, collection, use, disclosure, copying,
modification, disposal (or similar risks);
b) On or before termination of this Work Order the Freelancer/gig consultant shall promptly send all data to us
and will delete and destroy them from his all mobile, computer and all other storage device in such a way
that the said data cannot be retrieved and used further in any manner whatsoever .

5. Term & Termination

We may exit from the Work Order by giving 1 (one) week’ notice in writing to you. However, we may terminate
this work order immediately, without assigning any reason whatsoever, in following event:

a) Fake / Fraudulent / Non-compliant work by the Freelancer/gig consultant

b) Non-compliance by the Freelancer/gig consultant of terms governing territory, standard operating procedure as
may be communicated to him from time to time.
c) If the Freelancer/gig consultant is found to be any involved in any offence involving moral turpitude.
d) If, any criminal proceeding is instituted against the Freelancer/gig consultant.
 e) Force Majeure : In the event of any force majeure event such as fire; flood; epidemy; lightning; explosion; war;
embargo; act of God or nature; acts or failures to act of any governmental authority; or any other causes beyond
anyone’s reasonable control.

6. Representations and Warranties.

The Freelancer/gig consultant represents, warrants and covenants to the NetAmbit that:

a) Its performance of this Work Order shall not in breach any other Work Order or obligation with any third
party and he shall keep any information or materials in trust or in confidence;

b) He has the skill, experience and qualification required to discharge the Services in a professional manner

c) The Freelancer/gig consultant shall at all times during the Term of this Work Order be and act as an
independent contractor. The Freelancer/gig consultant shall not mislead or induce any one to believe, that the
he is being employed by NetAmbit or is engaged in any other capacity whatsoever.

d) The Freelancer/gig consultant shall be solely responsible for all acts and omissions arising as a result of
performance of his Services pursuant to this Work Order. NetAmbit shall not be responsible in any manner
whatsoever for such acts or omissions of the Freelancer/gig consultant.

e) All cost and or expenses and or liabilities and or obligations incurred by the Freelancer/gig consultant shall be
his sole responsibility and he shall not claim any of them either from NetAmbit.

f) The Freelancer/gig consultant shall not indulge in any fake/fraudulent or immoral activities of any kind.

g) The Freelancer/gig consultant shall not ask for and obtain any KYC documents in physical form of the
clients/customers/any other individual/business contacted in the course of this activity.

h) The Freelancer/gig consultant shall not ask for cash or other reward from the clients/customers/any other
individual/business contacted in the course of this activity.

7. Limitation of Liability

In no event we shall we be liable to the Freelancer/gig consultant for special, incidental, indirect or
consequential damages, damages from loss of use, data, profits or business opportunities whether in contract or
tort, even if we have been advised in advance of the possibility of such loss, cost of damages, arising out of or in
connection with this Work Order.

Notwithstanding anything to the contrary, the aggregate liability of us to the Freelancer/gig consultant from any
cause whatsoever under this Work Order or otherwise shall not in any event exceed INR 1000/- (Indian National
Rupees One Thousand Only).

8. Indemnity

The Freelancer/gig consultant shall indemnify, defend and hold harmless NetAmbit its subsidiaries, Affiliates
and divisions and its successors, assigns, officers, directors, shareholders, subcontractors, agents, employees and
representatives, from and against any and all claims, liabilities, damages, debts, settlements, costs, attorneys’
fees, expenses and liabilities of any type whatsoever that may arise on account of the Freelancer/gig consultant’s
acts or omissions, including, without limitation, any term, representation or warranty of this Work Order.
 9. Confidentiality

The Freelancer/gig consultant shall not make any statement or release any information concerning NetAmbit,
without their prior written approval. The Freelancer/gig consultant undertakes to treat all Confidential
Information as strictly confidential during the term of this Work Order and thereafter and therefore not to
disclose it to any third party or make any commercial use of it without the prior written and express consent.

The confidentiality obligation described in the above Section shall not apply to (a) information which, prior to
the Effective Date, was already in the public domain; (b) Information which, after disclosure, becomes part of
the public domain by publication through no violation of this Work Order; (c) information which the
Freelancer/gig consultant is able to prove to have been in its possession prior to any disclosure.

10. Governing Laws, Jurisdiction and Dispute Resolution

This Work Order and any disputes arising hereunder shall be governed in accordance with the laws of India
without regard to principles of conflict of laws. The Parties hereto consent to and agree to submit to the
exclusive jurisdiction of the courts of New Delhi, India.

THE PARTIES HAVE EXECUTED THIS WORK ORDER ON THE DATE MENTIONED ABOVE.

viii) Do not use same merchant email id for multiple on boarding
ix) Do not use same pan card/Bank account no. and Mobile no. for Multiple on boarding

4. Commercials

Fees: Rs. 100/- shall be paid to you for every successful on boarding.

Incentive: In addition to above fees, you will also be eligible for incentive with effect from 8th June, 2020
onwards, as per following slab:
