RETAINER LEGAL SERVICES

Dear Ms. Amanda owner of Restaurant Heart Space,

1. Following our conversation with your manager Pak Nyoman, by phone


yesterday, we hereby provide legal services in relation to handle a retainer legal
services to assist your business in Ubud Bali;

2. . For such Matter our scope of work will include:


a. Review and analyze all law problems;
b. Making review and legal consultants for your business maximum 25
hour a month;
c. Providing and send a invitation letter or warning letter for third party;
d. Attending of meeting for mediation or negotiation on behalf your
company;
e. Assistant and give legal consultants for your business regarding the
law of Indonesia;
f. Giving such progress report to the client and such things needed by
client.

3. For the scope of work regarding the abovementioned services, we will charge
you :
lawyer fees is Rp.8.000.000,- (eight million Rupiah) every month, will give you
invoice in the end of month since this proposal you are agreed and our this
proposal for make agreement for 1 (one) year agreement.

4. The Lawyer Fee includes disbursements; international telephone calls and faxes,
couriers, stamp duty, search fees, printing, photocopying but not including out of
pocket expenses and traveling out of Bali in relation to the work. If other
professional advisers or services such as notaries, translators, tax consultants or
other independent agents needed to be engaged for the purpose of the Matter,
they will be engaged as client’s agent and client will be responsible for their fees
in addition to our own.

6. We hereby declare that we owe duty of care and a duty of confidentiality to every
clients. All the information received will be treated as confidential and we shall not
disclose the confidential information unless required by law. Any advice we
provided is for the benefit of the clients only and must not be used by or relied
upon by third parties. Our duty of care is to our client and does not extend to third
parties except where such responsibility is accepted by our client;

7. For efficiency and to minimize costs, we will communicate with you by electronic
mail (‘email’). Unless you instruct to do otherwise in writing, we will continue to
communicate by email.

Should you agree to the above mentioned Proposal, scope of work and fees, we
would issued a Power Of Attorney letter today and also please kindly sign and return
this Proposal.
