This non-disclosure undertaking is between University of Pertamina ("UP") and an examiner reviewing UP's proposal for fund application. The examiner agrees to maintain confidentiality of all information provided, except if it was already public, independently developed, lawfully disclosed by a third party, or disclosed via court order. The examiner also agrees not to use confidential information for personal gain or disclose it without written consent. All confidential information remains UP's property and must be returned or destroyed upon UP's request.

NON-DISCLOSURE UNDERTAKING

NUMBER: /UP-WR3/NDU/XII/2017

This Non-Disclosure Undertaking (hereinafter referred to as “the Undertaking”) is made on this ___
day of December 2017 by ______________(ID Number: _________________________) (hereinafter
referred to as “the Examiner”), an individual with main address at _____________________

This Undertaking is for the disclosure of proprietary and confidential information (hereinafter referred
to as “Confidential Information”) connected with and relating to the content discussed in the proposal
for University of Pertamina fund application (hereinafter referred to as “the Proposal”) provided by
University of Pertamina (“UP”) (hereinafter referred to as “the Disclosing Party) to the Examiner for
review.

1. The "Confidential Information" shall mean all information and documents identified as or
which may reasonably be regarded by the Disclosing Party as confidential, regardless of
whether these have been identified as being secret or confidential, and which are disclosed by
the Disclosing Party or obtained by the Examiner. Any information which is expressly named
or marked as being confidential shall include information which relates to the Disclosing
Party’s past, present and future research, development or business activities and may include,
without limitation, information of the Disclosing Party and its Affiliates such as documents,
files, prints, reproductions, designs, drawings, specifications, programs and technical
information residing in any of these said documents. This includes information and material
demonstrated and furnished verbally which may reasonably be regarded by the Disclosing Party
as confidential.

2. The Examiner agrees to receive and hold in confidence the Confidential Information discussed
in the above Proposal, except for any information which:

(a) Was already known to the Examiner at the time of disclosure by the Disclosing Party;
(b) Was already public knowledge at the time of disclosure by the Disclosing Party;
(c) Became public knowledge after the time of disclosure other than through any act or
omission of the Examiner in breach of this Undertaking;
(d) Is developed by the Examiner independently of the Confidential Information;
(e) Is subsequently, lawfully disclosed to the Examiner by a third party; or
(f) Is ordered to be disclosed by a court.

3. The Examiner shall not use the Confidential Information for the Examiner’s personal gain and
he/she shall not disclose any Confidential Information to any other person without first
obtaining the prior written consent of the Disclosing Party.

4. All Confidential Information delivered by the Disclosing Party to the Examiner will be and
shall remain the property of the Disclosing Party at all times. All Confidential Information, and
any copies thereof, will be immediately returned to the Disclosing Party or destroyed by the
Examiner upon the Disclosing Party’s written request.

5. This Undertaking shall not be modified except by written notice by the Disclosing Party to the
Examiner.
