CONTRACT AGREEMENT for MEP Works
This agreement is made between …………………………………….., having its registered office
in …………….., Nepal (PAN No: ………….) hereinafter called “FIRST PARTY” and M/s Airtech
Industries (P) Ltd. having its registered office on 1 st Floor, Sharda Group Tower, Panchayan
Marg, Thapathali, Kathmandu, Nepal (PAN No.: 500177714) hereinafter called “SECOND
PARTY” on 20th ……………….
The Scope of the agreement is to Supply, delivery, Installation, Testing and Commissioning of MEP
Works at the property of First Party at Banepa as per the attached revised offer Ref. no.
AIPL/QUOT/080-81/0361/ dated ……………..
The Total Cost as per the offer is NRs. ……………… excluding VAT (Nepali Rupees Three
Crores Sixty-Four Lacs Fifteen Thousand and Eighty-Four only). Details bifurcation is as

The above-mentioned amount is inclusive of all taxes and duties except VAT. The Final Bill
would be made as per the actual work done at the site with the unit prices being the same as
per the attached offer. The quantity measurement must however be done jointly by an
authorized representative of both parties.
TERMS & CONDITIONS:
1. The offer and detailed specifications attached herewith shall be deemed to form and be read
and construed as part of this Agreement. However, terms & conditions mentioned in the
attachments shall be superseded by this agreement in case of any duplication.
2. Scope of works: The Contractor shall be responsible to develop working drawing based on
the concept design, supply, execution, installation, testing & commissioning of complete
MEP works as mentioned in the attached BOQ. Major list of works involved in this contract
shall be
HVAC Works at Main Block, Block 1 & 2
Electrical work at Block 1 & 2
Plumbing work at Block 1 & 2
Firefighting work at Block 1 & 2
Fire Alarm works at Block 1 & 2
CCTV works at Block 1 & 2
3. Necessary supports like, Load, unload and shifting of equipment and materials, Bases,
supports or props / scaffolding required for the execution of work shall be provided from
second party.
4. The second party would provide a warranty for all the items against any manufacturing
defect for a period of One year (Sales & Service) from the date of handover.
5. Variation in Contract Price: The cost of any other items in the B.O.Q if desired shall be
provided by second party at the same unitary cost to first party. For any additional items not
mentioned in the Financial Offer but may be required during the course of Installation the
cost of same would be extra and as per the mutual consent of both the Parties.
6. The first party shall provide sufficient storage space with a lock and key for safe storage of
all the materials and tools at the site during the installation period along with free Electricity
& Water.
7. Any Civil work / False Ceiling work required for the installation of the system and the
Electrical Cables near the Indoor & Outdoor unit would be the responsibility of the First
Party.
8. Completion period: Total project under this agreement shall be completed & handed over to
the client within ……. days (…… months) from the date of this Agreement with Advance
payment. However, the Contractor shall not be responsible to handover the work in case of
delay in preceding works awarded to some other party.
9. Payment by the client shall be made in different installment as mentioned below:
a. 20% of the Contract Amount shall be paid as an advance along with the
Agreement.
b. 80% against the submission of running bill.
10. 2.5% Amount of the total contract value will be held as retention by the first party which will
be released after handover after First Party presents the Bank Guarantee valid for the defect
liability period of the amount equal to the retention amount.
11. The cost of any other items in the offer if desired shall be provided by the second party at
the same unitary cost to the first party. For any additional items not mentioned in the
Financial Offer but may be required during the course of Installation the cost of same would
be extra and as per the mutual consent of both the Parties.
Both of the parties to the contract hereby agree that they will abide by and adhere to the above
terms and conditions. Breach of any such condition/s by either to the parties shall be resolved in
conformity with the existing laws of Nepal.
