RCI UNITED STATES - TERMS OF MEMBERSHIP

1. INTRODUCTION

These Terms and Conditions of RCI Subscribing Membership set forth the legally binding contract
between Resort Condominiums International, LLC ("RCI" or "we") and each person who participates in
and/or uses subscribing membership benefits, including the RCI Exchange Program, or has the legal right
to own, occupy or use accommodations ("Vacation Ownership") in a resort, vacation club or vacation plan
which has affiliated with the RCI Exchange Program (an "Affiliated Resort") and who applies or is
accepted as a subscribing member in the RCI Exchange Program ("Members" or "you").

2. THE RCI EXCHANGE PROGRAM

RCI will allow participation in its program of facilitating the exchange of Vacation Ownership (the "RCI
Exchange Program") to all Members who comply with these Terms and Conditions. RCI from time to time
will send to such Members RCI's ENDLESS VACATION magazine, including the RCI DIRECTORY OF
RESORTS and its Supplements ("ENDLESS VACATION publications"). RCI is only responsible for
written representations that it makes concerning RCI and the RCI Exchange Program, and is not
responsible for any representations made by any other person or entity. The obligations of RCI under
these Terms and Conditions can be performed only by RCI, its authorized representative(s) or its
designated licensee(s).

3. APPLYING FOR MEMBERSHIP

A) To become a Member, an enrollment application and the applicable initiation and subscription
fees must be submitted to RCI by you or on your behalf and accepted by RCI. RCI reserves the
right to refuse any application and the applicable fees.

B) RCI will waive the initiation fee (currently $200) if your application, pertinent ownership
information and the applicable subscription fee are submitted to RCI when you purchase Vacation
Ownership.

C) Membership must be in the name of an individual(s) who own Vacation Ownership. If a

corporation, partnership, trust or other entity hold Vacation Ownership, an enrollment application
must be completed on behalf of the owner in the individual name of an officer, partner or trustee,
and RCI shall be entitled to treat such individual as the Member for all purposes.

D) Up to two co-owners of Vacation Ownership who reside at the same address may apply for a
single membership. If more than two co-owners are listed as owning the Vacation Ownership or if
co-owners do not reside at the same address, such co-owners, if they wish to become Members,
must apply for separate memberships. RCI may honor instructions from any person listed as a
co-owner of Vacation Ownership on a membership and, in the event of conflicting instructions,
RCI may refuse to honor the later instruction received.

4. RENEWING OR TRANSFERRING A MEMBERSHIP

A) Continuing membership is conditioned upon the payment of the applicable subscription fee for the
following year. You may renew or extend your membership at any time by forwarding to RCI the
applicable subscription fee, which is refundable on a prorated basis. However, if you fail to submit
the applicable subscription fee within ninety (90) days following the expiration of your
membership, we reserve the right to charge you the initiation fee in addition to the applicable
subscription fee. The payment of these fees is a condition of renewal or reactivation of your
membership, and RCI reserves the right at any time to refuse to accept these fees and to refuse
to renew or reactivate any membership.

B) If you sell or otherwise transfer your Vacation Ownership, the purchaser or transferee of your
Vacation Ownership may apply for membership by submitting to RCI a properly executed
membership transfer application, pertinent ownership information, and the applicable subscription
and initiation fees. If the above information and fees are received within forty-five (45) days of the
purchase of Vacation Ownership, RCI will waive the initiation fee. RCI reserves the right to refuse
to accept any membership transfer application and the applicable fees.

5. RELATIONSHIP BETWEEN RCI AND THE AFFILIATED RESORT OR ACCOMMODATING PARTY

A) The Affiliated Resort is a party to an agreement with RCI enabling the Affiliated Resort to submit
enrollment applications to RCI on behalf of purchasers of Vacation Ownership at the Affiliated
Resort. These Terms and Conditions are separate and distinct from RCI's agreement with the
Affiliated Resort or accommodating party. For purposes of these Terms and Conditions, the term
"accommodating party" shall mean a provider of accommodations or services other than Affiliated
Resorts.

B) RCI and the Affiliated Resort, developer, marketer, seller of Vacation Ownership or
accommodating party are separate and distinct entities, and RCI's service (The RCI Exchange
Program) is separate and distinct from the products or services that are sold by or on behalf of
the Affiliated Resort or accommodating party, including but not limited to Vacation Ownership.
RCI does not own, develop, market or sell Vacation Ownership nor is it engaged in a joint
venture, partnership or agency relationship with the Affiliated Resort, developer, marketer, seller
of Vacation Ownership or accommodating party. Further, these Terms and Conditions are
separate and distinct from your agreement with the Affiliated Resort, developer, marketer, seller
of Vacation Ownership or accommodating party.

C) If the Affiliated Resort fails to perform the obligations in its agreement with RCI, or if that
agreement ends for any reason, the Affiliated Resort may lose its Affiliated Resort status and RCI
may suspend or terminate the rights of existing Members who own Vacation Ownership at that
resort to participate in the RCI Exchange Program. Persons who own Vacation Ownership only at
such a resort and whose rights to participate in the RCI Exchange Program are suspended or
who allow their membership to expire may not be permitted to renew or reactivate their
membership. If any other accommodating party fails to perform the obligations in its agreement
with RCI, or if that agreement ends for any reason, RCI may suspend or terminate any benefits or
services offered by such accommodating party.

D) Your decision to purchase Vacation Ownership should be based primarily upon the benefits to be
gained from the ownership, use and enjoyment of your Vacation Ownership at the Affiliated
Resort and not upon the anticipated benefits of the RCI Exchange Program. The Affiliated Resort
at which you purchase your Vacation Ownership is solely responsible for its financial viability and
the quality of its accommodations, facilities, amenities, management and services and
compliance with all laws, rules and regulations. In addition, any accommodating party is solely
responsible for its financial viability and the quality of its accommodations, facilities, amenities,
compliance with all laws, rules and regulations, management and services.

E) Information about Affiliated Resorts and/or accommodating parties provided by RCI is based on
information obtained from Affiliated Resorts or accommodating parties, and RCI makes
reasonable efforts to ensure that Affiliated Resort and accommodating party information provided
by RCI is accurate and complete as of the date such Affiliated Resort and/or accommodating
party information is published by RCI. However, RCI expressly disclaims liability for inaccurate,
incomplete or misleading information concerning any Affiliated Resort or accommodating party.

6. DEPOSITING VACATION OWNERSHIP AND REQUESTING AN EXCHANGE

A) To participate in the RCI Exchange Program, you must be a current Member with your
subscription fee paid through the later of: (1) the final date of Vacation Ownership to be deposited
or (2) the final date of the exchange requested.

B) By depositing Vacation Ownership in the RCI SPACEBANK®, you represent and warrant to RCI
that: (1) you have or will have the legal right to use or assign the use of the deposited Vacation
Ownership and all other resort amenities to which you have access; (2) the deposited Vacation
Ownership has not been and will not be assigned, offered or made available to any third party; (3)
the physical accommodations in which you own Vacation Ownership are in good and usable
condition; (4) all 8ee assessments, taxes and other similar charges applicable to that Vacation
Ownership have been paid or will be paid when due according to the guidelines established by
your home resort, home resort group or vacation club.

C) By depositing Vacation Ownership in the RCI SPACEBANK®, you relinquish all rights to use that
Vacation Ownership and agree that such deposited Vacation Ownership may be used by RCI to
conduct exchanges, inspection visits, promotions and for other purposes at RCI's discretion.

 D) For each exchange requested by a Member, an exchange fee is required by RCI to process and
confirm each Exchange Request. If RCI is unable to confirm an exchange within nine (9) months
of the Exchange Request, RCI will offer to refund the exchange fee. If RCI continues the
Exchange Request after a refund has been made, RCI will collect another exchange fee at time of
Confirmation. RCI Members may extend each SPACEBANK® deposit in increments of an
additional three or six months, up to and including a maximum deposit extension of one year. A
fee is required for each deposit extension.

E) Options available to RCI Members for the exchange of Vacation Ownership, and the procedures
and conditions governing such options are set out in various ENDLESS VACATION publications
and other materials RCI may provide. Such procedures and conditions are incorporated herein in
their entirety. SPACEBANK deposits and Exchange Requests are accepted subject to your
compliance with these procedures and conditions.

F) Our ability to confirm an Exchange Request is dependent upon the availability of Vacation
Ownership in the RCI SPACEBANK or as provided by the accommodating parties. Therefore, we
cannot guarantee specific qualified resort choices, dates of travel, or types or sizes of
accommodations.

G) Confirmations are valid only if issued by RCI or a party authorized by RCI. Upon receipt, please
check all the details in the Confirmation and notify us immediately if anything is incorrect, as
changes to any aspect of the Confirmation may be treated as a cancellation.

H) RCI will apply any reasonable restrictions on Exchanges required by Affiliated Resorts and/or
accommodating parties. These restrictions may include, but are not limited to, a prohibition on
Members and their guests from exchanging into the same resort more than once in a specified
period, a prohibition on exchanges from or to other resorts located in the same geographic area
and minimum age requirements.

7. USE OF ACCOMMODATIONS

A) You acknowledge that accommodations at an Affiliated Resort and/or at an accommodating party

into which you exchange may differ in unit size, design, furnishings, amenities and facilities from
the accommodations of your Vacation Ownership.

B) The total number of people occupying the exchange accommodations must not exceed the
Maximum Occupancy of the unit set forth in the Confirmation or Guest Certificate; otherwise,
access may be refused or an additional charge may be levied.

C) You are responsible for payment of any applicable taxes, port charges, gratuities, personal
expenses, utility charges, security deposits and other fees or charges levied by an Affiliated
Resort and/or accommodating party for the use of amenities and facilities.

D) You and your guests must occupy and use any accommodations into which you or your guests
have exchanged in a responsible, careful and secure manner. You are responsible for any
damage, theft or loss caused by you or your guests.

E) If the accommodations for which an exchange has been confirmed becomes unavailable due to
natural disaster, act of God, civil unrest or any other reason beyond RCI's control, you waive any
and all claims against RCI.

F) Any complaints about the accommodations or services provided at an Affiliated Resort or

accommodating party should be made at the earliest opportunity to a person in authority at the
Affiliated Resort or accommodating party. If this does not produce a satisfactory result, you
should contact the nearest RCI servicing office. In the event the Affiliated Resort or
accommodating party does not resolve the matter, you should write to RCI's Customer Service
department at P.O. Box 80229, Indianapolis, Indiana 46280-0229 giving full details of the
complaint within thirty (30) days of your return. We reserve the right to refuse to consider any
complaints made where this procedure has not been followed.

8. MEMBERS AND GUESTS

A) A Confirmation may not be used for any commercial purpose, including rental or sale of the time
period/ unit which is represented by such Confirmation. A Confirmation may only be used by the
Member who receives it from RCI unless that Member gives the Confirmation to a friend or family
member by purchasing a Guest Certificate from RCI for the Guest Certificate fee current on the
date of issue.

B) Guest Certificates may only be used by the individual(s) named on the certificate and their guests
and may not be used by persons under the age of twenty-one (21). Guest Certificates are non-
transferable and may not be used for any commercial purpose, including rental or sale. Their use
is subject to any conditions, restrictions or limitations which may be imposed by the Affiliated
Resort or accommodating party.

C) You are responsible for all acts and omissions of your guests and for any damages caused or
expenses incurred by your guests.

D) We will fully refund Guest Certificate fees when a Guest Certificate is canceled more than sixty
(60) days prior to the beginning date of the Confirmation. We will not refund Guest Certificate fees
when a Guest Certificate is canceled within sixty (60) days of the beginning date of the
Confirmation.

E) Guest Certificate rules may vary for exchanges into accommodations other than Vacation
Ownership.

9. CANCELLATION

A) If within twenty-four (24) months following the start date of the deposited Vacation Ownership,
you have not accepted one of the alternative resort or other accommodation choices and/or
Travel Dates offered by RCI, or if you have not requested an exchange through RCI, then you will
lose all credit for that deposit and will not be eligible to receive an exchange for that deposit.

B) We reserve the right (without refund or credit) to cancel a Confirmation, cancel an Exchange
Request or otherwise deny the exchange privileges of any Member whose payment is rejected by
the Member's bank or credit card company or who has not paid maintenance fee assessments or
similar charges with respect to the Member's Vacation Ownership as established by the
Member's home resort, home resort group or vacation club.

C) You may cancel a Confirmation by notifying RCI by telephone or in writing. Upon cancellation, the
trading power of the Vacation Time deposited may be recalculated. RCI may refund all or a
portion of the exchange fee according to the following guidelines:

 You will receive a full refund of exchange fees if cancellation occurs by the end of the next
RCI business day following the date on which the exchange was confirmed by [Link] policy
applies to exchanges confirmed fifteen (15) or more days prior to the beginning date of the
Confirmation.

 If the cancellation occurs after the next RCI business day following the date of the
Confirmation, and more than sixty (60) days prior to the beginning date of the Confirmation, a
$75 Cancellation Fee (which fee is subject to change) will be charged, and the balance of the
exchange fee will be refunded.

 For cancellations made after the next RCI business day following the date of Confirmation,
and sixty (60) days or less prior to the beginning date of the Confirmation, no portion of the
exchange fee will be refunded.

 In most instances when cancellation occurs prior to the beginning date of a Confirmation, you
may request another exchange without making an additional SPACEBANK deposit. The then-
current exchange fees and policies will apply.

 In the event that an Affiliated Resort or accommodating party become uninhabitable due to a
natural disaster, RCI is not liable for the resulting cancellations. The SPACEBANK deposit

 used for this Confirmation is no longer eligible for another exchange. An additional exchange
fee will be required to confirm another Exchange Request using a different deposit.

 The above guidelines may not apply to special programs offered by or through RCI.

10. GENERAL

A) Telephone conversations to and from RCI representatives may be tape recorded and/or
monitored for training and quality control purposes.

B) We or our representatives may on occasion offer products and services through telephone and
email solicitations. You consent to such solicitations, including, but not limited to, solicitations
through automatic dialing equipment and/or pre-recorded messages. Further, you acknowledge
your consent to be informed of such products and services even if your membership has been
suspended or has otherwise expired or been terminated.

C) RCI shall have no liability for any loss, injury or damage occurring as a result of any third parties.
RCI's liability for any loss, injury or damage, incurred as a result of RCI's action or failure to act,
will be limited to the exchange fee or other consideration paid for the exchange, service or
accommodation provided by or through RCI in which such loss or damage occurred, and in no
event will RCI be liable for special, consequential or punitive damages. This limitation of liability
shall also apply to all affiliated companies, servants and agents of RCI.

D) These Terms and Conditions and the RCI Exchange Program, including, but not limited to, fees,
benefits, Seasonal Designations, classification grouping, and other priorities and procedures for
requesting and effecting exchanges, may be changed from time to time by RCI. RCI Members are
notified of changes in these Terms and Conditions in ENDLESS VACATION publications. Current
ENDLESS VACATION publications supersede prior publications with respect to the Terms and
Conditions of RCI Membership and the RCI Exchange Program.

E) Exchange or non-exchange-related programs and services offered through RCI or by third parties
with the permission of RCI shall, where applicable, be governed by these Terms and Conditions
but may be subject to additional and/or separate terms and conditions and may be changed or
eliminated without prior notice to you. Unless specifically stated to the contrary, where the context
requires otherwise or where otherwise prohibited, these Terms and Conditions shall control. RCI
accepts no responsibility for the acts or omissions of any third parties providing such programs or
services directly to you.

F) If you or your guest fail to comply with these Terms and Conditions or fail to pay any sums owed
to RCI, any Affiliated Resort, accommodating party, RCI Travel or any other entity affiliated with
RCI, your Confirmation or Guest Certificate may be revoked, your membership may be
suspended or terminated, or access may be denied to any of the products or services offered by
RCI without further obligation. In addition, RCI may cancel a subscribing membership if required
to do so by any local, state or federal governmental entity (or its equivalent if a foreign country)
and any laws, rules or regulations that may apply. In the event of a suspension based upon non-
payment, your exchange privileges will remain suspended until all sums that are owed are paid.
In the event of termination, an initiation fee will be required to activate your membership.

G) These Terms and Conditions and the RCI Exchange Program shall be governed exclusively by
the laws of the State of Indiana. Any action at law or in equity by a Member or guest, who is either
vacationing with the Member or who is traveling by way of a Guest Certificate, to seek any
remedy against RCI or its associated entities must be submitted exclusively to the jurisdiction of
the courts of Marion County, Indiana (USA). In the event an action at law or in equity is initiated
by a Member or guest and RCI prevails, that Member or guest shall pay all costs incurred by RCI
in defending such action, including reasonable attorneys' fees.

H) ENDLESS VACATION, RESORT CONDOMINIUMS INTERNATIONAL, RCI, RCI and design,

RCI TRAVEL, and SPACEBANK are trademarks that may not be used without the prior written
permission of Resort Condominiums International, LLC. Other brand names may be trademarks
of their respective owners.

 RCI LATINOAMÉRICA - TERMINOS DE LA MEMBRESÍA

INTRODUCCIÓN

Al ser aceptada su solicitud de suscripción por Resort Condominiums International de México S. de R.L.
de C.V. (RCI), ésta constituirá un contrato legal entre usted como miembro-suscriptor y RCI. Los
miembros-suscriptores de RCI tienen derecho a participar en el Programa de Intercambio de derechos
de hospedaje (Períodos Vacacionales) para propietarios en condominios afiliados (Desarrollos), bajo los
siguientes términos y condiciones:

1. RCI es una organización independiente, con desarrollos turísticos inmobiliarios afiliados alrededor del
mundo para realizar intercambios de Períodos Vacacionales entre sus miembros. Ningún
desarrollador que participe en el Programa de Intercambio es representante de RCI. Al ser miembro
de RCI, usted acepta que RCI no es responsable de cualquier reclamación o pérdida relacionada con
su Desarrollo.

2. Este contrato se celebra entre RCI y el (los) miembro(s)-suscriptor(es) y surtirá efecto al ser aceptado
por RCI. Este contrato es independiente y distinto de cualquier contrato de compra-venta celebrado
por el (los) miembro(s) suscriptor(es) para la compra de Períodos Vacacionales. RCI es ajeno a toda
oferta de Períodos Vacacionales sobre bienes inmuebles y no existe representación, coinversión o
propiedad entre RCI y sus Desarrollos.

3. RCI utiliza las publicaciones "Endless Vacation", el "Directorio Mundial de Condominios" y

"Vacaciones sin Límite" entre otras, como medios para proporcionar información y cambios en el
Programa de Intercambio a sus miembros-suscriptores.

4. Las opciones de intercambio disponibles para los miembros-suscriptores RCI y los procedimientos y
condiciones con respecto a cada opción, son asimismo presentadas en las publicaciones RCI
"Vacaciones sin Límite" y el "Directorio Mundial de Condominios", así como en su suplemento "¡A
Vacacionar!" entre otros.

5. Cada Desarrollo que promueve la membresía en el Programa de Intercambio, tramita la membresía

inicial para sus compradores en el propio Programa de Intercambio y remite a RCI la cuota de
suscripción. La membresía tramitada por el Desarrollo califica al comprador como un miembro-
suscriptor activo y le permite participar en el Programa de Intercambio. En años subsecuentes de
membresía, todas las cuotas de renovación de suscripción, son cobradas directamente al miembro-
suscriptor y la participación en el programa de Intercambio es voluntaria.

6. Para permanecer como miembro-suscriptor activo, deberá mantener al corriente su suscripción. Las
suscripciones son anuales y se ingresan a partir de la fecha en que se recibe la cuota
correspondiente; sin embargo el miembro suscriptor no tendrá derecho a los beneficios del Programa
de Intercambio en tanto no haya pagado su cuota anual. RCI promueve además cuotas por varios
años que se rigen en este mismo concepto. Si la cuota para renovar la suscripción no se recibe
dentro de los noventa (90) días siguientes a su expiración, se requerirá, además de la cuota de
suscripción vigente, el pago de una cuota adicional establecida por RCI para reactivar su membresía.
Para realizar cualquier trámite de intercambio, la membresía deberá estar vigente al momento de
depositar un Período Vacacional y/o abrir una solicitud tomando en cuenta las fechas de inicio del
Período Vacacional a depositar, así como las fechas en que el miembro-suscriptor solicita viajar.

7. El miembro-suscriptor reconoce, acepta y conviene que:

A) Este acuerdo es totalmente independiente al contrato que el desarrollador o vendedor del

Desarrollo estableció con el miembro-suscriptor RCI.

B) RCI no ofrece bienes raíces y declara que no existe relación de propiedad alguna entre RCI y los
Desarrollos.

C) El Programa de Intercambio está diseñado para uso ocasional y el privilegio de intercambio no

debe ser la razón principal para la compra de Períodos Vacacionales. Por lo tanto la localización
del Desarrollo, el Período Vacacional y tamaño de la unidad deben ser seleccionados de acuerdo
con lo que mejor se ajuste a las necesidades particulares del miembro suscriptor.

D) La unidad asignada en el intercambio puede variar en cuanto a su tamaño, diseño, amueblado o
diversiones a la del Desarrollo del miembro-suscriptor. El miembro-suscriptor es responsable por
el pago de cualquier daño causado por él o sus invitados y por la reposición de objetos perdidos
en la unidad que se le asigne en intercambios.

E) El Programa de Intercambio opera bajo un concepto de "DEPOSITO" (cesión del Período

Vacacional para intercambio); para hacer un "retiro" el miembro-suscriptor primero debe
"depositar" su Período Vacacional en el "Banco de Espacios" (SPACEBANK). Dentro de la
clasificación de colores de temporada, el color de la temporada depositada debe corresponder al
de la temporada solicitada y el número de personas que viajan a un Desarrollo anfitrión no
deberá exceder la capacidad de ocupación de la unidad depositada. El miembro suscriptor debe
cubrir la cuota de intercambio vigente para el año en el que desea hacer su solicitud. RCI
confirmará las solicitudes de intercambio sólo por escrito. RCI da preferencia de confirmación a
las solicitudes de intercambio de miembros-suscriptores cuyo Período Vacacional depositado se
apegue a los criterios que se mencionan más adelante. El miembro-suscriptor obtendrá un
Período Vacacional similar al depositado. El sistema asignará prioridad a cada solicitud
basándose en los siguientes criterios:

a) La demanda, oferta y uso de la semana.

b) La temporada.

c) La oferta y demanda de todos los Períodos Vacacionales en el área geográfica en donde se

encuentra ubicado el desarrollo.

d) El tamaño y tipo de unidad.

e) Perfil de Experiencia Vacacional del Desarrollo.

f) La anticipación con que se deposite el Período Vacacional en el "Banco de Espacios" RCI.

Debido a que el Programa de Intercambio opera bajo el concepto de "Banco de Espacios",
RCI se reserva el derecho de asignar en intercambio los Períodos Vacacionales depositados
aún cuando el miembro-suscriptor que los depositó todavía no haya recibido la confirmación
de su intercambio.

F) Al depositar su Período Vacacional en el Banco de Espacios de RCI, un miembro-suscriptor

renuncia a todos los derechos de uso que pudiera tener sobre ese período en especifico. El
Período Vacacional depositado por los miembros-suscriptores de RCI puede ser usado por RCI
para intercambios, visitas de inspección, promociones, rentas y otros propósitos a discreción de
RCI. Cuando el Período Vacacional del Banco de Espacios es usado para renta, RCI repone ese
período con el inventario adquirido de otras fuentes distintas a los depósitos de los miembros-
suscriptores RCI. El Período Vacacional adquirido por RCI siempre será comparable al Período
Vacacional retirado. Cuando el Período Vacacional ha sido utilizado para fines distintos que el de
confirmación de intercambios, como en caso de renta, el miembro-suscriptor de RCI que
depositó ese Período Vacacional tiene derecho a recibir únicamente los beneficios del
intercambio.

G) Al depositar su Período Vacacional en el Banco de Espacios de RCI, el miembro-suscriptor cede,

garantiza y autoriza a RCI que el Período Vacacional depositado está en buenas condiciones
para su uso, que RCI tiene el derecho legal para asignar ese Período Vacacional y todos los
atractivos del Desarrollo y, que los pagos de la cuota de mantenimiento, impuestos y otros
cargos similares, aplicables a ese Período Vacacional, han sido cubiertos o lo serán cuando se
solicite.

H) Todos los intercambios están sujetos a la disponibilidad de unidades en el "Banco de Espacios" y

se confirman con base en ésta; por lo tanto, RCI no puede garantizar la confirmación de un
intercambio especifico.

 I) En el supuesto de que RCI haya confirmado una solicitud de intercambio a un miembro-
suscriptor y que a causa de un incendio, tormenta, terremoto o algún otro desastre natural, caso
fortuito o alguna otra circunstancia fuera del control de RCI, la unidad confirmada no esté, el
miembro-suscriptor renuncia a todas las reclamaciones en contra de RCI.

J) Un miembro-suscriptor podrá intercambiar con un mismo Desarrollo una vez cada cuatro (4)
años.

K) No se permiten intercambios con otros Desarrollos ubicados en la misma área geográfica en la

cual el miembro-suscriptor es propietario. La determinación de áreas geográficas corresponde a
RCI.

L) El depósito de su Período Vacacional en el "Banco de Espacios" no libera de la obligación al

miembro-suscriptor de pagar a su propio Desarrollo cuotas de mantenimiento u otros cargos
similares. Los cargos que en su caso existan por consumo y diversiones los determina y cobra
cada Desarrollo.

M) La cuota del servicio de intercambio (Cuota de Intercambio), para cada Período Vacacional
solicitado, es requerida por RCI para procesar y confirmar la solicitud de intercambio.

N) Al ser asignado un intercambio confirmado a un miembro-suscriptor, éste no podrá transferir el

derecho de uso de ese intercambio como no sea mediante un Certificado de Invitado expedido
por RCI. En ningún caso podrá hacer el miembro cargo alguno por la transferencia de este
derecho de uso.

O) Una confirmación de intercambio puede ser cancelada por el miembro-suscriptor hasta dos días
antes de que se inicie el Período Vacacional correspondiente, mediante una notificación
telefónica confirmada o por escrito enviada a RCI. No se devolverá la cuota de intercambio en los
casos de cancelación de confirmaciones.

8. El privilegio de intercambio de un miembro-suscriptor puede ser suspendido temporalmente sin

responsabilidad para RCI cuando el Desarrollo con el cual el miembro-suscriptor contrató el Período
Vacacional no mantenga los estándares de calidad requeridos por RCI; se tomarán en cuenta calidad
en servicio, mantenimiento de instalaciones, apariencia y operación del Desarrollo. Sin embargo, el
miembro-suscriptor podrá continuar recibiendo las publicaciones de RCI si así lo desea. Se
rehabilitará el privilegio de intercambio en el momento en que sean corregidas las deficiencias por el
Desarrollo. En ese momento, el miembro-suscriptor que tenga pagada su cuota de suscripción podrá
utilizar nuevamente el privilegio de intercambio. En caso que el Desarrollo no recupere el nivel de
calidad requerido, RCI puede suspender o dar por terminado el derecho de sus miembros-
suscriptores, propietarios en ese Desarrollo, para continuar realizando sus intercambios vacacionales
a través de RCI.

9. Cuando un miembro-suscriptor venda su Período Vacacional en el Desarrollo, RCI a solicitud del

vendedor, traspasará al comprador el período restante de la suscripción siempre y cuando RCI reciba
una solicitud de Transferencia de Membresía debidamente firmada y formulada, a más tardar 45 días
después de celebrada la operación de compra-venta.

10. La responsabilidad de RCI por pérdida o daños que llegara a sufrir un miembro-suscriptor durante su
participación en el Programa de Intercambio por causas imputables a RCI, se limita al reembolso de
las cuotas de suscripción y de intercambio pagadas por el miembro-suscriptor.

11. RCI no acepta ninguna responsabilidad por actos u omisiones de personas, que no representan
legítimamente a RCI.

12. Toda la información sobre los Desarrollos contenida en las publicaciones proporcionadas por RCI, ha
sido obtenida de los respectivos Desarrollos, y al mejor y leal saber y entender de RCI, es correcta y
completa; sin embargo, RCI no es responsable de acción u omisión al respecto por parte de los
Desarrollos o sus representantes.

13. La participación de un miembro-suscriptor de RCI en el Programa de Intercambio está registrada por

este Contrato, así como por el Contrato de Afiliación de RCI con respecto al Desarrollo.

14. Este contrato se regirá por las leyes de los Estados Unidos Mexicanos , y la Jurisdicción para
cualquier acción legal o en equidad correspondiente, será la de los tribunales del Distrito Federal; por
tanto, ambas partes renuncian al derecho a cualquiera otra Jurisdicción por razón de sus domicilios
presente o futuros o por cualquiera otra.

15. El Programa de Intercambio de RCI puede ser adquirido sólo por personas físicas. Si el Período
Vacacional es propiedad de una corporación o asociación, la suscripción deberá estar a nombre de
su representante legal.

16. Los términos y condiciones de este contrato y del Programa de Intercambio podrán cambiarse de
tiempo en tiempo por RCI unilateralmente, incluyendo pero sin limitar, las cuotas, beneficios,
prioridades y procedimientos para efectuar intercambios. A los miembros-suscriptores se les informa
de cualquiera de estos cambios mediante las publicaciones proporcionadas por RCI. Las últimas
publicaciones reemplazan las publicaciones anteriores en cuanto a los términos y condiciones de este
contrato y del Programa de Intercambio. Garantías hechas en otras publicaciones que no sean las
que proporciona RCI no obligan a RCI. El miembro-suscriptor acepta de antemano la obligatoriedad
de tales modificaciones y reconoce que en caso de no estar de acuerdo únicamente tendrá derecho a
que se le reembolse la parte proporcional de la cuota de suscripción correspondiente al período
restante de vigencia de la misma.
17. Este contrato, así como la suscripción pueden ser suspendidos o dados por terminados por RCI sin
obligaciones posteriores, si el miembro-suscriptor no cumple con los términos y condiciones de este
contrato o del Programa de Intercambio.

18. El miembro suscriptor y/o el obligado solidario autorizan a la institución bancaria designada a
proporcionar y recabar información sobre operaciones crediticias y otras de naturaleza análoga que
haya celebrado, a sociedades de información crediticia autorizadas, siendo de su conocimiento que
los datos proporcionados y recabados tendrán como resultado evaluar su historial crediticio y su
solvencia como sujetos de crédito.
