WAIVER, QUIT CLAIM & RELEASE

I, RYAN G. LLARENA, of legal age, Filipino, and with address at

________________________________________________________________my own free will, and for
valuable consideration, hereby declare and manifest that:

1. Voluntary Resignation. I ceased to be an employee of FPD ASIA PROPERTY SERVICES,

INC. (“FPD Asia” or “the Company”) effective at the close of business on 15 SEPTEMBER 2023 (“Effective
Date”). I hereby declare that I willingly and knowingly tendered my voluntary resignation from the Company for
my own personal reasons. I hereby reiterate my intent to sever my employment relationship with the
Company.

2. Full Payment and Final Settlement. I hereby freely, voluntarily and intelligently accept and
hereby acknowledge receipt of the amount of ONE HUNDRED FORTY ONE THOUSAND FOUR HUNDRED
SEVENTY SEVEN PESOS and 55/100 centavos (Php 141,477.55) net of deduction, given to me for and in
behalf of FPD ASIA PROPERTY SERVICES, INC. in full payment and final settlement of any and all amounts
due to me or which may be due to me from the Company, its subsidiaries, affiliates, successors, and assigns,
under the law or under any and all existing agreements.

3. Complete Release. In view of the full payment and final settlement described in paragraph
2 of this Agreement, I hereby release FPD Asia and any related entities, as well as their owners, partners,
shareholders, predecessors, successors, assigns, agents, directors, officers, employees, representatives, and
attorneys from any and all claims or demands I may have against any of them relating in any way to my
employment, separation or resignation of employment with the Company. By this release, I expressly waive
and opt out of all claims and causes of action, whether asserted by me or others on an individual or class
action basis, against FPD Asia (or any of the other parties released herein) arising out of any contract, express
or implied, any covenant of good faith and fair dealing, express or implied, any tort (whether intentional or
negligent, including claims arising out of the negligence or gross negligence of any person released in
this Agreement), and any governmental statute, regulation or ordinance. I understand that nothing in this
Agreement, including without limitation the full payment and final settlement described in paragraph 2 hereof,
may be construed as an admission by FPD Asia of any wrongdoing or liability.

4. Confidentiality and Non-disparagement. Pursuant to the terms of my employment

agreement, I confirm that I shall not disclose Confidential Information to any third party (whether an individual,
corporation, or other entity) without the prior written consent of FPD Asia and that this confidentiality obligation
survives the severance of my employment with FPD Asia. I hereby reiterate and confirm this obligation under
this Agreement. For purpose of this Agreement, “Confidential Information” means and refers to any data or
information that is proprietary to FPD Asia and not generally known to the public, whether in tangible or
intangible form, whenever and however disclosed, including, but not limited to: (i) any marketing strategies,
plans, financial information, or projections, operations, sales estimates, business plans and performance
results relating to the past, present or future business activities of such party, its affiliates, subsidiaries and
affiliated companies; (ii) plans for products or services, and customer or supplier lists; (iii) any scientific or
technical information, invention, design, process, procedure, formula, improvement, technology or method; (iv)
any concepts, reports, data, know-how, works-in-progress, designs, development tools, specifications,
computer software, source code, object code, flow charts, databases, inventions, information and trade
secrets; and (v) any other information that should reasonably be recognized as confidential information of FPD
Asia. Confidential Information need not be novel, unique, patentable, copyrightable or constitute a trade secret

in order to be designated Confidential Information. I hereby acknowledge that the Confidential Information is
proprietary to FPD Asia, has been developed and obtained through great efforts by FPD Asia and that the
Company regards all of its Confidential Information as trade secrets.

I further agree that I will keep the terms, amount and fact of this Agreement completely confidential
and that I will not make any disclosures regarding this Agreement to anyone other than to my spouse, attorney
and tax advisors, if any, all of whom will be informed of and must agree to be bound by this confidentiality
provision.

I also agree that I will not make any statement or perform any act or omission which is or could be
detrimental in any material respect to the reputation or goodwill of FPD Asia or any other person or entity
released herein. I further agree that I will not voluntarily participate in, or aid or encourage any other party in
connection with, any lawsuit or proceeding of any kind brought or asserted against FPD Asia or any other
person or entity released herein. My compliance with a subpoena or other legally compulsive process will not
be a violation of this provision.

5. Company Documents, Information or Property. I agree that on or before the Effective

Date, I will return to FPD Asia any and all documents relating to the Company or its business operations (and
any and all copies thereof, whether in paper form or electronic form), computer equipment, badges,
documents, QEHS manuals and any other FPD Asia property in my possession or control. I agree that I will
not take such documents or property from the control or premises of FPD Asia and that if, at any time after my
employment has ended, I should come into possession of any such documents or property, I will return such
documents or property to FPD Asia immediately.

6. Reimbursement of Consideration. I hereby agree to return and reimburse the

consideration granted to me under paragraph 2 of this Agreement with immediate effect if I subsequently, after
the signing of this Agreement, file any claim or representation for illegal dismissal, reinstatement, or damages
either at the civil courts or the National Labor Relations Commission on any matter relating to or arising out of
my employment with FPD Asia and the cessation thereof.

I further agree that if I fail to return the said consideration to FPD Asia as herein provided, FPD Asia
shall reserve the right to recover the said sum as a debt together with interest of eight percent (8%) per annum
on the said consideration sum computed from the date of demand.

7. Miscellaneous. In executing this Agreement, I am not relying upon any oral or written
representations or promises other than those contained in this Agreement. This Agreement constitutes the
entire agreement between me and FPD Asia and supersedes all prior oral or written negotiations and
agreements with the Company concerning the subject matter hereof. This Agreement may not be amended or
modified except by a written agreement signed by me and an authorized representative of FPD Asia. If any
part of this Agreement is found to be invalid or unenforceable, the other portions shall remain valid and
enforceable.

BY MY SIGNATURE BELOW, I AGREE THAT I HAVE FULLY REVIEWED THIS

AGREEMENT AND I FULLY UNDERSTAND ITS TERMS AND ON BEHALF OF MYSELF,
MY EXECUTOR, HEIRS, SUCCESSORS, AND ASSIGNS, I AGREE TO ALL OF ITS
TERMS AND TO BE BOUND BY ALL OF ITS TERMS, KNOWINGLY AND
VOLUNTARILY.
