1. Scope of Work:

1.1 Services: The Editor agrees to provide video editing services


("Services") as assigned by Tri Matic. Services may include, but are
not limited to, editing, colour grading, motion graphics, and other
related tasks.

1.2 Project Description: The specific scope of work, project


timelines, and deliverables will be detailed in separate project briefs
or work orders provided by Tri Matic.

2. Payment Terms:

2.1 Compensation: The Editor shall be compensated on a project


basis, as agreed upon for each assignment. Payment details,
including rates and schedule, will be outlined in the project briefs or
work orders.

2.2 Invoicing: The Editor shall submit invoices to Tri Matic upon
completion of each project or as otherwise agreed in writing.
Invoices shall include a breakdown of services rendered and any
applicable taxes.
3. Ownership and Rights:

3.1 Intellectual Property: All work created by the Editor for Tri
Matic, including but not limited to videos, graphics, and other
related materials ("Work Product"), shall be the exclusive property of
Tri Matic.

3.2 License: The Editor grants Tri Matic a perpetual, irrevocable,


worldwide, royalty-free license to use, reproduce, modify, adapt,
publish, translate, distribute, and display the Work Product in any
media for promotional and marketing purposes related to Tri
Matic's business.

4. Performance and Termination:

4.1 Performance Standards: Tri Matic reserves the right to evaluate


the Editor's performance on each project. If the quality of work
delivered by the Editor does not meet the standards demonstrated
during the selection process or as agreed upon, Tri Matic may
terminate this Agreement with [number] days’ notice.

4.2 Termination: Either party may terminate this Agreement with


[number] days’ written notice to the other party. Tri Matic reserves
the right to terminate this Agreement immediately in the event of a
material breach of contract, including but not limited to failure to
deliver work as agreed or breach of confidentiality obligations.

5. Confidentiality:

5.1 Confidential Information: The Editor agrees to maintain the


confidentiality of all proprietary and confidential information
disclosed by Tri Matic, including but not limited to client
information, project details, and business strategies.

5.2 Non-Disclosure: The Editor shall not disclose or use any


confidential information for any purpose other than the performance
of Services under this Agreement, without the prior written consent
of Tri Matic.
6. Independent Contractor Relationship:

6.1 Independent Contractor: The Editor is an independent contractor and


nothing in this Agreement shall be construed to create a partnership, joint
venture, agency, or employment relationship between the parties.

7. Miscellaneous:

7.1 Governing Law: This Agreement shall be governed by and construed in


accordance with the laws of India.

7.2 Entire Agreement: This Agreement constitutes the entire understanding


between the parties with respect to the subject matter hereof and
supersedes all prior agreements, negotiations, and understandings, whether
oral or written.

8. Use of Non-Copyrighted Assets:

8.1 Asset Responsibility: The Editor warrants that all assets used in the
creation of the Work Product, including but not limited to fonts, stickers,
motion backgrounds, and other materials, are either owned by the Editor,
licensed for use, or are non-copyrighted assets.

8.2 Copyright Compliance: The Editor agrees to indemnify and hold


harmless Tri Matic against any claims, damages, or expenses arising from
any breach of copyright or intellectual property rights related to the use of
assets in the Work Product.
