This Non-Disclosure Agreement (the "Agreement") is entered into as of Date: __________ by
and between The Gardens Retreat and [Participant's Full Name]______________________ .
1. Purpose
The purpose of this Agreement is to protect the confidential information disclosed by The
Gardens Retreat to the Participant in connection with the retreat sessions and related activities.
2. Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" includes all information or material
that has or could have commercial value or other utility in the business in which The Gardens
Retreat is engaged. Confidential Information may include, but is not limited to, lecture materials,
spiritual practices, personal participant information, techniques, methodologies, and any other
proprietary information.
3. Obligations of Receiving Party
The Receiving Party shall hold and maintain the Confidential Information in strictest confidence
for the sole and exclusive benefit of the Disclosing Party. The Receiving Party shall carefully
restrict access to Confidential Information to employees, contractors, and third parties as is
reasonably required and shall require those persons to sign non-disclosure restrictions at least
as protective as those in this Agreement. The Receiving Party shall not, without prior written
approval of the Disclosing Party, use for the Receiving Party's own benefit, publish, copy, or
otherwise disclose to others, or permit the use by others for their benefit or to the detriment of
the Disclosing Party, any Confidential Information. The Receiving Party shall return to the
Disclosing Party any and all records, notes, and other written, printed, or tangible materials in its
possession pertaining to Confidential Information immediately if the Disclosing Party requests it
in writing.
4. Time Periods
The non-disclosure provisions of this Agreement shall survive the termination of this Agreement
and the Receiving Party's duty to hold Confidential Information in confidence shall remain in
effect until the Confidential Information no longer qualifies as confidential or until the Disclosing
Party sends the Receiving Party written notice releasing the Receiving Party from this
Agreement, whichever occurs first.
5. No License
Nothing in this Agreement is intended to grant any rights to the Receiving Party under any
patent, mask work right, or copyright of the Disclosing Party, nor shall this Agreement grant the
Receiving Party any rights in or to the Confidential Information except as expressly set forth
herein.
v6. Miscellaneous
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their
respective heirs, successors, and assigns. This Agreement shall be governed by and construed
in accordance with the laws of the State of Hawaii. Any action or proceeding arising out of or
related to this Agreement shall be brought in the courts of the State of Hawaii.
