Turnkey Contract Agreement

This Agreement is made on this [Date] by and between:


[Client Name], residing at [Client Address], hereinafter referred to as the 'Client', AND
[Contractor Name], having its registered office at [Contractor Address], hereinafter referred
to as the 'Contractor'.

1. Definitions
1.1 'Project': Construction and delivery of a residential villa located at [Location in Dubai].

1.2 'Turnkey': A project delivery method where the Contractor is responsible for the design,
construction, and handover of the completed villa, ready for occupancy.

2. Scope of Work
The Contractor agrees to perform all necessary work to design, construct, and deliver a
completed villa in accordance with the specifications and approved drawings provided in
Appendix A.

3. Contract Price and Payment Terms


3.1 The total contract price is AED [Amount], inclusive of all taxes and fees.

3.2 Payment Schedule:

 - 10% advance payment upon signing the agreement.


 - 30% upon completion of foundation and structure.
 - 30% upon completion of finishes.

- 30% upon final handover of the completed villa.

4. Completion Timeline
The Contractor shall complete the project and hand over the villa to the Client within
[Number of Months] months from the commencement date specified in the Notice to
Proceed.

5. Handover and Acceptance


The Contractor shall notify the Client upon completion of the project. The Client shall
inspect the villa within 7 days and provide written approval or a list of defects, if any, for
rectification by the Contractor.

6. Warranties
The Contractor warrants that the villa shall be free of structural defects and comply with
applicable construction laws and standards in Dubai for a period of [Warranty Period, e.g.,
10 years] from the date of handover.
7. Termination
Either party may terminate this Agreement with a written notice of [Notice Period] days if
the other party breaches any material term of this Agreement.

8. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through
arbitration in accordance with the rules of the Dubai International Arbitration Centre
(DIAC). The arbitration shall take place in Dubai and shall be conducted in English.

9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the
Emirate of Dubai and the applicable federal laws of the United Arab Emirates.
