1. The National Highways Authority of India (NHAI) through Project Director NHAI
PIU Jaipur hereby invites online bids from the cooperative societies/
individuals/Companies/firms etc. (hereinafter referred to as the “Bidders”)
(excluding those firms Individuals who have been declared as non-performing by NHAI
or the firms those are black listed/debarred for specified period by NHAI) for
Operation and Maintenance of 04 nos. Highway Nest Mini Facilities/ amenities at
Barkheda (Shivdaspura) Toll Plaza (Ch.30+500) & Sonwa Toll Plaza (Ch. 105+000) on
Four Lane Jaipur Tonk Deoli section of NH-52 under jurisdiction of PIU-Jaipur in the

2. The scope of work includes Operation and Maintenance of 4 Highway Nest Mini
Facilities/ amenities at Barkheda (Shivdaspura) Toll Plaza (Ch.30+500) & Sonwa
Toll Plaza (Ch. 105+000) on Four Lane Jaipur-Tonk-Deoli section of NH-52 under
jurisdiction of PIU-Jaipur as per all contractual obligations as per the Bid
documents.
3. It is mandatory for all the bidders to have class-III Digital signature certificate
(with both DSC components, i.e. signing & Encryption in the name of authorized
signatory (who willsign the bid) from any of the licensed certifying agency
(Bidders can see the list of licensedCA’s from the link www.cca.gov.in to
participate in e-tendering of NHAI)
4. To participate in the e-bid, it is mandatory for the Applicants to get themselves
registeredwith the NHAI e-Tendering Portal (https://etenders.gov.in) to have a
user ID & Passwordthrough online mode only.

5. The complete bid document can be downloaded from the NHAI e-tendering portal
free of cost. To participate for bidding, bidders have to pay non-refundable
amount of 5000/- (Rupees Five thousand) online to the NHAI account as mention
below:-

6. The bid should be submitted online in the prescribed format given in the website.
Theauthorized signatory holding power of attorney shall only be the digital
signatory. In caseauthorized signatory holding power of attorney and digital
signatory are not the same, thebid shall be considered non-responsive.
The last date for online submission of the Bid is 17.02.2025 up to 11.00 hrs (as
mentioned on the e-portal only) (“Bid Due Date”). The bids would be opened on
18.02.2025 at 11.30 Hrs. online at NHAI, PIU Jaipur, D-148, RSEB Sub-Station,
Vaishali Nagar, Jaipur-302021. Representatives of the bidders (maximum of two)
who choose to attend, may attend the online opening of the bids at NHAI, PIU
Jaipur on the date and time as mentioned above. However, such representatives
shall be allowed toattend the opening of the bids only if they produce letter of
authority on the letterhead ofthe bidder, at the time of opening of bids as
mentioned above.

NHAI, PIU-Jaipur invites EOI/BID - from the individuals/Companies/firms etc for Operation and
Maintenance of 04 nos. Highway Nest Mini Facilities/ amenities at Barkheda (Shivdaspura) Toll
Plaza (Ch.30+500) & Sonwa Toll Plaza (Ch. 105+000) on Four Lane Jaipur Tonk Deoli section of
NH-52 under jurisdiction of PIU-Jaipur in the state of Rajasthan (as per Annexure-A), on license
basis for a period of 03 (Three years) as per the terms and conditions specified by PIU-Jaipur.
These Kiosks/premises will be allotted on “As is and where is” basis. No extra facility will be
provided at later stage. The Kiosks/premises can also be inspected by the Applicants during office
hours on any working day by contacting PIU-Jaipur, D-148, RSEB Sub-Station, Vaishali Nagar,
Jaipur-302021. The Applicants are advised to inspect the premises as mentioned at Annexure-A
before submitting EOI/BID.
1. Each Applicant must submit TENDER DOCUMENT Fees Rs.5000/- (non- refundable)
through online payment in favor of National Highways Authority of India, Canara
Bank, A/c no. 2793201000610, IFSC Code: CNRB0002793 and submit the receipt
along with bid documents.
2. The intending Bidders shall deposit an amount of Rs. 25,000/- as part of the Earnest
Money/ Bid Security and submitted along with the Bid. The Earnest Money shall be in
NEFT in favour of National Highways Authority of India. Any Bid not accompanied by an
acceptable Earnest Money shall be rejected by the NHAI as non-responsive. The Earnest
Money of unsuccessful bidders will be returned within one month. The Earnest Money of
the Successful Bidder shall be converted in to Performance Security when the Bidder
has signed the Agreement.
3. No Documents is required to be submitted in physical form within the Bid Due Date.
Only, the scanned copies of documents are required to be uploaded during submission
of e-bid on the e-tendering portal of NHAI. However, original documents need to be
submitted in physical form in a sealed envelope as and when asked by the Authority.

ELIGIBILITY CRITERIA
i) NHAI, PIU-Jaipur invites EOI/BID- from the individual/Companies/firms etc. for Operation
and Maintenance of 04 nos. Highway Nest Mini Facilities/ amenities at Barkheda
(Shivdaspura) Toll Plaza (Ch.30+500) & Sonwa Toll Plaza (Ch. 105+000) on Four Lane Jaipur
Tonk Deoli section of NH-52 under jurisdiction of PIU-Jaipur in the state of Rajasthan on
license basis for a period of 3 (Three) years. The Kiosks/premise at toll plazas under
jurisdiction of PIU-Jaipur in the state of Rajasthan can also be inspected by the Applicants
during office hours on any working day by contacting NHAI, PIU-Jaipur. The Applicants are
advised to inspect the premises, at their own cost, responsibility and risk and familiarize
themselves with site of work and its surroundings and only after inspection, they may
submit their EOI/BID.
ii) The individual/firms/Companies/Agency/firm who are debarred/blacklisted/ prosecuted
by any State/Central Govt. Bodies/ Undertakings /Court of law need not apply.
iii) The Applicant shall submit an undertaking on stamp paper of Rs.500/- that he/his/firm
has not been blacklisted by any State/Central Govt. Bodies/Undertakings/Court of law to
participate in the tender as per specimen enclosed (Annexure- B).
iv) EOI/BID are invited for Operation and Maintenance of 04 (four) nos. Highway Nest Mini
Facilities/ amenities at Barkheda (Shivdaspura) Toll Plaza (Ch.30+500) & Sonwa Toll Plaza
(Ch. 105+000) on Jaipur Tonk Deoli section of NH-52 under jurisdiction of PIU-Jaipur in
the state of Rajasthan as mentioned in Annexure-A of EOI/BID documents on the website,
on license basis as per the terms and conditions mentioned in detailed invitation of
EOI/BID. The Applications are invited in two stage tendering process i.e. Technical Bid and
Financial Bid. The interested agencies/parties/ firms would mention of their
trade/activity in the Technical bids, which would be evaluated by a Technical Evaluation
Committee. Technical bid shall be submitted online. Technical bid will be evaluated only
of those Applicants whose Tender fees are found correct. After scrutiny of the information
received in Technical Bid, clarifications, if any, wherever necessary, will be obtained from
the party. After necessary appraisal of the party’s experience and technical expertise in
the bid, technical short-listing will be done and based on that license will be awarded.
v) In technical Bid application form shall be submitted, as given in format (Annexure-D).
vi) The Applicant shall furnish the copy of valid Income Tax Returns of last 03 years
vii) The Applicant shall furnish the self-attested copy of PAN Card.
viii) Minimum experience of 3 years in relevant field i.e. Operation and Maintenance of
Restaurant / Hotel / Petty Shop / etc. shall be enclosed in the technical bid.
ix) Total Average Annual Turnover of the applicant in the relevant field of Operation and
Maintenance of Restaurant / Hotel / Petty Shop / etc., shall be Rs. 5 Lakh. The Annual
Turnover for last 03 years along with relevant documents shall be certified by the Auditor
and to be submitted along with the technical bid. The EOI/Bid which are not substantially
responsive to the above requirements shall be rejected out rightly.
x) Conditional/telegraphic, EOI/BID received through fax, EOI/BID without Tender fees and
receiving after due date and time and submitted not in the prescribed form shall not be
entertained.
xi) Any amount lying with the NHAI PIU-Jaipur on any other account will not be allowed to be
adjusted against the TENDER DOCUMENT fees for the present Tender.
xii) Financial Bid of Technical Eligible Applicant only will be evaluated. In Financial bid,
applicant have to quote monthly license fees against Kiosks/premises. Applicant offering
highest monthly fees will be awarded Letter of Intent (LOI). Financial Bid should be
submitted online as well as offline in separate envelope only in the prescribed format.
There is no minimum monthly fee, but in case of multiple eligible applicants, the one
offering highest licensee fees will be selected. Rates quoted in Negative (-)ve for any
Highway Nest (mini)/ will be summarily rejected. The format for financial Bid is given in
Annexure-E.
xiii) The validity of the EOI/BID is 120 days from the last date of submission of the EOI/BID.
xiv) Last date for submission of proposals and Opening of Proposals The following schedule is to
be followed for this assignment.
PIU-Jaipur invites Applications from the individuals/Companies/firms etc. for Operation and
Maintenance of 04 nos. Highway Nest Mini Facilities/ amenities at Barkheda (Shivdaspura) Toll
Plaza (Ch.30+500) & Sonwa Toll Plaza (Ch. 105+000) on Four Lane Jaipur Tonk Deoli section of
NH-52 under jurisdiction of PIU-Jaipur in the state of Rajasthan on license basis for 03 years.
These premises/ Kiosks will be allotted “As is and where is” basis. No extra facility will be
provided at any later stage. The above mentioned Kiosks/premises can also be inspected by the
Applicants during office hours on any working day by contacting NHAI, PIU-Jaipur. The Applicants
are advised to inspect the premises and only after inspection, they may submit their EOI/BID.
1. The applicant shall not do any act or deed which may cause nuisance and/ or annoyance
to NHAI or to customers and clients.
2. Disposal of all rubbish, garbage and keeping the premises neat and tidy, will be essential
3. Drinking water facility will have to be provided, preferably through providing Water ATM.
Successful bidder must ensure availability of drinking water at his own cost.
4. Toilets for Gents, Ladies & Disabled friendly will have to be maintained in running
condition at all times. Toilets must be well ventilated and clean. Availability of water in
toilets has to be ensured by successful bidder at his own cost. These toilets are integral
part of Highway Nest (mini).
5. No Private Branding other than NHAI Highway Nest Mini Shall be displayed in the
premises.
6. The license shall be for a period of Three years from the date mentioned in the
allotment letter by the NHAI, PIU-Jaipur which may be extended further on mutual
agreement on the same condition.
7. Licensee shall be solely responsible for the management of the 'KIOSKS' and stocks of
Products stored therein and Project Director may issue necessary direction after
inspection if required for smooth operation and running of KIOSKS
8. Either Party understands that it is an independently owned business entity and this
Agreement does not make the other Party, its employees, associates or agents as
legal representative for any purpose whatsoever. Both Parties have no express or implied
right or authority to assume or to undertake any obligation in respect of or on behalf of
or in the name of the Other Party or to bind the Other Party in any manner. No party
shall have right or power to bind the other party to any other Agreement without the
prior written consent of the other Party.
9. The licensee shall pay the electricity charges as charged by electricity department on his
own from the time of Allotment of Kiosks/Premises to the Licensee and also liable to pay
any enhancement in the tariff during the currency of contract. The security deposit by
the licensee with the NHAI PIU-Jaipur & Undertaking shall be released after producing
the “No Due Certification” (NDC) from the Concerned Department as well as from NHAI
PIU-Jaipur.
10. Licensee shall be entitled to install a Diesel Generator (DG) set of adequate capacity to
fully operate its kiosk. The cost of such DG set would be borne by Licensee and shall
always remain the property of Licensee.
11. In case, the successful Applicant backs out, the Applicant shall be black listed for any
future contract. Further, the individuals/Companies/Institutions/firms will be liable to
be blacklisted including following types of situation: -
Dishonest/Fraudulent/Sharp practices are indulged in by the party.
Advancing a claim on the basis of forged documents.
Sale or supply of spurious items and providing harm to public safety.
Material concealments / suppression of facts or gross misrepresentation of facts.
Any other case or situation involving National Security.
On breach of any terms and conditions of the EOI/BID.
12. The licensee, at the time of execution of the agreement/license deed, shall furnish a
security deposit in the form of Bank Guarantee/ Demand Draft from any scheduled bank
at Jaipur duly pledged in favour of the NHAI, PIU-Jaipur with validity of 36 months, of
amount Rs 1,00,000/- for Kiosks/premises and must be deposited before
Agreement/license deed paper. Bank Guarantee shall be furnished in prescribed form
attached in Annexure F. In the event of breach or non-observance of any of the terms
and conditions of this license deed the NHAI PIU-Jaipur may forfeit the security either in
full or in part along with interest thereupon. The remaining security, if any, will be
refunded to the licensee after he/she hands over the vacant possession of the premises
in original state to the NHAI PIU-Jaipur on the expiry of the license period.
13. The operations of KIOSKS would be wholly managed by Licensee and all expenses
relating to operation of KIOSKS viz., running, electricity and water charges, telephone
charges, solar power or electrical connection including additional load connection, (if
any), manpower, wastage, provision and maintenance of equipment’s like chairs,
tables, freezers etc, consumables, housekeeping etc. will be borne by Licensee and
Licensee shall indemnify and keep indemnified NHAI, its officers and authorized
representative from any losses, claims, demands, suits, on account of any act or
omission.
14. The licensee shall not directly or indirectly sublet the contract to any other person/firm
in any manner. Otherwise contract may be terminated by NHAI & may forfeit the
security deposit.
15. The licensee shall be responsible to protect the Govt. property in his/her possession
during the license period from any damage or loss and shall be responsible for proper
hygienic condition and maintaining perfect cleanliness in and around the premises. The
Licensee shall pay for damage done by him/her or his/her servants or agents during the
period of license to the property of the NHAI.
16. The licensee shall not use the premises under Highway Nest (mini), for the purpose other
than for which license has been given.
17. The applicant shall maintain a First Aid Box and essential medicines on the premises.
18. NHAI shall not be responsible for any loss, theft or dacoit in relation to any of the
activity relating to Highway Nest (mini).
19. The licensee shall pay all the Central, State and local taxes/cess etc for the time being
imposed or assessed by the Competent Authority or levied in future from time to time
including payment of stamp duty and or registration fee prescribed by the Competent
Authority on the registration of License/Agreement deed.
20. The licensee shall obtain all the required permissions/license from concerned authorities
for running their business at the premises/sites at his own level and shall obey all the
rules/regulations applicable from time to time in this regard.
21. The licensee shall not be allowed extension of counter/additional space in any
circumstances and shall not make any addition or alteration in the premises without the
consent/approval of the NHAI, PIU-Jaipur.
22. The licensee shall ensure good behavior of him and his employees with the public.
23. No obnoxious trade shall be carried on in the premises. No other illegal activity shall be
allowed to be carried by the licensee and in case of such eventuality all the
responsibility or legal obligations fall upon the licensee.
24. Children below 18 years of age will not be employed under any circumstances.
25. The overcharging shall lead to invoking of penalty clause and repeated incidence of
overcharging may lead to cancellation of the contract also.
26. The licensee shall not allow any hawker to sell eatable/non eatable items or unhygienic
commodities in the allotted premises.
27. Licensee must operate the KIOSK 24*7 at his own cost, risk and responsibility.
28. The licensee shall be called upon for repair the premises in case it is found that the
premises require repair. It shall be the responsibility of the licensee to renovate/the
site/Kiosk immediately at their own cost.
29. The licensee shall at all the times without any hindrance, permit the duly authorized
officers, servants of the Govt. to enter into and upon the premises for the purpose of
inspection and enforcing all the terms and conditions of this license.
30. The licensee will indemnify NHAI PIU-Jaipur and keep it harmless from all claims,
demands, action, cause and charges to which the NHAI PIU-Jaipur may become liable for
which it may have to pay or be held liable thereof by any reason including the reason of
injury to any person, reputation or property suffered or sustained by any employee of
the NHAI PIU-Jaipur or arising out of any activity or negligence or commission of the
licensee or its employees.
31. NHAI PIU-Jaipur shall have a lien on all the belongings and properties of the licensee for
the time being in or upon the premises.
32. The Licensee will be required to sign an agreement within 15 days from the date of
Letter of Acceptance (LOA) containing all the detailed terms and conditions.
33. The Licensee shall at all times and from time to time at its own cost and expense take
out adequate and proper insurance during the continuance of this Agreement against all
risks including Third Party risk to persons working there and properties including saleable
goods and highway nest (mini) fire and explosion risk, riot risk, workmen's compensation
and injury policy and/or loss or damage to the products due to any cause whatsoever and
shall keep all such insurance policies in force at all times.
34. No party shall disclose any information to any third party concerning the matters under
this Agreement. Any proprietary information (identified as such by the disclosing party),
to be contained in reports or disclosed by one Party to the other Party, shall be
kept strictly confidential by the receiving Party, and shall not be disclosed to any
third party without the prior written consent of the original disclosing party. This
clause shall survive for a period of 6 months from the termination or expiry of this
Agreement. The confidential information shall be returned on termination or expiry of
this Agreement and all copies in any form shall be destroyed. Licensee will have to
provide all information as and when required by NHAI.
35. Any and all Correspondence made or notices to be sent are required to be made under
this Agreement shall be in writing, signed by the Party giving such notice and shall be
delivered to the other Party at its addresses set forth herein below or at any such other
addresses as such other Party may subsequently notify
36. The Licensee shall submit a passport size photograph along with specimen signatures
duly attested by the Gazetted Officer or Notary Public and ID proof (Aadhar card) of
himself and all his manpower deployed on allotted site. No unauthorized person to be
deployed by him.
37. Any alteration/additional facilities to the Highway Nest Mini & the adjoining area of NHAI
can only be done with due approval of the Authority (NHAI) and all such
alteration/facilities shall be deemed to be sole property of NHAI and the applicant
cannot claim right over it.
1. The applicant shall remove all their fitting, fixture and related accessories at their
own cost immediately after the expiry of the agreement or sooner on termination and
hand over of premises
2. The NHAI reserves the right to impose the penalty/fine on breach of any of the terms
and conditions of the license.
3. In case of breach of any of the terms and conditions of this deed by the licensee, the
NHAI may terminate the license by giving 30 days clear notice and grant the license to
other party at the risk of licensee and recover the loss if any caused to the NHAI.
4. On the termination of the license in accordance with above Clause, the licensor may in
addition to resumption of the premises, forfeit the whole or part of the security deposit
deposited by the licensee along with interest thereupon.
5. The NHAI shall be at liberty to terminate the license on change in government/NHAI
policy by giving 30 days clear notice in writing to that effect and the licensee shall not
have any right to claim any financial loss occurred on this.
6. The licensee may terminate the license deed by giving 30 days clear notice in writing.
The loss thus caused to Department on re-allotment of the contract of the premises shall
be borne by the licensee. In case licensee stops performing as per agreement, NHAI PIU-
Jaipur has the right to terminate the agreement & forfeit the security deposit without
any notice period.
7. The licensee shall deliver the vacant possession of the premises to the NHAI on the
expiry or termination of the license.
8. On termination of contract the Highway Nest (mini) will be the property of NHAI.
9. On the termination of license under any of terms and conditions of the license:-
a. The Licensee will deliver the vacant possession of the Kiosk in its original state to
the licensor, failing which the Kiosk shall be got vacated in accordance with
Government Rule & Regulation. The cost of damages, if any, to the premises or
fixtures shall be recovered from the licensee.
b. The amount of security lying at the credit of the licensee after adjusting all the
dues shall, however, be refunded to him.
JURISDICTION
Any dispute or differences or claim etc shall be subject to the exclusive jurisdiction of the
Hon’ble Courts situated at Rajasthan only. No other Court shall have the jurisdiction to entertain
or try any matter concerning this tender.
IN ADDITION TO ABOVE, THE FOLLOWING TERMS AND CONDITIONS ARE ALSO APPLICABLE
FOR KIOSKS:-
1. The licensee of this Kiosk will keep the minimum following list of items as below.
a) Packed drinking water bottles/cold drinks/soft drinks/juices/light snacks etc.
b) Vending Machine for tea and coffee and light snacks etc.
c) Vending machine for cold and hot beverages
2. The rates of the articles to be sold in the premises shall not be more than Maximum
Retail Price (MRP) or government approved rates.
3. The licensee shall only use the vending machine for making the tea/coffee/soup in the
Kiosk/premises (as the case may be).
4. Service Provider shall have to make use of Point of Sale (POS) Machine, e- Wallets,
etc. for cash less payment.
5. The parking area shall be utilized for intended purpose and no permanent parking of
vehicles shall be allowed.

aforesaid Project, and we certify that all information provided therein is true and correct:
nothing has been omitted which renders such information misleading; and all documents
accompanying the application are true copies of their respective originals.
2. This statement is made for the express purpose of our selection for license for
Operation and Maintenance of 4 Highway Nest Mini Facilities/ amenities at Barkheda
(Shivdaspura) Toll Plaza (Ch.30+500) & Sonwa Toll Plaza (Ch. 105+000) on Four Lane Jaipur
Tonk Deoli section of NH-52 under jurisdiction of PIU-Jaipur in the state of Rajasthan.
3. I/We shall make available to the Authority any additional information it may find
necessary or require to supplement or authenticate the Application.
4. We acknowledge the right of the Authority to reject our Application without assigning any
reasons or otherwise and hereby waive, to the fullest extent permitted by applicable law,
our right to challenge the same on any account whatsoever.
(c) The undertakings given by us along with the Application in response to the EOI for
the Project were true and correct as on the date of making the Application and are
also true and correct as on the Bid Due Date and I/We shall continue to abide by
them.
6. I/We understand that you may cancel the Bidding Process at any time and that you are
neither bound to accept any Bid that you may receive nor to invite the Applicant to apply
for the Project, without incurring any liability to the Applicant.
7. I/We certify that in regard to matters other than security and integrity of the country,
I/we/any Member of the firm/company or any of our/their Associates have not been
convicted by a Court of Law or indicted or adverse orders passed by a regulatory authority
which could cast a doubt on our ability to undertake the Project or which relates to a
grave offence that outrages the moral sense of the community.
8. I/We further certify that in regard to matters relating to security and integrity of the
country, I/we/any Member of the firm/company or any of our/their Associates have not
been charge-sheeted by any agency of the Government or convicted by a Court of Law.
10. I/We undertake that in case due to any change in facts or circumstances during the
Application Process, we are attracted by the provisions of disqualification in terms of the
guidelines referred to above, we shall intimate the Authority of the same immediately.
11. I/We hereby irrevocably waive any right or remedy which we may have at any stage at law
or howsoever otherwise arising to challenge or question any decision taken by the
Authority in connection with the selection of the Applicant, or in connection with the
Application Process itself, in respect of the above mentioned Project and the terms and
implementation thereof.
12. In the event of my/our being declared as the selected for issuing license, I/we agree to
enter into a license deed in accordance with the draft provided to me/us by authority. We
agree not to seek any changes in the aforesaid draft and agree to abide by the same.
13. I /We have studied all the EOI documents carefully. We understand that except to the
extent as expressly set forth in the License deed, we shall have no claim, right or
title arising out of any documents or information provided to us by the Authority or in
respect of any matter arising out of or relating to the Application Process including the
award of co-branding partnership.
14. I/We agree and understand that the Application is subject to the provisions of the EOI
Documents. In no case, I /We shall have any claim or right of whatsoever nature if the
License is not awarded to me/us or our application is not opened or rejected.
15. I/We agree and undertake to abide by all the terms and conditions of the EOI and License
deed.
16. I/ We hereby submit our application for license for Operation and Maintenance of 4
Highway Nest Mini Facilities/ amenities at Barkheda (Shivdaspura) Toll Plaza (Ch.30+500)

shall furnish you with a Bank Guarantee for the sum specified therein as security for compliance
with his obligations in accordance with the Contract;

NOW THEREOF we hereby affirm that we are the guarantor and responsible to you on behalf

This guarantee shall be valid until 90 days from the date of expiry of the of the license period.
The liability of the Bank under this Guarantee shall not be affected by any change in the
constitution of the consultants or of the Bank.
The Guarantee/bank hereby confirms that it is on the SFMS (Structural Finance Messaging
Systems) platform & shall invariably send an advice of this bank guarantee to the
designated bank of NHAI after obtaining details thereof from NHAI.
This guarantee shall also be operatable at our ………….. Branch at Jaipur from whom,
confirmation regarding the issue of this guarantee or extension/ renewal thereof shall be
made available on demand. In the contingency of this guarantee being invoked and
