Description SMC is an automobile manufacturer company in India, which manufactures and sells
branded cars such as Ford EcoSort, Ford Freestyle, Ford Figo, Ford Aspire, Ford
Endeavour. The company aims to double its sales network in next 2 years. The company
always welcomes new partners in its journey. The company currently has authorised
dealers in its network and is always looking forward to expanding it. The SMC
organization want to develop an online application named “SMCDealers” for registering
and onboarding new dealers.
New Dealer enrolment is a process to register a new dealer and showcase its strengths
to market and sell more vehicles in the next 2 years. We should create an application
using Pega 8 to provide the facility to register the new dealers on to the website.
Enrolment Process: A dealer has to register on to the website by providing the details in
Dealer Information Form (DIF). DIF should able to gather the dealer details like name,
location, Id proof, Address proof, License proof etc. If the DIF information is valid and
authentic, then admin/agent can approve his registration or reject with appropriate
reason, which should be mailed to the dealer on either case. If the dealer is approved,
then a Dealer Agreement Form (DAF) should be sent to the dealer for his signature
mentioning specific products and materials with its volume and pricing to be marketed
by the dealer.
The agreement can be signed for a contract initially for 6 months which can be
extended to 1 or 3 or 5 years depending on the dealer marketing and sales of the
products.

Normal Flow New Request:
The applicant needs to first accept the terms and conditions before submitting the
application for the dealership. Upon accepting the terms and conditions the applicant
has to fill the required details and upload the required documents.
Admin Approval:
The admin of SMC organization has to review the applicant details and approve or
reject the request. The admin has to approve or reject within 5 to 7 business working
days. If approved or rejected a correspondence mail to be sent to the applicant. If
approved the admin has to upload the Dealer Agreement Form (DAF) and send it to the
applicant as an attachment to the applicant.
Accept Dealer Agreement Form (DAF):
The applicant has to read and accept the norms listed in Dealer Agreement Form and
sign the document and send it to admin for acceptance.
Alternate Flows If the SMC Admin rejects the new application request, a correspondence mail must be
sent to the dealer with the reason of rejection of an application request.

2. Create a data source names “vehicle details” to store the vehicle details like
Model, Launched Year, Image and Price. Store 10-15 records.
Frequency of Use Whenever someone want to request for a new dealership.
Special Requirements 1. Before submitting the application form the dealer has to accept the terms and
conditions.
2. SMC Admin has to approve or reject the dealer application form within 4 to 6
business working days
Future Requirements In future release, we can plan to implement the process for extending the dealer
contract.

Notes and Issues 1. The contact number must be for 10 digits, must start with 7, 8, 9.

TERMS & CONDITIONS
The applicant must read and understand the requirements stipulated below and prepare all relevant documents
prior to submitting this application form.
A) Supporting Documents
The following documents are to be attached with the Application Form:
1. Company’s profile
2. Company’s Memorandum & Articles of Association.
3. Company’s Form 9, 24, 44 and 49.
4. Copies of audited financial report (last 3 years).
5. Copy of I.D cards of all shareholders and directors.
6. Information on propose location, investment assessment and projection, sales and marketing plan.
7. Any other supporting documents.
B) Financial
1. Successful applicant must provide adequate capital to finance the proposed dealership.
C) Propose Site
1. Land - “Industry” or “Commercial” status that able to operate a 3S under 1 roof
2. Ownership / Tenancy - Land must be owned or leased for a long-term duration of at least 10 years.
3. Approval - The applicant must be able to obtain all relevant government approvals from local
authority/council particularly for workshop operations at the proposed site.
D) This application form is for one PMA (Primary Market Area) only. If applicant intend to apply for multiple
PMA, a separate application form is required for each location.

Appendix – F
DEALERSHIP AGREEMENT
This Agreement is effective from this ____________________ (Date) at_____________________ (Place)
BETWEEN
1. _________________________________ (Name of Organization) incorporated under the Companies Act, 1956
having its registered office at ____________________________________________(Address), through
Mr._____________________ as authorized representative, hereinafter to be referred to as The Company;
AND
2. ___________________________ (Name of Organization), a partnership with Mr.________________ as its
partners, having its office at ________________________________________________ (Address), through its
partner Mr__________________ hereinafter to be referred to as the Firm.
WHEREAS The Company is engaged in distribution of Cars and its parts of SMC Company.
AND WHEREAS The Firm has its establishment at ________________________________ and is making sales of the
cars, its accessories and all related products of various companies and has shown its desire of obtaining the goods of
SMC Company from The Company for the purpose of selling then at the said establishment.
AND WHEREAS The Company, after examining the proposals put forward by The Firm has decided to engage it has
Dealer in ____________________ (City). Has agreed to appoint the firm as its dealer on the terms and conditions as
contained in this agreement.
NOW THIS AGREEMENT WITNESSES AS UNDER:
1. That The Company hereby appoints The Firm as its authorized dealer to promote and sell the products of SMC
COMPANY in ______________ (CITY).
2. That the appointment of The Firm as authorized dealer shall remain in force for a period of six months from the
date of this agreement, but may be renewed on the terms and conditioned that parties may decide mutually at
the time.
3. Either party may terminate this agreement at any time, provide that it notifies the other party by registered
letter, 30 days in advance.
4. That The Firm shall keep the stock of The Company for Rs _________ at any time. The Firm shall submit a
detailed quarterly return of the products received, product sold and product in hand.
5. That The Company shall allow credit of one month to The Firm on all invoices generated but an interest of 12%
per annum shall be charged on all payments received after the said period.

6. The cancellation of Orders or Special Orders by The Firm shall be subjected to the payment of an amount of 10%
of the value of the cancelled order.
7. That the promotion and advertisement material shall be supplied by The Company to The Firm in sufficient
Quantity so as to display the same at sales depot and for distribution in the city.
8. That The Company shall bear 70% cost of staff and the training required, subject to maximum of 12% of the
invoice value account operating with The Company on quarterly basis.
9. That the accounts between the parties shell be settled half-yearly and debit and credit notes shall be issued on
order to settle up the accounts.
10. The Company, every six months, shall train employees at the outlet in sales and after-sales services.
11. That the Firm shall make every effort to promote the sales of The Company. In case it is felt by the company
that the firm is not talking proper interest, it may terminate the dealership.
12. That The Firm shall not sell any goods of The Company on a price higher or lower than what is be fixed by the
company from time to time.
13. That upon the termination of the agreement the accounts shall be settled within a period of 30 days. The
Company shall take back all unsold stock and square the account accordingly.
14. That any notice provided under this agreement shall be given by registered letter with acknowledgement of
receipt to the registered address as indicated in this agreement.
15. This agreement contains the entire understanding of the parties and cancels and supersedes all prior
discussions and agreements between the parties, whether written or oral.
16. That the in event of a dispute, the parties shall be governed by the provisions and laws of governing law.
