NON-CIRCUMVENTION, NON-DISCLOSURE & WORKING AGREEMENT

BETWEEN

1652804 herein referred to as the 1st Party ("1st Party"),

AND

Deepak Jain, CMD –Zero Fin Corporation with professional address: - 1705,
Nirmal Tower Barakhamba Road New Delhi- 110001 email:
[email protected], having Indian Passport No: P6616868 herein
referred as the 2nd Party ("2nd Party") acting as Facilitators to National &
International Clients,

Herein "1st Party", declares and agrees to “2nd Party”:

That:

1. Any business opportunities referred by the 2nd Party will be treated by the
1st Party with confidentiality, and by non-disclosing the names of the Clients,
and/or amounts and contents of their Business/ Financing applications, and any
other documentation

or information related to their requests to any other 3rd Party, without 2nd
Party’s prior consent provided in writing/email/SMS/what’s up.

2. The 1st Party will work on an exclusive basis through his companies,
associated companies, SPV’s to the 2nd Party for all the Clients /associated
companies or any of its subsidiary companies referred by the 2nd Party, being
this in the Clients country of origin or any other country where those Clients or
any of its subsidiary companies may wish to develop its activities and need to
secure business.

3. Financial /returns /profit/commission /incentives shell be discussed and agreed


upon mutually and case to case Basis. Confidentiality of such propositions will
remain non- disclosure to any or others clients/companies/associates.
