Contracts for technical services

Party A has the qualification and ability to engage in system development and
technical services, and is willing to provide technical services to Party B. Party B
needs to obtain technical services, the two parties reach an agreement and follow the
following terms:
1、Service content
1.1 Party A shall provide Party B with technical services in accordance with the
agreement, as follows:
Including customised enterprise ERP system technology development, technical
maintenance, technical equipment installation.
1.2 Party A shall provide Party B with technical services in accordance with the
agreed time, the specific service time is as follows:
31 May 2024 - 15 November 2024
2. Service Fee
2.1 Party B shall pay Party A a fee of S$225,000.00 for the Technical Services in the
following manner:
Within 15 working days after the signing of the Contract, Party B shall pay Party
A an advance payment of 60% of S$135,000.00;
Upon completion and delivery of the Technical Services as stipulated in the

Contract, you shall pay to us the remaining 40% balance of S$90,000.00.
2.2 In the event that the payment for the Technical Services as agreed between the
parties is not made on time, Party A shall have the right to discontinue the Technical
Services and shall have the right to demand that Party B pays the overdue liquidated
damages.
3. Liability for breach of contract
3.1 Party A's liability for breach of contract:
(1) If Party B is not provided with technical services according to the agreement, it
shall bear the responsibility for breach of contract and compensate Party B for the
losses suffered as a result;
(2) If there are defects in the technical services, Party A shall rectify or improve them
in time and bear the corresponding delay costs, and also compensate Party B for the
losses suffered as a result;
(3) Disclosing Party B's commercial secrets or other confidential information, it shall
bear the responsibility of breach of contract and compensate Party B for the losses
suffered as a result.
3.2 Party B's liability for breach of contract:
(1) Failure to pay the technical service fees according to the agreement shall be liable
for breach of contract and pay overdue liquidated damages;
(2) Failure to provide the necessary service information and materials in accordance
with the agreed time shall bear the liability for breach of contract and compensate
Party A for the losses suffered as a result;
(3) Intentionally destroying the stable operation of the technical services, leaking
Party A's commercial secrets or other confidential information, shall bear the liability
for breach of contract and compensate for the losses suffered by Party A as a result.
3.3 The defaulting party shall rectify the default situation within 10 working days
after receiving the written notice from the other party, and shall bear the
corresponding legal responsibility and compensation liability if it refuses to modify.
4. Dispute settlement
4.1 If any dispute arises in the course of the performance of this contract, the two
parties shall resolve it through consultation. If negotiation fails, both parties may file a
lawsuit to the District Court.

4.2 The conclusion, entry into force, performance and interpretation of this contract
shall be governed by the laws and regulations of Singapore. In case of changes in laws
and regulations, both parties shall consult and adjust the service content of the
contract in a timely manner.
5. Other Terms and Conditions
5.1 This contract shall come into effect immediately upon signature by both parties.
5.2 This contract shall be executed in duplicate, with Party A and Party B each
holding one copy.
5.3 The two parties can negotiate and modify the matters not covered in this contract,
and the modified agreement shall be attached as an annex to this contract and have the
same legal effect.
