Preface

This Framework (hereinafter referred to as the "Framework") is established to formalize and govern
the collaborative relationship between ETS Technical Services (hereinafter referred to as "ETS") and
MTN Sudan (hereinafter referred to as "MTN"). The purpose of this Framework is to create a
structured, scalable, and efficient foundation for the provision of technical services, equipment, and
solutions by ETS to MTN, ensuring mutual benefit, transparency, and long-term partnership success.

Parties to the Framework


1. ETS Technical Services (ETS):
o ETS is a leading provider of advanced technical solutions, specializing in the
deployment, maintenance, and support of cutting-edge technologies such as Starlink-
based internet services, 4G setups, and related hardware. With a commitment to
innovation, reliability, and customer satisfaction, ETS aims to deliver tailored
solutions that meet the unique needs of its clients.
2. MTN Sudan (MTN):
o MTN is a prominent telecommunications company operating in Sudan, providing a
wide range of services including mobile connectivity, internet solutions, and digital
services. As a forward-thinking organization, MTN is dedicated to enhancing its
network infrastructure and service offerings to meet the growing demands of its
customers and stakeholders.
Purpose of the Framework
The Framework is designed to:

• Standardize the Relationship: Establish a clear and consistent set of terms and conditions
that apply to all services provided by ETS to MTN, ensuring alignment and reducing the need
for repetitive negotiations.
• Enable Scalability: Provide a flexible structure that allows for the addition of new services,
projects, or initiatives through Service Order Forms (SOFs), ensuring that the agreement
remains relevant and adaptable to MTN’s evolving business needs.
• Ensure Clarity and Transparency: Define the roles, responsibilities, and expectations of
both parties, minimizing the risk of misunderstandings or disputes.
• Promote Efficiency: Streamline the process for initiating and managing projects, reducing
administrative overhead and enabling both parties to focus on delivering value.

Structure of the Framework


The Framework is organized into the following key sections:
1. General Terms & Conditions: Establishes the foundational rules governing the
relationship, including confidentiality, liability, payment terms, and dispute resolution.
2. Scope of Services: Provides a broad description of the services ETS can offer, ensuring
flexibility to accommodate future projects.
3. Service Level Commitments: Defines the general service quality standards that ETS
commits to across all projects.
4. Equipment & Warranty Policy: Outlines the warranty terms for hardware provided by
ETS, including coverage and exclusions.
5. Proof of Concept (PoC) Framework: Standardizes the process for deploying and
evaluating PoCs to validate service performance.
