CONTRACT INFORMATION

GUARDING SERVICES CONTRACT

This agreement is made this ………………………………………………….. between JAREX


SECURITY SOLUTIONS a company duly registered in the Republic of Kenya under the Companies Act
Chapter 486 Laws of Kenya. (Hereinafter referred to as “The Company”) on the one part and
……………………………………… of P.O. Box …………………………………………….
(Hereinafter referred to as “The Client”) on the other part.

THE PARTIES AGREE AS FOLLOWS

1. DESCRIPTION OF SERVICES

The Company shall provide manned guarding and/or dog patrol services to the Client as requested and
these are the only services the Company has to provide under this contract. Subject to the provision of this
Contract, the Company shall carry out such services with due diligence and proper care.

2. TERMS OF CONTRACT
• This contract shall take effect on the date first written herein above shall be valid for
……………… years and may thereafter be renewed for further terms of …………… years at a
time, on such terms as may be agreeable between the parties unless otherwise terminated by
either party in accordance with Clause 9 below.
• The Day Guard shall report at 6.00 AM and leave at 6:00 PM.
• All Guards shall be paid by 5th of every month.
• The COMPANY is an independent contractor and undertakes performance of the service as an
independent contractor and SHALL NOT be construed as an employee of the CLIENT and this
agreement WILL NOT be construed to create partnership, joint venture, agency or employment
relationship between parties.
• The company SHALL NOT have the right to authority to create any obligation or responsibility
on the client’s behalf or to obligate or bind the client in any respect. The company further
warrants and represents that it has no obligation or indebts that would impair its ability to fulfill
its obligation under this agreement.

• The company shall provide…………guard day and…………guard night,………..supervisors

• The company shall provide necessary materials and kitting to her guard(s) during the period of
tenure.
• The client shall provide books (quire counter) for guards for record keeping
• The company shall provide full company uniforms, torches, PR, whistle, raincoats and all
necessary kits (here in referred to as full security kits.
• The company shall at all times, ensure that the security guards are clean and well behaved during
their duty.
• The company shall provide a reliever for each guard one day every week.
• The Company shall ensure that the client’s property and premises are protected and secure at all
times.
• The client shall provide a sentry box for the guards or as mutually agreed, the company shall
provide one within the client’s premises at cost.
• The client shall ensure that all doors are locked and properties well secure before handing over to
the day or night guard(s)
3. OBLIGATION TO INSURE

The Client will insure and keep insured for the duration of this Contract with reputable insurers, the
premises and items of property therein to be protected hereunder as are of an insurable nature, against loss
or damage by fire, theft, burglary and such other reasonable risk as shall be requested of the said Client by
the Company.

The Company shall insure and keep insured its security guards and personnel engaged in the performance
of the services under the Agreement against any injury sustained by them in the course of carrying out
their duties for the duration of this Agreement with reputable insurers.

4. LIABILITY CLAUSE
• The company shall NOT BE liable whatsoever to any loss or damage arising from negligence
either by omission or commission on the part of the client or its employees.
• The company SHALL BE liable for loss or damage if it is proved beyond reasonable doubt that
the loss damage arose as a result of negligence, either by omission or commission on the part of
the company employees.
• The company shall ensure that all guards are covered by workers compensation scheme policy
band that in case of an accident/injury, on part of the security personnel; the company shall
facilitate response and treatment of the security personnel.

5. SERVICE RATES CLAUSE


• The COMPANY SHALL provide security services at the rate of KES………………...……..per
month per guard on a 12hrs shift, at KES……………………………...per project manager and at
KES ……………………………………...per supervisor(see overleaf part VI)
• The company agrees not to increase the service rates for a period of 12 months after the effective
date, after which time the service rates may be increased if the company's cost to provide the
services has increased by more than 15%. The company agrees to give the client 60 days written
notice prior to putting any increase into effect.
• The company shall issue invoice to the client at the end of every month and the invoice shall be
de effective the day it is issued
• Both parties may terminate service contract by giving each other 30 days of notice or lieu.

6. INSURANCE COVERAGE CLAUSE

1. The COMPANY SHALL , at its own expense, keep in force at all times for the duration of this
agreement, public liability, property damage and personal injury insurance in a combined single limit
of KES100,000 (one hundred thousand Kenya Shillings) on or as per occurrences basis.
