GRAPHIC DESIGN CONTRACT AGREEMENT
Between Belinda J. Thum and Chidubem Casmir
This Contract Agreement is made and entered into as of July 23, 2024, by and
between:
1. Belinda J. Thum, as the client whose address is 331 Arlington Cir, Ridgeland,
MS 39157-2576, USA.
2. Chidubem Casmir as the Service Provider, a professional graphic designer,
whose address is No. 12, Road 20, Trans-Ekulu, Enugu, Nigeria.
WHEREAS, the Client desires to engage the Service Provider to provide professional
graphic design services as outlined in this agreement, and the Service Provider
agrees to provide such services under the terms and conditions specified herein.
NOW, THEREFORE, in consideration of the mutual covenants and agreements
contained herein, the parties agree as follows:
1. Scope of Work
The Service Provider agrees to perform the following services:
• Create and deliver professional graphic design materials, including but not
limited to logos, branding assets, marketing materials, and other design
deliverables as specified by the Client.
2. Term of Agreement
This agreement shall commence on July 27, 2024, and shall remain in effect until July
27, 2025, unless terminated earlier in accordance with the provisions outlined herein.
3. Compensation
• The total agreed compensation for the services rendered under this
agreement is $30,000.00.
• Payment shall be made via transfer to the Service Provider’s designated
account upon completion and approval of deliverables.
4. Responsibilities of the Parties
4.1. Service Provider Responsibilities:
• Deliver high-quality designs in accordance with the agreed specifications
and timeline.
• Maintain regular communication with the Client to ensure project alignment.
• Provide revisions as requested by the Client, subject to the agreed scope of
work.
4.2. Client Responsibilities:
• Provide timely feedback and approval of deliverables.
• Furnish all necessary materials, such as branding guidelines or other
references, required for the Service Provider to complete the work.
5. Ownership of Work
Upon full payment, all designs and related intellectual property created under this
agreement shall become the exclusive property of the Client.
6. Relationship of the Parties
The relationship between the Client and Service Provider is that of an independent
contractor. Nothing in this agreement shall be construed to create any partnership,
joint venture, or employer-employee relationship.
7. Confidentiality
The Service Provider agrees to maintain the confidentiality of all proprietary
information shared by the Client during the course of the agreement.
8. Termination
Either party may terminate this agreement upon giving 14 days' written notice to the
other party. In the event of termination, the Service Provider shall be compensated
for work completed up to the termination date.
9. Dispute Resolution
Any disputes arising out of this agreement shall be resolved through mediation.
Failing that, disputes shall be settled under the jurisdiction of the governing law of
the United States.
10. Entire Agreement
This document represents the entire agreement between the parties and supersedes
any prior agreements or understandings, whether written or oral.
