EMPLOYMENT CONTRACT
This Employment Contract (the "Contract") is made and entered into as of February
20, 2025, by and between:
The Company: South African Maritime Engineering (Pty) Ltd., a company organized
and existing under the laws of the Republic of South Africa, with its principal place
of business at 12 Ocean Deep Avenue, Johannesburg, South Africa (hereinafter
referred to as the "Company").
The Employee: Daniel Marcus (hereinafter referred to as the "Employee").
1. EMPLOYMENT
The Company hereby employs the Employee, and the Employee hereby accepts
employment with the Company, on the terms and conditions set forth in this
Contract.
2. POSITION AND DUTIES
The Employee shall serve in the position of Senior Project Engineer and shall
perform such duties and responsibilities as are customary for such a position and
as may be assigned by the Company from time to time. The Employee agrees to
devote their full working time, attention, and energies to the business and interests
of the Company.
3. TERM OF EMPLOYMENT
This Contract shall commence on March 1, 2025, and shall continue until December
10, 2025 (the "Term").
4. COMPENSATION
In consideration for the services to be rendered by the Employee, the Company
shall pay the Employee a salary of $85,000 (USD equivalent or otherwise specified
by agreement) pro-rated for the Term, payable in accordance with the Company's
standard payroll practices. In addition, the Employee may be eligible for benefits as
described in the Company's employee handbook, which may be amended from
time to time.
5. CONFIDENTIALITY
The Employee agrees that during the Term of employment and thereafter, they
shall not, directly or indirectly, use, disclose, or permit to be disclosed, any
confidential information of the Company, including but not limited to trade secrets,
proprietary information, business plans, client lists, and technical data, except as
required in the performance of their duties for the Company.
6. TERMINATION
This Contract may be terminated:
• By the Company: For cause (including but not limited to, gross misconduct,
breach of contract, or failure to perform duties) or without cause upon
providing ninety (90) days' written notice to the Employee.
• By the Employee: Upon providing ten (10) days' written notice to the
Company.
Upon termination, the Employee shall be entitled to compensation for services
rendered up to the date of termination and any accrued but unused vacation time,
as per Company policy.
7. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws of
the Republic of South Africa.
8. ENTIRE AGREEMENT
This Contract constitutes the entire agreement between the parties and
supersedes all prior and contemporaneous understandings, agreements,
representations, and warranties, both written and oral, with respect to the subject
matter hereof.
