Overview
To reward partners for selling Splunk Cloud, Splunk is offering rebates of 3% on Splunk Cloud subscription Qualified
Bookings (as defined below) to qualifying Sell Motion Partners (“Sell Partners”) and Manage Motion Partners
(“Manage Partners”) globally that close more than USD $10,000 in quarterly cloud subscription Qualified Bookings
(“Cloud Rebate”).

Time Frame
The Cloud Rebate applies to partner Qualified Bookings from August1, 2022 to January 31, 2023. Splunk reserves the
right to modify, terminate, or replace the Cloud Rebate incentive at any time at its sole discretion upon publishing of
such modification or termination on the Splunk Partner Portal. The effective date of any modification or termination will
be the date on which such replacement or termination is posted on the Splunk Partner Portal. Your continued
participation in the Program serves as your consent to such modification or termination.

Partner Eligibility
The Cloud Rebate is available to Sell (Resale) and Manage (Manage Service Providers) Partners in the Elite,
Premier, or Associate tiers in good standing including Provisional Associate, Premier and Elite who are authorized to
sell Splunk Cloud subscriptions.Partner eligibility is also based on Partner tiering and motion at the time of the order
booking.

Qualified Bookings Eligibility


Qualified Bookings for the Cloud Rebate must meet all of the following criteria:
● Close between August 1 2022, and January 31, 2023
● Be one of two deal types; new subscriptions, including new Expansion or Upgrade deals (“New”) or Splunk Cloud
renewals (“Renewal”).
● A Splunk Cloud subscription. Rebate excludes any non Splunk Cloud subscription items including but not limited to
term licenses, training, education, credits, product specific software and all other non Splunk Cloud subscription
items.
● Deal must be Partner sourced meaning that the Partner found and progressed the opportunity through to closure.
o Note: Manage Partners do not require deal registration since all MSP business is considered to be pre
approved as a deal registration.

Resale deals that are sold to a United States Public Sector entity (Public Sector includes any governmental federal,
state or local municipalities or agency, public education and local governments) are excluded from rebate eligibility.
Splunk reserves the right to exclude Qualified Bookings where the discount is 40% or more above maximum tier
program discounts, at its sole discretion. If this occurs, Splunk will notify the Sell or Manage Partners in writing that the
deal is ineligible for the Cloud Rebate during the Cloud Rebate Calculation Period.
Calculation of Rebate
To qualify for payment, the quarterly total of the Sell or Manage Partners’ Splunk Cloud subscription Qualified Bookings
must exceed USD $10,000.

Cloud rebates are calculated on Total Contract Value (TCV) of the Splunk Cloud subscription or Incremental Annual
Contract Value depending on the deal type outlined below and defined as:
● New subscriptions: Total Contract Value (TCV) of new Splunk Cloud subscriptions, including new expansion or
upgrade deals
● Renewal: One year ACV based on the difference between original Splunk Cloud subscription and the new Splunk
Cloud subscription..
o For example, if a subscription deal is $20,000 more ACV than the original deal, the rebate is paid on
$20,000 not the total ACV of the deal. In addition, if the renewal is at the same rate as the current
subscription no rebate is paid.

Cloud Rebate percentages are calculated as follows:


● 3% for Qualified Bookings that meet the eligibility requirements

Cloud Rebate payments are capped as follows:


● USD $100,000 per deal, and USD $500,000 per partner per quarter

Cloud Rebate Payment Process


Splunk will calculate qualifying Cloud Rebates twenty (20) days after each Splunk fiscal quarter close (“Calculation
Period”). Once the Calculation Period is over, no additional changes or adjustments may be made against the Cloud
Rebate.

Splunk’s Fiscal Quarters are as follows:


● Q1: February 1 – April 30
● Q2: May 1 – July 31
● Q3: August 1 – October 31
● Q4: November 1 – January 31

Splunk will notify Eligible Partners who qualified for a Cloud Rebate payment approximately 45 days after Splunk’s
quarter end via email. Payments will be made directly to your company’s XTRM account approximately 30 days after
the notification. Partners are responsible for transferring their payments to their company’s bank account via XTRM
which is only accessible via the Financial Incentives Center (“FIC”). Refer to the Partnerverse Rebates How to Guide
for additional information.

Restrictions
● If Qualified Bookings for the Cloud Rebate are de-booked after the Sell or Manage Partner has been paid by
Splunk, the Sell or Manage Partner may be required to reimburse Splunk for any invalidated rebate.
● Splunk reserves the right to recover or adjust any payment in case of miscalculation.
● Resale deals where the end-customer is a United States Public Sector entity (Public Sector includes any
governmental federal, state or local municipalities or agency, public education and local governments) are excluded
from rebate eligibility.
● For Sell or Manage Partners located in China, in order to participate in this program and receive Cloud Rebate
payments, the Sell or Manage Partners must set up and provide information for a financial institution located in
Hong Kong.
● The Cloud Rebate cannot be combined with or stacked with any other Splunk rebates

This Partnerverse Cloud Rebate Guide is subject to the Splunk Partner Program General Terms and is incorporated
by reference into and made a part of the Program Guide. To the extent that this Partnerverse Cloud Rebate Guide
conflicts with the Program Guide, this Partnerverse Cloud Rebate Guide will control with regard to its subject matter.
