SERVICE LEVEL AGREEMENT
This Service Level Agreement (hereinafter referred to as “Agreement”), is made at Delhi
[Place] and on this 15th day of September, 2025. [Date].
BY AND BETWEEN (Identification of Parties)
ABC Company Private Limited, a Company within the meaning of Companies Act, 2013,
bearing CIN _______, and having its Registered Office/Address at: _______________, through
its Director CCVV, age: _____, registered address ______, UIN _______ (hereinafter referred
to as the “Company” which expression shall unless repugnant to the context or meaning thereof
be deemed to mean and include its successors, authorized signatories and permitted assigns),
AND
XYZ S/o. _________, aged about _______ years, bearing UIN ________/ PAN _________,
resident of _____________________________________, (hereinafter referred to as the
“Service Provider” which expression shall unless repugnant to the context or meaning thereof
be deemed to mean and include its ____________),
The Company and the Service Provider shall be collectively referred to as “Parties” and
individually as “Party”
WHEREAS: (Recitals)
(A) The Company is an ed-tech company that develops courses and helps students discover
and pursue their passions by helping them make informed career choices, and the
Service Provider is an expert in the field of digital marketing.
(B) The Company wanted to hire an expert for the purpose of course development and
accordingly, published an advertisement in the newspaper (_____) dated _____.
(C) The Service Provider, upon coming across the aforesaid advertisement, approached the
Company and expressed his interest in providing services as illustrated under clause 2
of this Agreement (“Services”) to the Company.

(D) The Company has satisfied itself of the eligibility and competence of the Service
Provider and relying upon the assurances made by the Service Provider, has agreed to
engage the Service Provider for providing the abovementioned Services at a fee of Rs.
20,000/- per month.
NOW THEREFORE IT IS HEREBY AGREED BY AND BETWEEN THE
PARTIES AS UNDER:
1. INTERPRETATION: (Sample Clauses)
In this Agreement, unless the contrary intention appears:
(i) an “agreement, document, indenture, undertaking, deed, instrument, and / or writing”
includes all amendments made thereto from time to time.
(ii) reference to a gender shall include references to the female, male and neutral genders.
2. DEFINTIONS:
In this Agreement, unless there is anything repugnant to the subject or context thereof,
the capitalised terms listed below shall have the following meanings:
“Business Days” means the customer days of operation, excluding weekends and
national and state holidays, in the State of ________, India, unless specified to the
contrary.
“Software” means all software systems of the Company unless a more specific
reference is required.
3. COMMENCEMENT DATE AND TERM
This Agreement shall commence from/on 17th November, 2025 (“Commencement
Date”), and shall remain in force for a period of 2 years (“Term”), unless terminated
for any reason whatsoever.
4. RELATIONSHIP

In fulfilling its obligations pursuant to this Agreement, each Party shall act as an
independent contractor. Nothing in this Agreement or any other consequential
arrangement occasioned between the Parties shall create any other relationship like
partnership, employment, joint-venture, etc., between the Parties.
