on behalf of Contractor and hereinafter referred to as the Second Party.

The First Party and Second Party shall be known collectively as the Parties.

Both Parties have agreed to enter a Renovation Work Contract for Villa 18 & 19
owned by PT. Mata Hijau Indonesia located at Jln. Danau Tamblingan No.76, Sanur,
Bali, 80228, Indonesia. The Second Party is willing to perform the renovation work,
with the costs borne by the First Party, with the provisions stated in the following
articles:

Scope of Work
The scope of work season 1 to be performed by the Second Party is as follows:

Article 2
Contract Value
The value of the villa renovation work contract season 2 is Rp. 933.414.000,- (Nine
Hundred Thirty Three Million Four Hundred Fourteen Thousand). This amount is
based on the Bill of Quantity (BOQ) season 2 created by the Second Party and
approved by the First Party, which is a reference and part of this agreement.

Article 3
Work Method
The method of work agreed upon by the Parties is as follows :

The First Party uses a direct appointment system to the Second Party and the
Second Party submits a budget to the First Party of is Rp. 933.414.000,- (Nine
Hundred Thirty Three Million Four Hundred Fourteen Thousand). based on the work
items listed in the Bill of Quantity (BOQ) season 2 and approved by the First Party

The Second Party provides a work time schedule based on the schedule provided by
the First Party.
The number of workers every day is a minimum of 20 people and a maximum of 50
people for 2 villa areas with supervisors, for a total of people.

The standard working hours are 8 hours plus 1 hour for break time, for a total of 9
hours. Working hours are from 8 AM to 5 PM and break time from 12 PM to 1PM .

Overtime work will be carried out from 7PM to 9PM and has to be approved by the
First Party two days before the overtime work is carried out.

There will be a designated project manager from the Second Party on site 7 days a
week during working hours to act as a point of contact with the hotel team.

The Second Party will ensure that the construction team will comply with and
respect hotel regulations, not roam around the villa area besides the project site
during working hours, not disturb the privacy of hotel guests, avoid unnecessary
noise disturbances and always follow hotel staff instructions.

The workers are not permitted to bring vehicles or park in the hotel parking area,
except for supervisors from the Second Party.
Article 4
Payment Method

The payment for the construction work is carried out in several stages:

 Down payment : 50% payment.


Which must be paid after signing the contract.
 Stage I : 30 % payment.
When the work progress has reached 50 % proven by progress reports and site
documentation photos.
 Stage II : 15 % payment
When the work progress has reached 100% proven by progress reports and site
documentation photos.
 Retainer: 5% payment
When the maintenance period ends after 6 months.

Article 5
Work Period
The work period is for a total of 60 days, starting from 8 January 2025 to 8
March 2025

Article 6
Force Majeur
Force Majeure means a condition that occurs beyond the expectations, capabilities,
and power of the Parties that results in the disruption of work, such as natural
disasters (earthquakes, landslides, storms, hurricanes, floods, fires, etc.).

The Second Party must notify the First Party of the disruption along with the
obstacles and consequences caused at the latest 48 hours from the time of the
Force Majeure occurrence.
If Force Majeure occurs, the Parties agree to make an addendum related to changes
in price and time of work that occurs in the site.

Any delays caused by Force Majeure cannot be subject to sanctions in accordance


with applicable regulations and laws.

Article 7
Modifying the Agreement
If during the construction process there are changes to the area, position, material
specifications, volume and shape as well as the addition of building materials, which
are not specified in the contract that has been agreed upon by the Parties, then the
Second Party will review BOQ and communicate changes in writing, which may
result in additional costs for the First Party.
Article 8
Maintenance Period
The maintenance period is valid for 6 months, after completion of the
work/handover of the work results followed by the signing of the building handover
report.

Article 9
Sanctions

If the work period exceeds the agreed timeline, the Second Party will be subject to a
fine of 2% from total contract value for every 1 day of delay.

If the First Party is negligent or late in respecting the payment terms with the
Second Party for the work carried out in accordance with the correct procedures
and time, the Second Party has the right to unilaterally stop the project with the
knowledge of the First Party (in writing) until a specified time limit.

Any costs incurred by the First Party due to delays in construction work, including
but not limited to operational hotel expenses, will be charged back to the Second
Party.

Article 10
Resolving Disputes
If in carrying out this contract there is a dispute or difference of opinion, then the
Parties will take the path of deliberation and consensus. If not achieved, then it can
be delegated to the authorized agency.

Article 11
Closure
The Parties will together comply with and be responsible for the contract that has
been agreed upon.
