Urban Company just broke EVERY IPO record in India. And as an ex-VC, I need to tell you why this matters. Their IPO was subscribed a mind-blowing 104 times — the highest in India in 2025. For perspective: Zomato → 38x Nykaa → 82x Urban Company → 104x! That’s ₹1.14 lakh crore in demand… for a ₹1,900 crore IPO. Madness, right? Think of an IPO like an exclusive concert. The company sells tickets (shares) for people to attend. Urban Company offered ~10 crore tickets. They got 1,100 crore applications. That’s 100 people fighting for the same seat. So how does it work? Investors bid within a price range (₹98–₹103 here). If demand explodes, like in this case, shares are allotted by lottery or proportion. Now, here’s the spicy part 👇 Who bid like crazy? Big institutions → oversubscribed 140x HNIs → oversubscribed 74x Retail investors (you & me) → oversubscribed 39x Employees → oversubscribed 36x Across the board, everyone wanted a piece. So why does 104x really matter? 1) Market signal → Big institutions don’t throw money blind. Their due diligence = stamp of trust. 2) Pricing power → Oversubscription = raising at the top end. Urban Co. walked away with the full ₹1,900 crore. 3) Brand currency → Every headline in India screamed their name. Free marketing on steroids. The takeaway? This wasn’t just hype. As a founder and investor, I’ve seen a troubling trend in the startup ecosystem: 𝗖𝗼𝗽𝘆 𝗮 𝘀𝘂𝗰𝗰𝗲𝘀𝘀𝗳𝘂𝗹 𝗴𝗹𝗼𝗯𝗮𝗹 𝗶𝗱𝗲𝗮. 𝗥𝗮𝗶𝘀𝗲 𝗯𝗶𝗹𝗹𝗶𝗼𝗻𝘀. 𝗕𝘂𝗿𝗻 𝘁𝗵𝗿𝗼𝘂𝗴𝗵 𝗶𝘁. 𝗥𝗲𝗽𝗲𝗮𝘁. From Flipkart ( Amazon ), BYJU'S ’S ( Khan Academy ), to Paytm ( PayPal ) and OYO ( Airbnb ) — many Indian startups have followed this pattern. Yes, localization is a strategy. But 𝘄𝗵𝗲𝗻 𝗿𝗲𝗽𝗹𝗶𝗰𝗮𝘁𝗶𝗼𝗻 𝗯𝗲𝗰𝗼𝗺𝗲𝘀 𝘁𝗵𝗲 𝗱𝗲𝗳𝗮𝘂𝗹𝘁, we stop creating real value. 𝗜𝗻𝗱𝗶𝗮 𝗱𝗼𝗲𝘀𝗻’𝘁 𝗷𝘂𝘀𝘁 𝗻𝗲𝗲𝗱 𝗳𝘂𝗻𝗱𝗮𝗯𝗹𝗲 𝗶𝗱𝗲𝗮𝘀. 𝗜𝘁 𝗻𝗲𝗲𝗱𝘀 𝗼𝗿𝗶𝗴𝗶𝗻𝗮𝗹, 𝗿𝗲𝘀𝗶𝗹𝗶𝗲𝗻𝘁, 𝗮𝗻𝗱 𝘀𝗰𝗮𝗹𝗮𝗯𝗹𝗲 𝗯𝘂𝘀𝗶𝗻𝗲𝘀𝘀𝗲𝘀. Most Indian VCs are not ideal people. I've known enough founders and VCs to say this confidently. Time and again, we talk about startup frauds. We talk about founders who have done frauds. Or have treated their shareholders badly. They do things that benefit their personal wealth more than public gains. And more. Somehow, when these people go rogue, nobody holds these VCs accountable. I've written about this in the past. It has been happening repeatedly. .. There is a guy who built a company. He sold it to Byju's unethically. Then he just disappeared. Yrs later, he launched a new venture. And marquee VCs have rallied behind him to back his new venture. Had covered it here: https://lnkd.in/g2ZXSSw2 .. There is another founder. He blasted his investors in his previous company which grew well then, but is failing badly today, because the founder is busy building another venture he listed some time back. He treated the shareholders in his previous venture badly - All while scaling up sales of a product which was a total mishap at his listed venture. And yet, one VC has kept on backing everything this guy has ever built. .. And, now there is another such case. A listed company. Over the last 2 yrs, it has earned laurels for treating its shareholders as trash. - They keep announcing forays into new domains (nothing has come out of any of those) - Each such announcement is followed by promoters selling stake. This has happened repeatedly Should such a founder get ANY support if they launch a new venture? Ideally, the answer is NO. And yet. .. This founder has been running this new company after exiting his listed venture (Which is now run by his brother, by the way). His new venture raised a significant round. It includes debt and equity. And somehow, certain VCs have rushed to back him. Again. These VCs include the one who backed that Byju-related founder I mentioned above, btw. .. See, the story for many VCs is not about who is going to build a good company. It's about who has potential to build something good enough to raise multiple rounds. At decent valuations. During which they can enter and exit with SPEED. And earn a good delta to serve their LPs. This is how this system operates. I'm not saying all VCs are that way. But so many are. And everybody knows these guys. .. The ONLY reason I'm not mentioning names here is because people I respect or share a bond with are employed there. That's the only single reason I'm not putting out names. The founders I'm talking about. The kind of VCs I'm talking about. Everybody knows them. And yet nobody ever asks any questions to these VCs. Nobody ever raises a bat and an eye. Why? ..
