Following SEBI’s release of the revised Industry Standards for Related Party Transactions (RPTs), effective from 1 September 2025, KPMG has published a detailed edition of First Notes that analyses the implications for listed companies. Key highlights from the publication: • Summarises the three-part disclosure framework introduced by the revised standards (Parts A, B, and C), applicable based on the nature and materiality of the RPT. • Details the transition requirements and clarifies non-applicability to certain categories (e.g., transactions below ₹1 crore, exempted RPTs under Reg. 23(5), and quarterly omnibus reviews). • Outlines revised management responsibilities, including streamlined certification requirements and reduced mandatory disclosures for non-material RPTs. The publication also provides a comparative view of changes from the earlier February 2025 circular, such as: • Reduction in financial data periods (from 3 years to 1 year) • Narrower applicability of valuation and interest rate disclosures • Discusses governance implications, particularly the role of the Audit Committee and Board in reviewing, redacting, and recommending transactions to shareholders.
