Terms & Conditions


Scope: Altering the scope with reference to this document will vary development quote and
time. A separate quote will be given if scope with reference to this document is changed.
Timeline: The client is expected to give timely approvals during each phase of the project.
Failure to do so will increase project development time.
Payment Terms: As per the Schedule provided above
Payment Modes: Cash, Cheque or Direct Transfer
Taxes: Any & all taxes if applicable will be extra.
Content: All text, images, policies, content etc will be provided by client. The client will
specifically provide the following documents.
Supporting Materials: To the extent client possesses such items and to better enable
designers to develop the project, client agrees to provide Designers any photographs, videos,
samples, models, conceptual renderings or any other device or image embodying the product
features.
Client Materials and Ownership: Client shall own all work product delivered to him or her in
connection with the Product Development Services. Client may retain and use all brochures,
research and other materials generated on Clients behalf.
Project Start: The project will commence at such time as (1) both parties have signed this
Agreement and (2) Designers has received the Fee (or such portion of the fee as agreed to by
the parties) in accordance with Section Project Details. In the event Client is late in the
payment of all or any part of the Fee, Designers can, at its sole discretion, chose to delay or
suspend the performance of the Services until such payment is received.
Entire Agreement: This agreement, including all schedules and attachments attached hereto,
contains the entire understanding between the parties with respect to the services to be
provided by Designers, and no representation, statements or inducements, either oral or
written, not contained herein shall bind either party.
Indemnification: Client shall indemnify, defend and hold harmless Designers, its affiliates and
each of their respective officers, directors, equity holders, employees and agents, against any
and all claims, suits, losses, liabilities, damages, costs, fees and expenses resulting from or
arising, directly or indirectly, out of any untruth, inaccuracy, misrepresentation or breach of the
representations made by Client.
Non-Disclosure: The parties shall be responsible for Information Sharing and any information
exchanged between the parties for market research project shall become part of this
agreement. Either party will not share the information shared by the other party to anyone
other than the intended recipient without express permission from that party.
