2 5 Legal Service Agreement

This legal service agreement is between Party A, a Malaysian company, and Party B, a Vietnamese law firm. Party B agrees to represent Party A in registering several trademarks in Vietnam. Party B will advise on legal issues, assist with registration formalities, and inform Party A of registration results. LEGAL SERVICE AGREEMENT

This LEGAL SERVICE AGREEMENT (“AGREEMENT”) is made on 2 May, 2008 in


Hanoi, Vietnam, by and between:

(Hereinafter referred to as “Party B”)

WHEREAS:

Party A, being a company established and existing under the Laws of Malaysia, desire
to be assisted with registration of the trademarks in Vietnam;

Party B, being a Law firm established and existing under the law of Vietnam, has full
function and sufficient abilities to act as Intellectual Property Representative in
Vietnam. Party B desire to be assigned as a representative of Party A to implement the
registration of trademark in Vietnam.

NOW, THEREFORE, both Parties agree to sign in this Agreement with terms and conditions
as follows:

Article 1. Scope of works

Party A empowers Party B to implement the registration of following trademarks of the Party
A before the Vietnam competent authorities.

Trademarks Class
1
ROSSI and device Class 18: Handbags; pocket wallets; purses;
EUROSTAR and device rucksacks; school bags; traveling bag;
STAR-SPORT and device
ROMANI FRATELLI and device Class 25: Bathing suits; belts; boots for
ARS and device sports; clothing; footwear; pajamas.

Article 2. Responsibilities of the Party B

In this agreement, the Party B shall be responsibilities for

Advising on legal issues and procedures in relation to registration of trademark in


Vietnam;

Assisting the Party A in implementing necessary formalities, preparing the dossier and
the documents for registration of above trademarks with the Vietnam competent
authorities;

Informing the Party A of the registration results timely enclosing with specific consultant;

Article 3. Responsibilities of the Party A

In this Agreement, the Party A shall be responsibilities for:

Furnishing to the Party B all necessary documents for the works as provided at Article 1
of this agreement according to requirement of Party B, including:

° 15 specimens of trademark for each trademark (not exceed than 8x8cm);


° Power of Attorney (The form of the Party B is attached herewith).

Make the payment as presented at Article 4 of this agreement.

Article 4. Service fees, taxes and mode of payment

Service fee:

Service fees for registration of trademarks as provided in Article 1 shall be 1.563USD


(One thousand five hundreds US dollars and sixty three cents).

The above service fees is inclusive of government charges, exclusive of 5% VAT and
appeal fees (if any)

The above fees shall be paid by Party A to Party B within 07 days from the date of
signing this agreement or within 03 days, from the date of issuance of invoice of Party B.

Mode of payment

All the payment from the Party A to Party B shall be made in cash or by T/T into the
party B’s account at the VIETCOMBANK, Thanh Cong Branch, 30 Lang Ha Street,
Hanoi, Vietnam.

Article 5. Validity, amendment and termination agreement.

This Agreement shall come to enforce from the signing date;

This Agreement may be altered or supplemented in writing by agreement between the


two parties;

This Agreement shall be terminated in the following cases:

° Parties have fulfilled their responsibilities as described in this Agreement;


° It is mutually agreed by both Parties in writing

Article 6. Confidence

All communications, information, documents and agreements between PARTY A and


PARTY B are deemed to be of nature proprietary and are to be kept in strict confidence
unless that will be disclosed to a third party upon prior written approval of the other Party
herein.

Article 7. Dispute settlement

If any dispute rises in connection with implementation of this Agreement, it shall be firstly
settled by amicable negotiation between the Parties. If no settlement is reached, the dispute
may be submitted by either party for the final settlement to the competent court of Vietnam in
accordance with the Laws of Vietnam

Article 8. Counterparts and validity

This Agreement is made in two (02) original copies in English. Each Party keeps one (01)
copy. All copies are equally authentic.
