Jollibee Food Corporation and Chowking Food Corporation
Jollibee and Chowking combined in line with efforts to enhance their operation
efficiency. In a disclosure to the Philippine Stock Exchange, Jollibee said the merger is
part of its program to simplify its legal structure and improve its administrative efficiency.
Chowking will be the surviving entity. According to Jollibee Food Corporations six
brands in the Philippines including the chowking franchise grew strongly, with each
one’s system wide sales increasing by double digit percentage over those of 2015.
Chowking which will be renamed Fresh N’ Famous Foods Inc. will be the
second largest food service company in the country after Jollibee. It will be 52 percent
the size of Jollibee brand in terms of system-wide sales, a measure of all sales both
from company-owned and franchised stores. The merged entity will be expanded and
more branches will be added.
Merging a business/companies has effects on capital structure, financial position,
market reaction and future reaction. Merging and Acquisition activity obviously has
longer-term for the acquiring company or the dominant entity in a merger, than it does
for the target company in an acquisition or the firm that is subsumed in a merger. Most
of the companies engaged in merging and acquisition to become bigger, to grow in size
and leapfrog their rivals. Also others are because of the tax purpose.
PLDT Inc. and Globe Telecom
PLDT (Philippine Long Distance Telephone Company) acquired the
equity interest of the telecommunications business of San Miguel
Corporation with Globe Telecom Inc. This acquisition will provide significant
benefits to PLDT, Smart, TNT and Sun Cellular customers, further improve
internet and data services for the public, and speed up country’s overall
development efforts. This will enable PLDT to provide attractive mobile
connectivity and digital services to its consumer and enterprise customers
at affordable prices. Stronger networks and connectivity are key enablers
for individual and enterprise sector productivity and cost efficiency.
The merging or the combination of the company have a good effect to
the consumer and to the business itself. Access to additional frequencies
will help significantly improve internet speed, quality and coverage. This will
enable PLDT to pursue a growth-focused expansion of its network and
extend internet services to a large number of customers in more areas in
the country.
