MENTORING AGREEMENT

(“AGREEMENT”)
The Parties, voluntarily, wish entering into a mentoring relationship from which both expect to
benefit. The Parties want this to be a rich, rewarding experience with most of time together spent
in professional development activities. Thus, before execution of a definitive detailed agreement
(but not later than March 31, 2019 or extended timelines), the Parties have mutually agreed upon
the broad terms and conditions of relationship as outlined in this Agreement.

SECTION 1.01 PARTY TO UNDERSTANDING:

SECTION 1.02 COMMENCEMENT DATE OF AGREEMENT:


September 11, 2018

SECTION 1.03 TERM OF THE AGREEMENT:


The term is valid until terminated

SECTION 1.04 OBJECTIVES /EXPECTED OUTCOME :


Assist in design iterations and refinements, with aim of being Production ready, on
priority.
Assist in commercial production and sales of 10,000 units.
Any other activity for Shellios, as mutually decided.

SECTION 1.05 SUPPORT REQUIREMENT / COMPENSATION :


Mentor shall perform whatever may be required and possible within means and Mentee
shall provide available infrastructure to positively get the expected outcome.

Mentor shall be provided an equity grant to the tune of ___ %


The equity will vest as per the following milestones.
1. MILESTONE 1
2. MILESTONE 2
3. MILESTONE 3

SECTION 1.06 CONFIDENTIALITY AND NON-COMPETE
Any sensitive issues discussed to perform the outcome will be held in absolute
confidence, at all times.
Mentor shall not engage himself in any other business directly competing with Mentee
during engagement with Mentee.

SECTION 1.07 COMMITTED TIMING


Mentor shall be committed to ______ of time (during Mentee working hours) towards
accomplishment of the excepted outcome.

SECTION 1.08 NO-FAULT TERMINATION


Parties are committed to open and honest communication in relationship.
However, if any Party requires to terminate the relationship, for any reason, other Party
agrees to abide to other Party decision, without any cost.
