This Deed of Absolute Sale (‘Deed”), made and executed this ____ day of
_______, 20__, in _______________, Philippines by and between:
W I T N E S S E T H, That :
WHEREAS, the SELLER warrants and represents that he/she is the absolute
registered owner of parcels of land (hereinafter referred to as the “Property”) in [Kindly
provide the address of the property] containing a lot and improvement with an area of
___ square meters more or less
WHEREAS, based on the above warranty and representation, the BUYER has
agreed to purchase the SELLER’s title, rights and interest in the aforementioned
Property, under the terms and conditions set forth below;
2. The Documentary Stamp Tax, Transfer Tax, Registration Fees, and other fees,
costs and expenses relative to the registration of the Deed of Absolute Sale shall
be for the account of the BUYER, and the Capital Gains Tax, shall be for the
account of the SELLER.
3. The notarial fee for the execution of this Deed of Absolute Sale shall be for the
account of the BUYER.
4. The SELLER hereby warrants valid ownership to the Property, and further
declares that the same are free from liens and encumbrances of any kind
whatsoever.
5. The BUYER acknowledges that the SELLER has made full and complete
physical delivery of the Property, and the BUYER has accepted the same. The

BUYER acknowledges that the SELLER has no obligation or duty whatsoever to
make any alteration, repair, or improvement of any kind to the Property.
6. Each of the parties represents to the other party that the execution, delivery, and
performance of this Deed of Absolute Sale, and all other instruments and
documents contemplated herein, are within their respective legal capabilities and
authority, and does not contravene any law judgment, court order or resolution,
contractual stipulation or restriction, binding on or affecting them.

ACKNOWLEDGMENT
Known to me and to me known to be the same persons who executed the foregoing
instrument, and they acknowledged the same to be their free and voluntary act and
deed as well as the free and voluntary act and deed of the principals they represent.
This document consisting of three (3) pages including this page where the
acknowledgment is written, and where the parties with their instrumental witnesses
have signed on page (2) and on the remaining pages hereof, refers to a Deed of
Absolute Sale of land.
