This Deed of Agreement executed at Dhaka on this the Saturday,
November 30, 2019
Between
Nitol Motors Limited, a Private Limited Company incorporated under
the Companies Act, 1913 and existing under the Companies Act 1994
and having its Registered Office at Nitol Centre,71, Mohakhali C/A,
Dhaka-1212, Bangladesh, and VAT registered premises at Konabari,
Gazipur represented by Mr. MAZHAR UDDIN AHMED, MANAGER
(hereinafter called "Owner" which term unless repugnant to the
context shall mean and include its successors -in -Interest, legal
representatives and assigns )of the one part.

Mr./Mrs. MD MOSHAROF HOSSAIN son/daughter of Mr. MD


LUTFOR RAHMAN Mrs. MOST AMANA BEGUM PRESENT
ADDRESS : MADINA MANSION, HOUSE: 233, SATARKUL ROAD,
P.O: NORTH BADDA-1212, P.S BADDA, DIST: DHAKA.
PERMANENT ADDRESS UTTAR KABIRAJ BARI, VILL: DARMAPUR,
P.O: SHAMPARA, P.S: CHATKHIL, DIST: NOAKHALI. aged about 33
years by faith Islam by profession Business by Nationality
Bangladeshi whose National ID No. 2610413599670 (hereinafter
called the "USER" which expression unless repugnant to the context
shall mean and include his /her heirs, legal representatives and
assigns ) of the other part.

WHEREAS the OWNER with the objective to SELL and the User

with the objective to purchase the said vehicle described in the

schedule of Using Agreement on further terms & condition as

follows:-

1) The Ownership of the Vehicle shall be Transferred to USER if the


she/he:-

(A) Pays all MMRs and liquidated damages (if any) as per the said
agreement. (B) All costs of transfer of Vehicle in the name of the
USER. (C) Updates the documents relating to Road Tax, Fitness,
Route Permit, Insurance, etc.

2) In case of early settlement of the said Using agreement, the Sale


Value of the Vehicle will be determined considering the number
of MMR to be paid in advance at non-annualized value and
adjustment of Written Down Value of any capital expenditure
incurred for the said vehicle.

3) The sales price shall not be less than security deposit plus
defaulted & not due MMR. Or a negotiated price as may be
determined by both the parties.
