(hereinafter referred to as the „customer“)

I.
Subject of the contract

1. The subject of this contract is the repeated search and placement of employees for the
customer to work abroad.
2. An employee mediated by a contractor to work abroad must meet the following
requirements:
 communicative knowledge of German (level B1 and upper)
 previous experience in caring for the elderly or a caregiver course
 willingness to work abroad for at least 3 months, at the request of the customer and in
exceptional cases even less.

II.
Rights and obligations of the contractor

1. The supplier undertakes to carry out its activities with professional care and to take
into account the interests of the customer.
2. The Contractor undertakes to mediate only those workers who meet the
requirements of Article I. para. 2, and for whom it is assumed that they will fulfill their
work duties abroad.
3. The client undertakes to submit a presentation of SUNSET Blvd., written documents,
forms, manuals and other information, which are necessary for the performance of
the contractor activities. The contractor undertakes to use all information made
available to him in good faith and for the benefit of the client. At the same time, he
declares by his signature that he will not provide available materials to third parties
without the prior written consent of the customer. In the event of dissemination of
the available materials, data and know-how of the client to the third parties or
for personal benefits, a penalty of € 100,000 will be imposed on the supplier.
4. The customer undertakes to follow the procedures to be communicated to him by the
client in accordance with Directive NA-001, including its continuously updated
versions.

III.
Amount and payment of commission

1. For the performance of the activity described in this contract, the supplier is entitled to
a one-time commission in the amount of 100 EUR / one hundred Euros / for each
mediated employee who will travel abroad to the client's customer and physically
remains in the position according to the following criteria:
 after 7 days, the contractor is entitled to a commission of 50 €
 after 30 days, the contractor is entitled to a commission of 50 €

2. Commision to the contractor in the total amount of 20 EUR / twenty Euros / for each
recruited employee by the recruitment agent recommended to SunSet by the
contractor, who will travel abroad to the client's customer and physically remains in
the position according to the criteria below, shall belong commission to the contractor:
 after 7 days, the contractor is entitled to a commission of 10 €
 after 30 days, the contractor is entitled to a commission of 10 €

3. The Contractor is entitled to 50% of the commission after 7 calendar days from the
employee's departure abroad and subsequently is entitled to the remaining 50% of
the commission after the expiration of 30 calendar days in accordance with para. 1
and 2 of this Article. The invoice is due within 14 calendar days from its acceptance
by the client, in the case of a request approved by the client within 7 calendar days.

IV.
Trade secret

1. The contractor undertakes to maintain the confidentiality of all business information of the
customer which has actual or potential material and / or intangible value and is not
normally available in business circles and should be kept confidential at the client's
discretion. This include all information provided by client in an oral, telephone, written,
and / or electronic form, provided in connection with the performance of the contractor's
activities for the client, and which relates to the subject of the contract, as defined in
Article I of this contract.

2. The contractor undertakes to use the information pursuant to para. 1 only for the
performance of activities for the customer during the validity of this contract. At the same
time, it undertakes not to misuse all the information made available to it pursuant to
paragraph 1 for its own benefit, as well as for the benefit of a third party. The Supplier
shall not make the information pursuant to paragraph 1 available to third parties.

V.
Contractual penalty

1. If the Contractor breaches the obligations under Article IV. para. 1 and 2, undertakes
to pay the client a contractual penalty in the amount of 100,000 EUR /one hundred
thousand Euros /.
2. The Supplier undertakes not to provide the profile of employee to a third party after
the acceptance of the employee's profile by the client. In the event of a breach of this
point of the contract, the supplier undertakes to pay penalty in the amount of 10 000
EUR /ten thousand Euros/
3. Proceedings under para. 1 and 2 is a reason for immediate termination of this
contract.

VI.
Liquidated damages

If the contractor, in the event of a breach of the obligations arising from this contract, causes
damage to the client, he is obliged to compensate him for the damage and the lost profit in
accordance with Art. § 373 et seq. Commercial Code of the Slovak Republic

VII.
Termination of the contract
1. The contract expires:
a / by immediate withdrawal from the contract in case of breach of obligations under
Article V. para. 1. The contract expires on the day of delivery of the expression of client´s
will to the contractor.
b/ by termination. The period of termination of contract is 1 month and begins on the
first day of the month following the month in which the notice was delivered to the other
party.

Upon termination of the contract, the contractor is obliged to hand over to the client all
written documents related to the subject of the contract received from the client.

VII.
Final provisions
1. The relevant provisions of the Commercial Code of the Slovak Republic shall apply to
legal relations not regulated by this contract.
2. The Contracting Parties may change the content of this Agreement, only by a written
amendment to this Agreement.
3. This contract is made in two copies with the legal force of the original, each party will
receive one copy.
4. The contracting parties declare that they have read the contract, agree with its
content, which they confirm by their signature, which is an expression of their serious
and free will, free from fallacy.
5. The Agreement shall enter into force and effect on the date of its signature by both
parties.

6. The contract is concluded for an indefinite period.
