2 OBJECT OF THE CONTRACT


SWCC Jeddah, hereinafter referred to as “CLIENT”, and ABB Saudi Arabia, ABB
Electrical Industries Co Ltd “ABB”, enter into this Power Generation Care contract
(CONTRACT) with regard to the performance of service and maintenance
(SERVICES) for the CLIENT’s contractually agreed ABB
components/equipment/systems listed in Annex 9.2 to this CONTRACT. An
overview of the scope of services, hereinafter referred to as “SERVICES”, and the
agreed price are given in Chapter 2.1.
This CONTRACT is limited to the scope of services specified in Chapter 2.

4 BASIC SERVICE
The basic services provide the basic framework for the agreed SERVICES. These SERVICES are an
integral part of each CONTRACT.

4.1 MyABB Access


The web-based platform myABB provides information and services for the ABB
components/equipment/systems installed at the CLIENT’s site. Registration
with myABB is a prerequisite for the SERVICES agreed in this CONTRACT.

The following system-specific (control technology) contents are available under


“myABB”:

 Access to standard documentation for e.g. products, spare parts,


consumables and services
 Contact information (e.g. personal contact person at ABB)
 Control system reports (available functions depending on contract content
for Asset Health Management)
 Security update service (available functions depending on range of services
for Cyber Security Patch and Backup Monitoring)

 Information on new software releases for the ABB control system software
used and on new solutions that could be used in connection with the software
used
For authorized CLIENT personnel, access to myABB is provided by personalized
activations.

Requirements and instructions for myABB are described in Annex 9.3.

4.2 Equipment Life Cycle Status


As part of the Equipment Life Cycle Status, an annual inventory of the ABB
hardware present in the system (e.g. ABB components such as controllers,
input/output groups) is carried out and are visible on the myABB platform.

The data collected and recorded includes:

• Number and type of installation


• Life cycle status of the identified installations
• Presentation of the data in myABB
Data collection is automated and takes place via remote access. If remote access
is not possible or if the access is not approved, data collection can also be carried
out by the ABB personnel on site. Accruing travel expenses, traveling times,
accommodation costs, mission allowances and auxiliary travel expenses are
invoiced additionally in this case. The CLIENT agrees to process the collected
data already during the conclusion of this CONTRACT.

Requirements and instructions for the remote connection and myABB are
described in Annex 9.3.

4.3 Personal ABB Contact


By concluding this CONTRACT, ABB designates a personal contact person for the
CLIENT. This contact person is familiar with ABB’s key resources and know-how
in order to find an efficient and effective solution.

• Management of the contractually agreed scope of services and its fulfillment


in close cooperation with the CLIENT
• Coordination of service calls on site with the CLIENT
• Provision of available life cycle information for ABB
components/equipment/systems
• Information about recommended spare parts for the registered installed
base (for booked service for stocking of spare parts)
• Annual preparation of the service overview for the following contract year.
Transmission to the CLIENT takes place 30 days before the start of the new
contract year at the latest.
• Annual service meeting with the CLIENT on site to record the current system
status and the contractually agreed services
In addition, the personal contact person regularly checks the contractually
agreed scope of services and recommends adjustment of the CONTRACT if
necessary

5 RAPID RESPONSE SERVICE


The Rapid Response Services are designed to provide rapid technical support.
There are 3 levels available: the Hotline Service for telephone assistance and
initial support, the Remote Service for extended fault analysis using the remote
connection and the On-site Service with the support of an ABB service employee
on site.

5.1 Hotline Service


The Hotline Service is used for the initial rapid recording of a fault and telephone
support for troubleshooting and problem solving, or suggestions for further
action. For troubleshooting purposes, the CLIENT has access to ABB service
specialists via the global ABB support network for the ABB
components/equipment/systems defined in Annex 9.2. The service includes
analysis and diagnosis through dialog with the CLIENT’s personnel on site, as
well as the exchange of static information via e-mail, such as screen shots and/or
excerpts from log files. This SERVICE requires the CLIENT to have trained
personnel.
Limited to 2 calls in 12 months.

5.2 Remote Service


Depending on the complexity of the incident in the CLIENT’s system, the Remote
Service serves as an extension of the hotline service for the ABB service
specialist. Using the remote service, the CLIENT can quickly receive support from
ABB service specialists via remote access. This provision of the service is
invoiced at a fixed price. This service includes analysis and diagnosis, in an
extension to the hotline service, through remote access to static and dynamic
process and system data and observation of the interaction between different
systems. The remote access is given to systems that have a corresponding
interface and which are accessible via the agreed communication devices.

Remote services are retrieved via a service request from the CLIENT to the ABB
service employee. When remote services are requested, the CLIENT and ABB
agree on the scope of the work to be performed for fault analysis. Analysis and
troubleshooting are limited to the ABB components/equipment/systems

The response time of ABB service employees is defined as the period between
the acceptance of the service request by an ABB service employee until the
initiation of remote work by an ABB service employee. A remote connection is
established upon request by the CLIENT and with his support.

This SERVICE requires an existing remote connection to the system. The

6 LIFECYCLE MANAGEMENT SERVICE


The LifeCycle Management Services serve to maintain and service the ABB
components/utility/systems in use. By carrying out regular inspections,
maintenance and care, the risk of unforeseen disruptions to ongoing operations
can be reduced for the CLIENT and the availability and reliability of the plant can
be increased. In addition, necessary activities to prevent potential fault
situations can be planned in time.

6.3 Cyber Security


Control systems are increasingly exposed to a variety of threat scenarios.
Sufficient security measures are to be implemented in order to protect against
these threats. ABB develops software products in accordance with the relevant
regulations and the ABB cyber security minimum baseline. In addition, the
signature files for virus protection and Microsoft security patches for ABB
systems are tested and verified in the life cycle “Active” and “Classic”.
Requirements and instructions for cyber security SERVICES are described in
Annex 9.3.

7 PERFORMANCE IMPROVEMENT SERVICE


The Performance Improvement Services serve the targeted improvement of
plant components and systems to increase efficiency. Plants are subject to
continuous change. For example, adjusted controls can lose efficiency over time
due to aging and wear of process components. Targeted improvement solutions
for the plants should counteract these effects.

7.1 Condition Monitoring


Condition monitoring is based on regular and continuous data collection and
evaluation of the components covered by this service in accordance with the
contract. The data is collected using different tools, depending on the services
selected. The tools use specific measurements for different parameters and
differ in the state change analysis. The aim of this SERVICE is to identify
deviations and to generate corresponding evaluations depending on the
SERVICE selected. The results can be used to derive actions to cost-effectively
maintain the components/equipment/systems covered by the contract or
optimize them with emphasis on reliability. Condition monitoring is one of the
prerequisites for a forward-looking maintenance strategy. The following
SERVICES are available as part of condition monitoring.

9.3 Technical Requirements and Instructions


Requirements and instructions for myABB

• The provision of SERVICES requires access to the System ID (SID) in the SoFa (ABB Software
Factory) and ServIS (ABB system database). These must be set up in advance by the CLIENT.
• The web-based ABB platform myABB, as well as all information which is provided there
remains the exclusive property of ABB. The CLIENT may only use myABB within the scope of
the support and maintenance of the ABB system within its local organization.
• The CLIENT is not authorized without the express written permission of ABB to publish ABB
information on web pages or to reproduce, publish, copy, save, use, sell or commercially
exploit such information in any other manner.
• The information provided may in no case be provided to distributors, suppliers, system
integrators or other third parties. The right to use myABB is not transferable. User logins are
provided to respective users only, any transfer or publication of these logins is strictly
forbidden. An “user” is defined as an individual, specific, individually registered and officially
confirmed employee of the CLIENT with first and last name, telephone number and e-mail
address.
• The computer system for the myABB environment is located within the ABB network and is
subject to our ABB security guidelines.
• ABB must also be informed in case of changes to the IT infrastructure such as password or
network changes

By transmitting the user data (name, e-mail, telephone number) via the CLIENT to ABB, the
CLIENT confirms that it has obtained the consent of the relevant users, which entitles ABB to
process (create personalized access accounts) and store this user data for the purpose of this
CONTRACT and in the sense of the GDPR.

Requirements and instructions for Remote connection


• The CLIENT will provide a state-of-the-art remote connection:
o DSL or broadband connection
o DMZ (ABB recommends BSI-compliant, with 2 firewalls from different manufacturers)
at the CLIENT’s site
Requirements and instructions for Software Management
a) The following conditions apply to the SERVICE:

The provision of SERVICES requires access to the System ID (SID) in the SoFa (ABB Software
Factory) and ServIS (ABB system database). These must be set up in advance by the CLIENT.
(1) Life Cycle Levels

The life cycle phase defines which service level is provided for the ABB system installed. Over
time, ABB products pass through the various life cycle phases: “Active,” “Classic,” “Limited,” and
“Obsolete.” The services available vary from phase to phase, as not all services are available for

each life cycle phase. ABB recommends maintaining the system in the “Active” life cycle phase to
be able to use the software maintenance services to their full extent.

(2) Hardware requirements and software incompatibility

The use of functions provided by ABB in updates and/or upgrades could require other or
additional software operating systems, hardware or additional accessories, third-party software
components, including additional storage capacity, additional working memory, service packs,
etc. Moreover, there may be incompatibility with software, hardware, accessories or third-party
software components which are not components of the ABB scope of delivery and services. In
such cases, ABB will not be obligated to provide or modify such operating system software,
hardware or additional accessories, third party software components, including additional
storage capacity, additional memory, service packs.

(3) System modifications impacting on this agreement

The CLIENT has already agreed that any modifications in the scope or content of the system (in
accordance with Annex 9.2) will lead to adjustments in the software maintenance services. A
supplement or extension of software licenses or products within the ABB System will be covered
by this contract up to the end of the yearly contract period. If the software maintenance should
be extended or have a duration of longer than one year, the amount for the contract year
following the system modification corresponding to the applicable system status is then due.

(4) Evolution upgrade of the software and/or the equipment. Older ABB software and/or ABB
equipment which has been replaced during an Evolution upgrade should be deactivated and may
no longer be used in production mode, with the following measures being an exception:

• The CLIENT can use this equipment as spare parts for the remaining equipment.
• During the transition from older software to newer software as part of the Evolution
upgrade, the CLIENT can use the software and/or equipment during a transitional period in
parallel with the new software.
• If the CLIENT should use the older software and/or equipment in any way which deviates
from the above-mentioned conditions, these are to be deactivated and returned to ABB at
the CLIENT’s expense. ABB will at its own discretion scrap or refurbish these.
• The CLIENT may not resell, assign, transfer or otherwise make available to third parties this
older software and/or equipment.

• If one or more of the above-mentioned conditions is not met by the CLIENT, ABB will be
entitled to demand from the CLIENT the full purchase price for the new software which
replaced the older software and/or equipment.

(5) The parties may adjust the software maintenance services after the end of the contract
period in question. If the SERVICE is increased from basic software maintenance or software
maintenance to software maintenance upgrades, the new contract period will be three years. If
the parties should extend or reduce the existing service level, the new contract period is one year.

If the client first orders the software maintenance upgrades module for software versions older
than the most recent or cancels the software maintenance upgrades module and wishes to use
it again at a later date, a one-off additional fee will be charged.

The amount of this fee depends on the time that has elapsed without a valid agreement for the
software maintenance upgrades module and on the number of software versions released during
this time and must therefore be requested in individual cases.
