Article 1 : premises

Article 4 : Payment

1. Side B has to pay one month - rent deposite to Side A on the date signing this contract. This amount shall be repaid to Side B on the date of the contracts termination. 2. The rent shall be prepaid as follows: - By cheque, transfer or cash;

No later than the first fifth day of each semi annual period;

- After 02 years, the rental amount will be adjusted up and down 10% with the value of this contract.
Article 5 : Obligations of side A

1. To hand over the premises and fixtures to side B on the day when the lease takes effect; 2. To ensure the right of exclusive use of side B;

3. To repair in a timely manner any damage upon request by side B; 4. To supply the parking and secure the vehicles of side B during working time (maximum 05pcs motorbikes); 5. To maintain the building, equipment and services in good effect such as: a.All Air conditioner and lighting systems in the area side B rent. b.Lighting system, hygienic condition for entrance, corridors, ground floor and staircase to the area side B rent. c.The lift of the building. d.In case that, equipment is damaged (not by side Bs fault), side A will be responsible for repairing or changing it. 6. Ensure guard and security of the premises during 24 hours per day.
Article 6 : Obligations of side B 1. To pay rent electricity, water, telephone and other charges

fully and on time;


2. To use the apartment for the purpose(s) stated in Art.1. To

obtain the consent of the owner when wishing to repair or renovate for a particular use and to comply with the regulations on basic contruction in Vietnam;
3. To take responsibility for any damage to, or loss of, fixtures

and chattels caused by him, and for any harm inflicted on a third party during the use of the premises; to be responsible for his own personal effects and property;
4. To comply with the regulations on environmental protection

and public security applicable to the locatily;


5. Not to assign the contract or sub-lease to any other party. In

the event that side B wishes to terminate the contract, he must notify side A thirty (30) days in advance;

6. To be responsible for all activities in the house to comply

with the Vietnamese Law; 7. At termination of the contract, side B is responsible for handing over the premises, all equipment and all keys of the premises as took over from side A.
Article 7 : The effect of contract

The contract shall be terminated in the following circumstances : - Upon expiry of the Lease; - Upon side B being expelled from the country or upon his business licence in Vietnam being revoked;

Upon the delay of the payment, if it exceeds 15 days from payment date stated in Art. 4.2.e dat

To implement fully the signed Lease. In the event of a dispute or a break of the Lease by a party, both parties must discuss to find out the resolution. If one of the parties is not satisfied with the resolution, the matter may be referred to a court for hearing and the Ha Noi courts decision shall be final and binding on both sides. This Lease is made in 04 copies in Vietnamese and 04 copies in English. All copies are identical with equal value. Each side shall retain 02 copies in Vietnamese and 02 copies in English. This Lease is effective for implementation from signing date.
