We are glad to offer you a position of Associate - Sales & Marketing as per the terms and
conditions mentioned in this letter. Please note that the employment terms contained in this letter are
subject to such conditions and service rules as may be determined by the Pragati Infocom Pvt. Ltd.
from time to time.

1. Commencement of Employment:
a. Your Offer with the company shall commence from 7th of July 2022 in Pragati Infocom
Pvt. Ltd. and shall continue until terminated in accordance with the terms and conditions
mentioned in this letter.
b. You will be on Probation period for a period of Twelve months from the Commencement
Date. You will be confirmed after successful completion and based on the performance
and opinion of the Pragati Infocom Pvt. Ltd.

c. You will be governed by the terms and conditions of service applicable in the position.

2. Compensation:
a. You will be paid gross salary of INR 240,000/- (Rupees Two Lakh Forty Thousand) per
annum
b. The compensation paid to you will be subject to deduction of tax at source as per existing
tax laws.
You agree that the Pragati Infocom Pvt. Ltd. will not be liable to pay any additional monies
other than compensation paid to you under this clause.
c. All components of your Base Salary will be paid monthly by the 10th of the subsequent
month. All components of your compensation are subject to applicable withholdings and
deductions

Compensation Details:
Basic Salary: INR 144000p.a
HRA: INR 72000p.a
Base Salary: INR 216000p.a
Conveyance Allowance: INR 24000p.a
CTC: INR 240000p.a
i. Net salary or take-home salary: Net salary or take-home salary is obtained after deducting
income tax at source (TDS) and other deductions as per the Government Compliance policy.
ii. Net Salary = Basic Salary + HRA + Allowances - Income Tax - Employee's Provident Fund -
Professional Tax and any other Subjective Deduction(s).
iii. Provident Fund: The employer will be contributing 12% of your Basic salary + all allowances
except HRA towards Provident Fund. Similar amount of deduction will be made from your
salary. The maximum deduction will be INR. 1800/-.
iv. PF Deduction will be made as per the amendments by the Government from time to time. It is
directly deposited in the employee’s PF account. You can check your balance online.
v. During the period of probation, the employee is not entitled to any employee benefits and shall
be termed as a probationary, until the period of probation is over. All the employee benefits will
be provided when the employee is confirmed.
vi. There may be few deductions (LWA) as per statutory requirements and same shall be
communicated to you as and when it arises.

3. WORK HOURS: You are required to work 9:30 am to 6:30 pm, from Monday to Saturday.
Your work hours / days may change based on your role, the organization requirement and
business exigencies.
During your service with us, you are expected to devote your whole time and attention to the
organization's work and refrain from directly or indirectly engaging in any other business
without written consent.
You are to work on Sundays/Holidays based upon the requirement and you will be given a
compensatory off on such occasions post approval from the Management of Pragati Infocom
Pvt. Ltd.

4. LEAVE: You are entitled to 12 days of casual leave and 6 days of Sick Leave in any calendar
year (January through December). This should be availed considering business priorities and
approval from the organization.

5. PROBATION: You will be in probation for the period of Twelve months from the date of
Joining. The probation may either be extended at the discretion of the management or may
be dispensed with either earlier or on completion or thereafter till confirmation. During this
time, your performance will be monitored, assessed, and evaluated for suitability to this role
and your continued employment. Unless confirmed in writing, you will be deemed as
probationer after the expiry of the initial or extended period of probation. During the probation
period, the employee is not entitled to any employee benefits.

After the probationary period, the Company may terminate your employment for any reason
with one months’ notice. The Company reserves the right to require you not to perform any
duties and remain away from the Company’s premises, although the Company will continue
to maintain your salary for this period. You may not commence employment with any
company or business during this period.

You shall have the right to terminate employment with the company either during the
probation period or thereafter with one months’ written notice.
6. CONDITION TO HIRE: Your appointment is contingent upon satisfactory reference &
background checks including verification of your application materials, education and
employment history.
Your employment is also contingent upon your ability to work for the organization without
restriction (i.e. you do not have any non-compete obligations or other restrictive clauses with
any previous employer).

7. CONDUCT CODE & WORK ETHICS: All members are required to read and comply with
organization’s Code of Conduct Guidelines. Any breach of the Guidelines or the terms and
conditions of employment may result in termination of your services without notice or
compensation.

8. MEDICAL FITNESS: This appointment is subject the candidate submitting the duly signed
self-declaration form or certified fit for the post of <JOB TITLE / DESIGNATION> by a
Govt. Medical Practitioner. During the tenure of your employment with us, you may be called
upon to present yourself for a medical examination to ensure wellness and safety of its
members.

9. CHANGE IN DEMOGRAPHIC DETAILS: It is your responsibility to notify the organization


of any changes in your personal information within three working days. All notices shall be
considered duly and properly delivered to the address as per organization records.

10. NON-COMPLIANCE OF KYC DOCUMENT: In case of non-compliance to submission to


KYC documents processing of statutory benefits such as PF shall be delayed.

11. RETIREMENT: You will retire from the services of the organization on attaining the age of
superannuation 58 years.

12. CONFIDENTIALITY & DATA PRIVACY: The Organization and Management expects all
its members to maintain highest standards in maintaining to confidentiality and protecting
organization’s properties including data. The Management is committed to safeguarding and
promoting the welfare of its members and children and expects its members to share this
commitment as well.
a. Salary Details: Your individual remuneration is strictly between yourself and the
organization and shall not be discussed with other members in organization or group.
It been determined based on numerous factors such as your job, skills-specific background,
professional merit etc., this information and any changes made therein should be treated as
personal and confidential.
b. Data Privacy: You shall not disclose any information of the organization or any of its
customers or partners or its members to anyone which may come to your knowledge and
maintain strict privacy on all data that you have access to. Should there be an instance where
you are required to share, for purpose of designated work from office, you shall do so only
with explicit written consent from the designated authority.
c. Non-Disclosure: You shall not divulge any information directly or indirectly to others any
information relating to the organization or the group or its partners or its constituents or
members or as received by you during the course of your employment with us. Should there
be an instance where you are required to, for purpose of designated work from office, shall
do so only with explicit written consent from the designated authority.
d. Confidentiality: As a member of the organization, you shall not reproduce any confidential
information to any entity or for commercial use other than the purpose of performing your
duties / responsibilities at the organization.
e. Patent: The member agrees not to file any patent applications claiming any information,
development, discoveries, technologies, inventions and like arising from the use of
confidential information that could not have been made or developed or discovered but for
access to confidential information. In such cases, Organization shall have the right to
determine the treatment of any information that is a part of assignment / work specified
received from the member, including the right to keep the same as trade secret to use and
disclose the same without prior patent application, to file copy right registrations in its own
name or follow any other procedure as the organization may deem appropriate.

13. RETURNING ORGANIZATION PROPERTY:


a. Upon termination or expiration of your employment, for any reason, or as otherwise
requested by Organization, you will return to the Organization:
a) Any property belonging to the Organization, such as a laptop, mobile phone, access card,
and other devices with details of passwords or user id’s installed therein; and
b) All Confidential Information and any work, including documents and information, of
whatever description or in whatever form, tangible or intangible, in your possession,
together with copies, notes, or summaries of such documents and your own working
papers which are derived of or based on such documents.
b. Upon termination or expiration of your employment, for any reason, amount due or payable,
from or to you by the organization shall be settled in full and an acknowledgement of
settlement shall be recorded in writing
c. Upon termination or expiration of your employment, for any reason, Organization shall be
entitled to, at its sole discretion, pursue any remedy available in law or contract to ensure
settlement of any amount owed by you hereunder, including costs and expenses incurred
towards your training. Further, the organization shall be entitled to, as its sole discretion,
withhold the relieving letter and all other documents regarding your employment hereunder.

14. CONTRACT FORMATION AND EXECUTION: This offer, as to its subject matter,
contains a complete statement of all agreements between you and the Company, constitutes
the entire understanding between you and the Company, and supersedes all prior or
contemporaneous verbal or written agreements.
Your employment is governed by the laws of India. All disputes are subject to Bengaluru
jurisdiction.
We are looking forward to your joining the Company. We ask that you confirm your acceptance
by signing and dating this offer letter in the place designated below and returning this letter to the
Company, retaining the additional copy for your reference.
In the event that we do not receive your acceptance within 3 business days of the date of this letter,
we will assume that you have declined this position and this offer will lapse.

On your joining date, please bring (a) the original and 1 photocopy of this letter duly signed and dated
by you; (b) 3 self-photographs (passport sized, colour photos with a white background), (c) the
originals and 2 sets of photocopies of the following documents:
• Education degree certificate and all year mark sheets for the highest degree attained. Photocopies
should include both front and back sides of certificate.
• Relieving letter or resignation acceptance letter from your most recent employer. If you have been
employed 6 months or less with the most recent employer, you must also bring a relieving letter
or resignation acceptance letter from the prior employer.
• Proof of identity. Bring one of the following documents: Aadhar card, passport, driving license,
voter’s identification card, PAN card, or credit card with photograph.
• Valid Indian Work Permit, (if applicable).

Your signature below confirms that you are not subject to any contractual or other restriction or
obligation that is inconsistent with your accepting this offer of employment and performing your
duties other than what you have already disclosed.
