WHEREAS, the undersigned wish to share information, business opportunities, contacts, knowledge and/or skills to facilitate
future negotiations with potential clients, investors, commercial companies and/or national or international companies so
that through the management carried out there is the possibility of promoting, developing, buying and/or selling products,
services, projects and/or equipment, together with each other and/or with third parties for mutual benefit. The documents
that will follow this agreement, will not be passed, under any circumstances, to intermediaries, broker, trader, companies
or private persons who are not part of the analysis of confidential information, who have not been given access to it or who
are not have signed information protection contracts. Any disclosure to unauthorized third parties must have the prior
written consent of the party (s) entering into this contract.
CONSIDERANDO que, los abajo firmantes desean compartir información, oportunidades de negocios, contactos,
conocimientos y/o habilidades para facilitar una futura negociación con clientes potenciales, inversionistas, sociedades
comerciales y/o empresas nacionales o internacionales para que por medio de la gestión realizada exista la posibilidad de
promocionar, desarrollar, comprar y/o vender productos, servicios, proyectos y/o equipos, en conjunto entre sí y/o con
terceros en beneficio mutuo. Los documentos que seguirán este acuerdo, no se pasarán, bajo ninguna circunstancia, a
intermediarios, bróker, trader, compañías o personas privadas que no hagan parte del análisis de la información
confidencial, que no se les haya dado acceso a la misma o que no hayan suscritos contratos de protección de la información.
Cualquier revelación a terceros no autorizados deberá contar con el consentimiento previo y por escrito de la(s) parte(s)
que celebran este contrato.

This document will apply in principle to specific businesses, but will maintain its nature for any information regarding future
businesses and/or projects that are presented between the parties together or between any of them. This agreement may
be referenced from time to time in any document or written agreement.
Este documento aplicará en principio para negocios específicos, pero mantendrá su naturaleza para cualquier información
referente a futuros negocios y/o proyectos que se presenten entre las partes en conjunto o entre algunas de ellas. Este
acuerdo puede ser referenciado de vez en cuando en cualquier documento o acuerdo escrito.

This agreement is made and is celebrated on the date established in the signature, it will oblige the undersigned parties and
their partners, associates, employers, employees, principals, affiliates, subsidiaries, parent companies, any nominee,

Este acuerdo se realiza y se celebra en la fecha establecida en la firma, obligará a las partes abajo firmantes y a sus socios,
asociados, empleadores, empleados, mandantes, afiliados, subsidiarias, empresas matrices, cualquier nominado,
representantes, sucesores, clientes y cesionarios en lo sucesivo denominado “Las Partes” a cumplir con los siguientes
términos y condiciones que expresamente declaran y acuerdan.

digital means (known or to be known), chats on mobile devices, electronic documents or in any tangible or intangible form
and that is clearly cataloged, marked or announced as confidential or privileged by either party
Los términos y condiciones de este acuerdo se aplicarán a cualquier intercambio de información escrita, oral, visual, por
medios magnéticos o digitales (conocidos o por conocerse), chats en dispositivos móviles, documentos electrónicos o en
cualquier forma tangible o intangible y que se encuentre claramente catalogada, marcada o anunciada como confidencial o
privilegiada por alguna de las partes.

“The Parties” irrevocably agree that they shall not disclose or otherwise reveal directly or indirectly to a third party any
confidential information provided by one party to the other or otherwise acquired, particularly ideas, knowledge,
discoveries, procedures, methods, technical specifications, intellectual creations, designs, concepts, drawings, data,
prototypes, manufacturing processes, documents, layouts, plans, diagrams, schedules, software, hardware, applied
technologies, audio and or video descriptions and technical information.
“Las Partes” acuerdan irrevocablemente que no divulgarán ni revelarán directa o indirectamente a un tercero ninguna
información confidencial proporcionada de una parte a la otra o adquirida de otra manera, en particular ideas,
conocimientos, descubrimientos, procedimientos, métodos, especificaciones técnicas, creaciones intelectuales, diseños,
conceptos, dibujos, datos, prototipos, procesos de fabricación, documentos, trazados, planos, diagramas, cronogramas,
software, hardware, tecnologías aplicadas, descripciones en audio y/o video y la información técnica.

All personal contact or corporate data of employees, customers, leads, suppliers, buyers, business partners, sellers, partners,
investors, owners or manufacturers of technologies, producers, distributors, refiners, commercial agents, intermediaries,
facilitators, lobbyist, business presenters, brokers, representatives, lenders, borrowers and information contained in
corporate databases.
Todos los datos personales de contacto o corporativos de empleados, clientes, prospectos, proveedores, compradores,
aliados comerciales, vendedores, socios, inversionistas, propietarios o fabricantes de tecnologías, productores,
distribuidores, refinadores, agentes comerciales, intermediarios, facilitadores, lobistas, presentadores de negocios, bróker,
representantes, prestamistas, prestatarios y la información contenida en bases de datos corporativas.

Business opportunities, projects, products, services and/or present and future equipment, business, commercial and
industrial secrets, corporate offers or letters of intent to purchase, internal business models, marketing, analysis, projections
and forms of expansion, growth plans, development, investment, internal regulations and employee resumes.
Las oportunidades de negocios, proyectos, productos, servicios y/o equipos presentes y futuros, secretos empresariales,
comerciales e industriales, las ofertas corporativas o cartas de intención de compra, los modelos de negocios internos,
mercadeo, análisis, proyecciones y formas de expansión, los planes de crecimiento, desarrollo, inversión, reglamentos
internos y hojas de vida de los empleados.

All information related to fiscal operations, financial conditions, know-how, banking information, financial statements,
banking instruments, balance sheets, forms of financing, private or public tenders, payment agreements, bank details and
the like. Information on purchase and sale prices, profit margins, rates, costs, fee values, formulas for calculating and
distributing commissions, goals, sales figures, income, expenses, profits and the like.
Toda la información relacionada con las operaciones fiscales, condiciones financieras, know-how, información bancaria,
estados financieros, instrumentos bancarios, balances, formas de financiación, licitaciones privadas o públicas, acuerdos de
pago, detalles bancarios y similares. La información de precios de compra y venta, márgenes de ganancia, tarifas, costos,
valor de honorarios, fórmulas de cálculo y distribución de comisiones, metas, cifras de ventas, ingresos, egresos, utilidades
y similares.

The specific terms and conditions of contracts initiated by or involving “The Parties” and any addition, renewal, extension,
rollover amendment, renegotiations or new agreement without prior specific written consent of the party(s) providing such
information.
Los términos y condiciones específicos de los contratos iniciados por o que involucren a "Las Partes" y cualquier adición,
renovación, extensión, enmienda de reinversión, renegociaciones o nuevos acuerdos sin el consentimiento previo por
escrito de la(s) parte(s) que proporciona(n) dicha información.

AGREEMENT NOT TO DEAL WITHOUT CONSENT

ACUERDO DE NO TRATAR SIN CONSENTIMIENTO

“The Parties” legally and irrevocably undertake to guarantee each other that they will not interfere, intervene, circumvent
or attempt to elude, avoid, evade or obviate, directly or indirectly, the mutual interest or relationship between “The Parties”
in present or future relationships or the continuation of a relationship pre-established with clients (potential, realized or
abandoned), entrepreneurs, sellers, buyers, suppliers, intermediaries, owners or manufacturers of technology,
concessionaires, corporations, associations, entities, distributors, producers, refiners and/or transporters, to initiate a
relationship of purchase/sale, project or similar, additional or complementary transactional relationship that surrounds one
of “The Parties” . Any negotiation must be carried out with the full knowledge and management of the other party, who
will be entitled to a profit in the additionally signed contracts.
Las partes se comprometen legal e irrevocablemente a garantizar mutuamente que no interferirán, intervendrán soslayarán
o intentarán eludir, evitar, evadir u obviar directa o indirectamente, el interés mutuo o relación entre “Las Partes” en
relaciones presentes, futuras o la continuación de una relación preestablecida con clientes (potenciales, concretados o
abandonados), empresarios, vendedores, compradores, proveedores, intermediarios, propietarios o fabricantes de
tecnología, concesionarios, corporaciones, asociaciones, entidades, distribuidores, productores, refinadores y/o
transportistas para iniciar una relación de compra/venta, proyecto o relación transaccional similar, adicional o
complementaria que circunvala a una de “Las Partes”. Cualquier negociación debe realizarse con pleno conocimiento y
gestión de la otra parte, la cual tendrá derecho a una utilidad en los contratos suscritos adicionalmente.

AGREEMENT TO HONOR COMMISSIONS AND NON-CIRCUMSTANCES

ACUERDO DE HONOR PARA LAS COMISIONES Y NO ELUSIÓN

Commissions, fees, compensation, bonuses, participations, economic benefits or remuneration that will be paid as part of
a transaction, contract, business, investment, commercial agreement or similar that covers “The Parties” of this agreement,
will be agreed by separate written agreement by “The Parties” concerned and will be paid at the time it is designated,
concluded, subscribed, signed, registered or the money changes hands between buyers and sellers unless otherwise agreed
between “The Parties”. The violation of the obligations related to non-avoidance and non-competition, will give rise to the
payment of a private sanction, towards the affected party, for a sum equal to the total value of the economic benefits,
remunerations, fees, bonuses, participations, compensation and/or commissions that it would have earned in it or the
contracts that have been entered into and/or executed without its intervention, without this affecting the compensation
for damages that may arise.
Las comisiones, honorarios, compensaciones, bonificaciones, participaciones, beneficios económicos o remuneraciones que
se pagarán como parte de una transacción, contrato, negocio, inversión, acuerdo comercial o similar que cubra a “Las
Partes” de este acuerdo, se acordará por acuerdo escrito separado entre “Las Partes” interesadas y se pagarán en el
momento en que se designe, concluya, suscriba, firme, registre o el dinero cambie de manos entre compradores y
vendedores a menos que se acuerde lo contrario entre “Las Partes”. La violación de las obligaciones referidas a la no elusión
y no competencia, dará lugar al pago de una sanción privada, hacia la parte afectada, por una suma igual al valor total de
los beneficios económicos, remuneraciones, honorarios, bonificaciones, participaciones, compensaciones y/o comisiones
que ésta hubiese ganado en él o los contratos que se hayan celebrado y/o ejecutado sin su intervención, sin que esto afecte
las indemnizaciones de perjuicios a las que hubiera lugar.

"The Parties" agree and guarantee irrevocably and unconditionally to honor and respect all fees, commissions,
compensations, bonuses, participations, economic benefits and remunerations made as part of a transaction, even in the
event that "The Parties" are not full members. of a specific commission and fee. The payments accrued, established or to
be established of all the operations carried out by "The Parties" will be distributed in accordance with what was agreed in
the IMFPA.

“Las Partes” acuerdan y garantizan irrevocable e incondicionalmente honrar y respetar todos los honorarios, comisiones,
compensaciones, bonificaciones, participaciones, beneficios económicos y remuneraciones hechos como parte de una
transacción, incluso en el caso de que “Las Partes” no sean miembros integrales de una comisión y tarifa específica. Los
pagos devengados, establecidos o por establecerse de todas las operaciones que realicen “Las Partes” se repartirán
conforme a lo acordado en la IMFPA (acuerdo irrevocable de la protección del honorario principal-comisiones).

AGREEMENT TO CONTACT
ACUERDO PARA CONTACTAR

In specific deals where one of “The Parties” acting as an agent allows the buyers, sellers or mandates, to deal directly with
one another, the agent shall be informed of the development of the transactions by receiving copies of the correspondence
between the buyers, sellers or mandates. The agents or intermediaries of a "Party" may not contact in any way or form
other agents or intermediaries of the other "Party". Nor is it allowed to contact buyers or sellers between the parties. It will
only be allowed by written authorization between “The Parties”
En acuerdos específicos donde una de “Las Partes” que actúa como agente permita que los compradores, vendedores o los
mandatarios se traten directamente entre sí, se debe informar a los demás agentes sobre el desarrollo de las transacciones
al recibir copias de la correspondencia entre compradores, vendedores o los mandatarios. Los agentes o intermediarios de
una “Parte”, no podrán contactar de ninguna manera o forma a otros agentes o intermediarios de la otra “Parte”. Tampoco
se permite contactar a los compradores o vendedores entre las partes. Solo se permitirá mediante autorización escrita entre
“Las Partes”.

TERM
TÉRMINO

This agreement shall be valid for five (5) years commencing from the date of this agreement.
Este acuerdo será válido por cinco (5) años a partir de la fecha de este acuerdo.

This agreement has an option to renew for a further period of five (5) years subject to and upon the terms and conditions
agreed between both parties. This agreement shall apply to:
 All transactions originated during the term of this agreement.
 All subsequent transactions that are follow up, repeat, extended or renegotiated transactions of transactions
originated during the term of this agreement.
Este acuerdo tiene la opción de renovarse por un período adicional de cinco (5) años sujeto a los términos y condiciones
acordados entre ambas partes. Este acuerdo se aplicará a:
 Todas las transacciones originadas durante el término de este acuerdo.
 Todas las transacciones que son transacciones de seguimiento, repetición, extensión o renegociación de
transacciones originadas durante el término de este acuerdo.

FORCE MAJURE
FUERZA MAYOR

A party shall not be considered or adjudged to be in violation of this agreement when the violation is due to circumstances
beyond its control, including but not limited to act of God, civil disturbances and theft or appropriation of the privileged
information or contract(s) without the intervention or assistance of one or more of “The Parties”.
Una parte no será considerada o adjudicada en violación de este acuerdo cuando la violación se deba a circunstancias fuera
de su control, que incluyen, pero no se limitan a un acto de Dios, disturbios civiles y robo o apropiación de la información
privilegiada o contrato(s) sin la intervención o asistencia de una o más de “Las Partes”.

ARBITRATION
ARBITRAJE

All disputes arising out of or in connection with the present contract shall be finally settled under the rules of arbitration of
the “International Chamber of Commerce (ICC)” by one or more “Arbitrators” appointed in accordance with the said rules.
This Agreement shall be governed by and interpreted in accordance with the laws of COLOMBIA. Every award shall be
binding on “The Parties” and enforceable at law. By submitting the dispute to arbitration under these rules, “The Parties”
undertake to carry out any award without delay and shall be deemed to have waived their right to any form of recourse
insofar as such waiver can validly be made.
Todas las disputas que surjan de o en conexión con el presente contrato se resolverán finalmente bajo las reglas de arbitraje
de la “Cámara de Comercio Internacional (ICC)” por uno o más “Árbitros” designados de acuerdo con dichas reglas. Este
Acuerdo se regirá e interpretará de acuerdo con las leyes de Colombia. Cada adjudicación será vinculante para “Las Partes”
y exigible por ley. Al someter la disputa a arbitraje conforme a estas reglas, “Las Partes” se comprometen a ejecutar
cualquier laudo sin demora y se considerará que han renunciado a su derecho a cualquier forma de recurso en la medida
en que dicha renuncia pueda hacerse válidamente.

Each of “The Parties” subject to the declared breach shall be responsible for their own legal expenses until an award is given
or settlement is reached, provided however, “That Party” found in default by “The Arbitrator(s)” shall compensate in full
the aggrieved party its heirs, assignees and/or designs for the total remuneration received as a result of business conducted
with “The Parties” covered by this agreement, plus all its arbitration costs, legal expenses and other charges
and damages deemed fair by “The Arbitrator(s)” for bank, lending institutions, corporations, organizations, individuals,
lenders, or borrowers, buyers or sellers that were introduced by the named party, notwithstanding any other provisions of
the award. The language of the Arbitration shall be Spanish and the arbitration shall take place in COLOMBIA.
Cada una de “Las Partes” sujetas a la violación declarada será responsable de sus propios gastos legales hasta que se otorgue
una adjudicación o se llegue a un acuerdo, siempre que, sin embargo, “Esa Parte” encontrada en incumplimiento por “El
Arbitro(s)” compensará en completar la parte agraviada sus herederos, cesionarios y/o diseños por la remuneración total
recibida como resultado de negocios realizados con “Las Partes” cubiertos por este acuerdo, más todos sus costos de
arbitraje, gastos legales y otros cargos y daños considerados justos por “El Árbitro(s)” para bancos, instituciones de crédito,
corporaciones, organizaciones, individuos, prestamistas o prestatarios, compradores o vendedores que fueron presentados
por la parte mencionada, sin perjuicio de otras disposiciones de la adjudicación. El idioma del Arbitraje será el español y el
arbitraje tendrá lugar en Colombia.

ENTITIES OWNED OR CONTROLLED

ENTIDADES DE PROPIEDAD O CONTROLADAS

This agreement will be binding on all entities that are owned or controlled by one of the parties. In addition, it includes any
commercial company, consortium, temporary union or other associative form that “The Parties” constitute independently
after the signing of this agreement and in which they have a participation greater than five percent. Neither party shall have
the right to assign this agreement without the express written consent of the other.
Este acuerdo será vinculante para todas las entidades que sean propiedad o estén contraladas por una de las partes.
Además, incluye cualquier sociedad comercial, consorcio, unión temporal u otra forma asociativa que constituyan “Las
Partes” de forma independiente después de la firma de este acuerdo y en los que tengan una participación superior al cinco
por ciento. Ninguna de las partes tendrá derecho a ceder este acuerdo sin el consentimiento expreso por escrito de la otra
parte.

AGREEMENT NOT TO CIRCUMVENT

ACUERDO DE NO ELUDIR

“The Parties” agree not to circumvent or attempt to circumvent this agreement in an effort to gain fees, commissions,
remunerations or considerations to the benefit of the one or more of “The parties” while excluding other or agree to benefit
to any other party.
“Las partes” acuerdan no eludir o intentar eludir este acuerdo en un esfuerzo por ganar honorarios, comisiones,
remuneraciones o consideraciones en beneficio de una o más de “Las partes”, mientras excluyen a otras o acuerdan
beneficiar a cualquier otra parte.

NOT PARTNERSHIP AGREEMENT

ACUERDO DE NO ASOCIACIÓN

This agreement shall in no way be construed as a partnership agreement between "The Parties". Consequently, they declare
that there is no employment relationship, dependency, mandate, commercial representation between them and they will
not be considered partners or collective companies and neither party will be subject to the commitments of the other party
or obligation arising from the execution of this agreement.
Este acuerdo de ninguna manera se interpretará como un acuerdo de asociación entre “Las Partes”. En consecuencia,
declaran que no existe ninguna relación laboral, dependencia, mandato, representación comercial entre ellas y no se
consideraran socios o empresas colectivas y ninguna parte estará sujeta a los compromisos de la otra parte u obligación que
se derive de la ejecución de este acuerdo.

TRANSMISSION OF THIS AGREEMENT

The transmission of this agreement through telefax or e-mail shall be legal and binding.
La transmisión de este acuerdo a través de fax o correo electrónico será legal y vinculante.

AGREE AND ATTESTED

Each representative signs below guarantees that he/she is duly empowered by his/her respectively named company to
enter into and be bound by the commitments and obligations contained herein either as individual, corporate body or on
behalf of a corporate body.
Cada representante que firma a continuación garantiza que él/ella está debidamente facultado por su respectiva empresa
para celebrar y estar obligado por los compromisos y obligaciones aquí contenidos, ya sea como individuo, entidad
corporativa o en nombre de una entidad corporativa.

BREACH OF AGREEMENT
INCUMPLIMIENTO DE CONTRATO

This agreement is valid for all commodities and transactions between parties and the parties agree that any misuse of
information supplied in terms of the business relationship, notwithstanding anything contained herein, or any indulgence
or relaxation of any clause herein, shall entitle the claimant party to full legal recourse in terms of ICC regulations.
Este acuerdo es válido para todos los productos y transacciones entre las partes y las partes acuerdan que cualquier uso
indebido de la información suministrada en términos de la relación comercial, sin perjuicio de lo aquí expuesto, o de la
indulgencia o relajación de cualquier cláusula del presente documento, dará derecho a la parte demandante a recurso legal
en los términos de las regulaciones de la ICC.
