1.1 All providers are to take note of the implications of contravening the Prevention

5 LATE SUBMISSIONS
5.1 Quotations received late shall not be considered. A quotation will be considered
late if it arrived even one second after 11:00 or any time thereafter. The tender
(bid) box shall be closed at exactly 11:00 and quotations arriving late will not be
considered under any circumstances. Quotations received late shall be returned
unopened to the respondent. Respondents are therefore strongly advised to
ensure that quotations be despatched allowing enough time for any unforeseen
events that may delay the delivery of the quotation.
5.2 The official Telkom time, which can be observed by dialling 1026 from any phone,
will be used to verify the exact closing time.
5.3 Quotations sent to the NEMISA via normal post or any other mechanism shall be
deemed to be received at the date and time of arrival at the NEMISA premises.
Quotations received at the physical address after the closing date and time of the
quotation, shall therefore be deemed to be received late. Quotations sent by email
shall be deemed to have been received at the time indicated in the inbox of the
recipient.
6 PAYMENTS
6.1 NEMISA will pay the Contractor the fees set out in the final contract according to
the table of deliverables. No additional amounts will be payable by the NEMISA
to the Contractor.
6.1.1 The Contractor shall from time to time during the duration of the contract, invoice
NEMISA for the services rendered.
6.1.3 No payment will be made to the Contractor unless an original tax invoice
complying with section 20 of the VAT Act No 89 of 1991, as amended, has been
submitted to NEMISA.
6.1.4 Payment shall be made by bank transfer into the Contractor’s back account
normally 30 days after receipt of an acceptable, original, valid tax invoice. Money
will only be transferred into a South African bank account. (Banking details must
be submitted as soon as the quotation is awarded).
6.2 The Contractor shall be responsible for accounting to the appropriate authorities
for its income tax, VAT or other moneys required to be paid in terms of the
applicable law.

1. Introduction.
2. Background.
An Over the Top (OTT) platform was identified as a multidevice and multiplatform interface
apt for a diverse South African market. This OTT platform will allow for a wider reach on
any device, anytime, anywhere since it comes with a host of services:
o (VOD)Video on Demand capabilities- for hosting and distributing content that viewers
have control over what they want to see at any time.
o Audio and podcast streaming – Listeners can listen to podcasts or audio content
directly from the platform anytime.
o Live broadcast- important events can be broadcast live to South Africans, for instance
the upcoming Hackathon, tournaments or other events on their mobile.
o Live streaming- Live events can be interactive. For instance, workshops or live classes
for our training department where students can comment and get feedback from
facilitators instantly.

The broad purpose is to provide Nemisa with a quotation to develop a fully functional free
to the public OTT platform for the on-demand distribution and streaming of Audio, Video,
Animation and podcast content.
• The platform must firstly be in Nemisa’s own domain e.g Nemisa.tv.
• The OTT can be white label and Nemisa branded, customised to its own context
and research.
• The quotation should include 2 native apps for mobile and TV which are accessible
as both iOS and Android apps and are available to download for free on App Store
and Playstore by any member of the public.
• As well as a media Player (ideally HTML5 Player)
• Ability for UGC (User Generated Content), that is for subscribers to be able to
upload content onto the platform.
• The quotation should include the SDLC (software development life cycle) or a
development strategy and include the below stages as well as the strategic choice
of team members (expertise) involved in the process of developing the platform:

• Market Research.
• Development of the prototype (Must relate to the research stage and idea)
• Testing of prototype with real subscribers
• Recommendations and modifications and revisions as per feedback from subscribers
• Develop a final and Live version (final product) for launch in March.
5. Capabilities.
The capabilities of the OTT platform should include but not limited to:
• Start with shared server but with dedicated Storage or server capabilities.
• Unlimited users- Start at 100 000.00 users
• Unlimited- Quote at 10 000 Concurrent users (Start small)
• Unlimited- quote at 2 TB bandwidth
*Note that the above capabilities are intended for when the platform reaches high traffic
and not neceserily for the quotation at the beginning stages.
• Quotation must:
o The quotation should consider that the OTT platform needs to link with Nemisa
LMS, Social media platforms as well as other platforms like google analytics for

reports and management of brand awareness, Digital marketing, SEO and leads
online.
o Very important that the platform comes with its own User analytics report interface
to report in real time the performance of each product.
o The OTT platform should have its own Ad management platform.
o As well as User Management and user analytics report interface to allow internal
administrators to manage the day to day operations of the platform as well as
upload content.
6. Platform readiness.
• OTT platform to be ready to launch in March 2021.
7. Suggested Threshold.
• 70%-80%.
8. Reporting Requirements.
• After development is completed, the suppliers will provide:
- Access to back end interface or user management, agreements or contracts with
third party suppliers.

obvious deviations from the requirements/conditions will be eliminated from further

Maximum total for functionality 100
Each panel member shall award values for each individual criterion on a score
sheet. The value scored for each criterion shall be multiplied with the specified
weighting for the relevant criterion to obtain the marks scored for the various
criteria. These marks should be added to obtain the total score for functionality.
The score of each panel member shall be added together and divided by the
number of panel members to establish the average score obtained by each
individual respondent for functionality.
2.1.1 Quotations that score less than 70% of the marks available for functionality will be
eliminated from further consideration. Marks will therefore not be awarded for their
cost proposals or for preference.
2.2.2 The 80/20 preference point system will be applied. Points for price and B-BBEE
status level certificate will be awarded in accordance with the stipulations in the

2.2.3 If appropriate, implied contract price adjustments will be made to the cost proposals
of all remaining quotations.
2.2.4 The point scored for the B-BBEE status level certificate for each acceptable quotation
will now be added to the price point.
2.2.5 The Evaluation Committee may recommend that the contract be awarded to the
respondent obtaining the highest aggregate mark as determined by 1.4.4 or to a
lower scoring quotation on justifiable grounds.
2.3.1 The relevant award structure will consider the recommendations and make the final
award. The successful respondent will usually be the service provider scoring the
highest number of points or it may be a lower scoring quotation on justifiable grounds
or no award at all.

1. I/we hereby undertake to render services described in the attached bidding documents to NEMISA in
accordance with the requirements and task directives/proposals specifications stipulated in Quotation
Number NEMISA/2021/OTT PLATFORM/RFQ6648 at the price/s quoted. My/our offer/s remain binding
upon me/us and open for acceptance by the Purchaser during the validity period indicated and calculated
from the closing date of the bid.

1 GENERAL
1.1 The Respondent must clearly state if a deviation from these special conditions are
offered and the reason therefor. If an explanatory note is provided, the paragraph
reference must be indicated in a supporting appendix to the application submission.
1.2 Should Respondents fail to indicate agreement/compliance or otherwise, the NEMISA will
assume that the Respondent is in compliance or agreement with the statement(s) as
specified in this quotation.
1.3 Quotes not completed in this manner may be considered incomplete and rejected.
1.4 NEMISA shall not be liable for any expense incurred by the Respondent in the
preparation and submission of a quotation.
2.1 This procurement process can be postponed or cancelled at any stage at the sole
discretion of NEMISA provided that such cancellation or postponement takes place prior
to entering into a contract with a specific service provider to which the quotation relates.
3.1 The Quotation submission conditions and instructions as well as the evaluation
process/criteria have been noted.
4.1 NEMISA have the right to enter into negotiation with one or more Respondents regarding
any terms and conditions, including price(s), of a proposed contract.
4.2 Under no circumstances will negotiation with any Respondents, including preferred
Respondents, constitute an award1 or promise/ undertaking to award the contract.
4.3 NEMISA shall not be obliged to accept the lowest or any quotation, offer or proposal.
4.4 A contract will only be deemed to be concluded when reduced to writing in a formal contract
and Service Level Agreement (if applicable) signed by the designated responsible person
of both parties. The designated responsible person of NEMISA is the CEO.
4.5 NEMISA also reserves the right to enter into one contract with a Respondent for all required
functions or into more than one contract with different Respondents for different functions.

5 ACCESS TO INFORMATION
5.1 All Respondents will be informed of the status of their quotation once the procurement
process has been completed.
5.2 Requests for information regarding the quotation process will be dealt with in line with the
NEMISA SCM Policy and relevant legislation.
6.1 NEMISA shall reject a proposal for the award of a contract if the recommended Respondent
has committed a proven corrupt or fraudulent act in competing for the particular contract.
6.2 The NEMISA may disregard the quote of any respondent if that respondent, or any of its
directors:
Have abused the SCM system of the NEMISA.
Have committed proven fraud or any other improper conduct in relation to such
system.
Have failed to perform on any previous contract and the proof exists.
Such actions shall be communicated to the National Treasury.
8.1 During evaluation of the quotes, additional information may be requested in writing from
Respondents. Replies to such request must be submitted, within 5 (five) working days or
as otherwise indicated. Failure to comply, may lead to your quotation being disregarded.
8.2 No additional information will be accepted from any individual Respondent without such
information having been requested
9 CONFIDENTIALITY
9.1 The quotation and all information in connection therewith shall be held in strict confidence
by Respondents and usage of such information shall be limited to the preparation of the
quotation. Respondents shall undertake to limit the number of copies of this document.
10.1 Copyright of all documentation relating to this contract belongs to the client. The successful
Respondent may not disclose any information, documentation or products to other clients
without the written approval of the accounting authority or the delegate.

12 WARRANTS
12.1 The Contractor warrants that it is able to conclude this Agreement to the satisfaction of
NEMISA.
13.1 The waiver (whether express or implied) by any Party of any breach of the terms or
conditions of this contract by the other Party shall not prejudice any remedy of the waiving
party in respect of any continuing or other breach of the terms and conditions hereof.
13.2 No favour, delay, relaxation or indulgence on the part of any Party in exercising any power
or right conferred on such Party in terms of this contract shall operate as a waiver of such
power or right nor shall any single or partial exercise of any such power or right under this
agreement.
14 RETENTION
14.1 On termination of this agreement, the contractor shall, on demand hand over all
documentation provided as part of the project and all deliverables, etc., without the right of
retention, to NEMISA.
15.1 It is a requirement that all suppliers/ services providers to NEMISA shall be registered on
the National Treasury Central Supplier Database (CSD).
15.2 Respondents are therefore required to register as a supplier on the CSD before submitting
a quotation.
15.3 Respondents are therefore required to submit proof of their registration on the CSD, or if
not yet registered, provide proof of their application to be registered, with their quotation.
15.4 No quotation will be awarded and a contract concluded with a respondent who is not
registered on the CSD.
16 FORMAT OF SUBMISSIONS
16.1 Respondents must complete all the necessary quotation documents and undertakings
required in this quotation document. Respondents are advised that their proposal should
be concise, written in plain English and simply presented.

16.2 Respondents are to set out their proposal in the format prescribed hereunder. This
means that the proposal must be structured in the parts noted below. Information not
submitted in the relevant part, may not be considered for evaluation purposes.
16.3.1 Respondents must initial each page and sign the last page and return the Special
Conditions of Quotation and Contract (Section B-1).
Quotes submitted without a completed Special Conditions of Quotation and Contract form
will be deemed to be non-responsive.
Bidders are required to submit their unique personal identification number (PIN) issued by
SARS to enable the organ of state to view the taxpayer’s profile and tax status.
Application for tax compliance status (TCS) or PIN may also be made via e-filing. In order
to use this provision, taxpayers will need to register with SARS as e-filers through the
website www.sars.gov.za.
Bidders may also submit a printed TCS together with the bid.
In bids where consortia/ joint ventures/ sub-contractors are involved, each party must
submit a separate proof of TCS/ PIN/ CSD number.
Where no TCS is available, but the bidder is registered on the Central Supplier Database
(CSD), a CSD number must be provided.
Bids submitted without any one of the above particulars, will be deemed to be non-
responsive.
16.5.1 Each party to the quotation must complete and return the “Declaration of Interest” (Section
B-2).
Quotes submitted without a complete and signed Declaration of Interest will be deemed to
be non-responsive.
16.6.1 Each party to the quotation must complete and return the “Declaration of Bidder’s past
Supply Chain Management practices” (Section B-3).
Quotes submitted without a completed and signed Declaration of Bidder’s past Supply
Chain Management practices will be deemed non-responsive.
16.7.1 Each party to the quotation must complete and sign the Certificate (Section B-4).

16.8 Part 6: Preference Points Claim Form in terms of the Preferential Procurement
Regulations 2017
16.8.1 Respondents must complete, sign and return the full “Preference Points Claim Form”
(Section B-5) document.
Quotes submitted without a completed and signed Preference Points Claim Form and a
valid BEE certificate will be awarded zero points for preference.
16.9.1 Respondents must complete, sign and return the full “Invitation to Quote” (Section B-6)
document.
Quotes submitted without a completed and signed Invitation to Quote will be deemed to
be non-responsive.
16.10.1 Any budget amount that may be indicated in this document shall be deemed to be a guide
only and Respondents are expected to submit a costing that is fair and reasonable.
16.10.2 All costs related to this assignment are to be allowed for in the pricing schedule and in the
formats prescribed and must be returned as part of the submission (Section B-7).
Quotes submitted without a price or with an incomplete price, will be deemed to be non-
responsive.
16.10.3 Rates for the first year of the contract must be firm. All normal operating costs and out of
pocket expenses such as photocopies, telephone calls, printing, travel, etc. must be
covered in the rates quoted.
16.10.4 A pricing schedule with one of the specified elements (fees and reimbursable costs)
omitted from the costing, may be considered non-responsive.
16.11.1 Respondents must submit a description of the methodology and approach that will be
used to perform the work as set out in the Terms of Reference. This methodology and
approach must demonstrate the Respondent’s understanding of the requirement and also
of the environment.

16.11.2 Respondents must, at least cover the under-mentioned in their technical approach and
return as part of their submission:
Describe, in detail, exactly how they propose to carry out the activities to achieve the
outcomes identified in the terms of reference. They should identify any possible
problems that might hinder delivery and indicate how they will avoid, or overcome
such problems.
Describe how the work will be managed. Provide an organisation chart clearly
indicating:
The lines of reporting between the Respondent and the NEMISA and other
stakeholders, if applicable.
Identify the position(s) involved in the direct delivery of the service to be provided and
in the overall management of the work and name the people who will fill these
positions.
16.11.3 Provide a project plan of activities. In addition to providing details of the estimated number
of work days for each activity, Respondents are to supply a detailed timetable that identifies
when certain activities will be undertaken and over what period they will be spread. The
timing of activities, the time needed to complete them, and the order in which they will be
undertaken must be explained and justified.
16.11.4 Please note that Part 9 should be no longer than 20 single-sided A4 pages in Arial 11 (font
size).
16.12.1 In this part that must be returned as part of the submission, Respondents must provide
details of the team named in the previous part.
A complete curriculum vitae confirming suitability for the position. A format is provided
as a guideline only for the compilation of the CVs.
16.13.1 Respondents should provide in this part, and return as part the submission, at least the
following information.
16.14.1 In this part, Respondents must submit proof of their registration, or proof that they have
applied for registration on the Central Supplier Database.

1. GENERAL CONDITIONS
1.1 The following preference point systems are applicable to all bids:
- the 80/20 system for requirements with a Rand value of up to R50 000 000
(all applicable taxes included); and
- the 90/10 system for requirements with a Rand value above R50 000 000 (all
applicable taxes included).
1.2 The value of this bid is estimated to not exceed R50 000 000 (all applicable taxes
included) and therefore the 80/20 preference point system shall be applicable;
1.3 Points for this bid shall be awarded for:
(a) Price; and
(b) B-BBEE Status Level of Contributor.
