Terms and Conditions
Prices are valid until 05 days
Payment Terms 80% Advance, 20% after Installation and commissioning
If the order is cancelled by the client after PO issuance, Smart Solar (Pvt) Ltd. reserves the right to charge
stocking fee of 25 % of the selling price of the offered equipment.
Customer will be responsible to provide site access to Smart Solar. All Civil works will be the responsibility of
customer as per instructions of Smart Solar. Safety and security of equipment, once delivered on the premises of
the customer are the responsibility of the customer. Electrical and mechanical scope of work will be as per
agreed terms & conditions.
Solar panels will have 12 years product & workmanship warranty and 30 years linear performance warranty.
Hybrid inverters will have a warranty of 1.5 years with parts and 4 years of service as per respective brand
warranty policy.
Client is responsible to check and maintain the battery water level.
Company reserves the right to withdraw this order at any time.
Load Balancing & internal wiring will be done by Customer’s Electrician.
Voltage stabilization of Grid will be done by Customer’s end.
All prices are subject to change without prior notice due to currency fluctuation.
Net-metering process may take up to 4 months and is dependent on WAPDA and NEPRA officials.
Sanctioned Load increment as per the design is responsibility of client.
Any tax applicable by the government, customer would pay.
The customer has to arrange separation of identified load according to his requirement at site. Smart Solar will
only be responsible for Grid Input and Inverter Output. The respective cables to be taken to and from main DB
to identified place where the Solar Inverter is to be installed.
Meter sanctioned load change and I&C required other than the above-mentioned scope of work shall be
charged as per actual.

SOLAR SYSTEM PURCHASE AND INSTALLATION SERVICES AGREEMENT
This agreement is made on_____________________

which expression shall, wherever the context so permits, mean and include its executors, administrators and assigns,
FIRST PARTY.
AND
M/SSmart Solar, represented through Mr. Waqas Khaleeq (CEO),situated at 497-A,Revenue Employees Society, Johar
Town Lahore, which expression shall, wherever the context so permits, mean and include its executors, administrators
and assigns, SECOND PARTY.
(First party and second party shall be collectively referred to as the "Parties" and individually as a "Party".)
WHEREAS, both the parties of this Agreement agreed to the following Terms and Conditions:
1. The first party hereby agrees to issue purchase/ work order to the second party. Scope of the purchase/ work order
will include supply, installation, commissioning, and handling of the items described as under:

3. Payment terms: The first party shall make payments to the second party as under:
i) Advance payment ___________________

4. Time Schedule:The handover of successfully commissioned plant would be within thirty (30) days from the
date of signing of the agreement. The second party shall not be liable for the breach if these breaches are
caused by the failure of the payment terms, changes, repairs or incorrect operation by the first party not
expressly authorized in writing by the second party.
5. Defect Liability Period: i) The second party warrants that the works/facility or any part thereof shall be
free from defects in the design, engineering, materials and workmanship for a period of five (1.5) years for
On-Grid systemfrom date of successful commissioning, unless specified otherwise in the Contract.
i) Replacement Warranty of Solar Panels for 12 Years.

ii) PV modules used at the site shall be warranted for 30 years linear performance.
iii) Product workmanship of PV modules would be guaranteed for 30 year from Commissioning.
iv) The inverters would have warranty of 1.5 years for hybridinverter fromdate of commissioning.
v) The warranties would be directly extended to the first party by the respective manufacturers.The second
party shall facilitate the first party in enforcement of the warranty.
vi) The second party accepts no liability for defects caused by improper use or unauthorized operation of
the delivery item by first party or other parties. The same principle applies for non-adherence to
operating rules, installation regulations or generally accepted engineering standards. If first party or
other parties perform repair work or modifications of the delivery item, no warranty claims may be
lodged for these or for their consequences.
vii) Parties may sign a separate O&M contract as per mutual agreement.
6. Dispute Resolution: In the case of any dispute arising out of or in connection with the terms of the PO
regarding its performance, existence, validity or termination, the parties shall first attempt to reach an
amicable settlement through mutual consultations and negotiations. If the parties are unable to reach an
amicable settlement within 30, (thirty) days from the date on which the dispute arose, any of the party may
make a reference to arbitration in accordance with the law of the land. Second party has right to go to court
of law in case client fails to pay the full amount of system.
7. Governing Law:This Agreement is governed by and is to be construed in accordance with the laws of
Islamic Republic of Pakistan.
IN WITNESS WHEREOF the Parties hereto have set and subscribed their respective hands at Lahore to this Agreement
on the day, month and the year aforementioned.
