E) Payment terms:
All payments has to be made to “Satyam Auto Ltd” as per the following schedule (30 days cycle)
1. Caution Money Deposit (CMD): 10% of total value within 1 days of confirmation of contract which would be retained as SD till the completion of
contract. In case of any breach of contract, the same would be forfeited without any recourse to the buyers.
2. 30% of first month lot value within 2 days of confirmation of contract.
3. 40% of first month lot value within 10 days of contract confirmation.
4. 20% of first month lot value within 15 days of contract confirmation.
F) Bidding modalities:
1. Price Bid Basis: In INR on per MT basis. Price to be quoted is basic, ex- location exclusive of excise duty, sales tax and any other statutory levies & taxes
applicable at the time on delivery.
2. Bid Validity: Bid will be valid for four working days, excluding the date of online auction.
G) Debarred/ Special Clause:
H1 Buyer has to make the payments as per the terms and conditions mentioned above and has to lift the material within the stipulated time/daily basis
as per schedule shared and material availability. Deviation from this will lead to debarment from participation in future auctions of HMCL till further
notice.
H) “ H1 bid/buyer will be awarded the contract subject to satisfaction of the management(HMCL/Satyam) looking at the credentials/capacity of the
buyer – Mgmt reserves the rights to cancel the H1 bid , as deemed fit”.
I) SpecialConditions:
1. In case the customerfailsto deposittheCMD withinthetimelines, theEMD amount will be forfeited. In any case if the customer fails to lift the material within the
stipulated time/Daily basis within the contract period entire 10% SD will be forfeited without assigning any notice/Reason to the customer.
2. The EMD of the winning customer would be refunded only after submitting of CMD amount /Advance amount (as the case may be) for approved lots Or it
can also be adjusted along with the balance 10% SD amount.
3. If highest bidder not picks the material, in that case Hero MotoCorp has right to re-sale/re-auction the same and right to recover the loss amount from
highestbidder
4. CMD/ EMD shall not bear any interest.
5.Lifting has to be started on 24.11.2018.
6. H1 buyer has to take the allotted material directly into their premises.
7. Lot transferred to any other party by H1 buyer is strictly not allowed and if found doing so then EMD/Security deposit will be
forfeited by Satyam Management on immediate basis.
8. H1 buyer should ensure that any of his representative should not be involved in any kind of tempering/unethical practices. If found
doing so, Satyam Auto Management reserves the right to take legal action as per the law of the land along with forfeiture of
EMD/Security amount.
I) Lifting terms & conditions:
3.1 D.O.’s will be handed over to authorized representatives of bidders on receipt of CMD & first payment.
Lifting date is calculated from the next day of D.O. Release date. Material generated from the plant needs to be lifted/Evacuated on daily basis failing which HMCL
reserves the right to take necessary penal action against the H1 customer & may result in SD forfeiture.
3.2 Loading Charges: Included in lifter’s scope.
3.3 Buyer has to confirm lifted quantity meticulously on daily basis in standard format provided by
Mjunction.
3.4 Loading Time: 9:30 AM to 5:00 PM.
If any vehicle have no document related to safety purpose or government norms, then vehicle will not enter in the premises.
Loading shall be given strictly as per the statutory norms & safety norms of Seller. A conductor along with back horn is compulsory in all trucks Customer
to place the truck according toSeller requirement.
3.5 All the liability of pending payments on account of labor charges and transporter charges has to be borne by the buyer in case of material gets
accumulated on account of non-lifting
3.6 Every buyer must have successfully handled minimum three sales order/500 MT at any other HMCL SCP before participating in Satyam auctions.
J) Jurisdiction:
7.1 In authorized official or any other person appointed by the seller shall decide any dispute arising between the successful bidder and seller. The decision
of the Arbitrator shall be final and binding on both the parties.
7.2 Disputes between seller & bidder if any shall be within the jurisdiction of “New Delhi “courts only.
K) Compliance to safety norms
8.1 Authorized persons (of the customer) involved in lifting of the materials will be allowed only with Personal Protective Equipment’s (PPE) i.e., Safety
Shoes, Safety Helmet, Safety Goggles, Fluorescent Jacket and Hand Gloves. No "people movement" shall be allowed at the time of loading/delivery
of materials from the yards” Seller will not be responsible for any delays arising out of Non- Compliance to the Safety Norms.
8.2The vehicle should be compliant of legal requirements and in addition conductor and back horn is required
L)GENERALTERMS&CONDITIONS
1. Subject to the reserve price, if any, fixed by HMCL and subject to the terms and conditions set out herein, sale shall be made to the HIGHEST BIDDER on
“AS IS WHERE ISBASIS” and “NOCOMPLAINT BASIS.” Satyam/ HMCL does not undertake anyresponsibility to procure any permission/license etc. in
respect of the auction property offered for sale.
2. HMCL reserves the right to modify and amendthe terms & conditions and announce the same at any time beforethe entireauctionconcludes.
Announcements during the auction in the auction room on the websiteandchanges made inthe catalog including start price, bid
increment/decrement, extension of time for lots where received bids / no bids are received, and any other additional conditions OR correction in the
catalogue and/or additions or deletions of items being offered for sale are being done with the consent and knowledge of the HMCL, and it is binding
on the bidder. Bidders are advised in their own interest not to leave the auction room till the entire auction is closed.
3. Participation and bidding in this Auction shall be treated as conclusive evidence of the fact that the bidder has inspected the Auction Property and the
documents pertaining to it and is satisfied in all respects regarding quantity, quality, condition of the Auction property, taxes and duties, and other
extraneous factors and the Principle of Caveat Emptor (let the buyer beware) will apply. It shall also imply that the bidder has carefully gone through and
understood the terms and conditions of Auction including the amendments if any, prevailing at the timeof Auction. HMCL/ Seller/MJunctionwill not
entertain any complaints orobjectionsonce Bid is placed.
4. Seller./ MJunctiojn does notgive warranty or guaranteeof the quality, quantity, measurement, condition Chemicalcompositionof each individual
item/s or lot/s that form the auction property and about its “End Use” or fitness for a particular purpose.
5. The highest bidder does not get any right to demand acceptance of his offer. HMCL reserves the right to accept/ reject/ cancel any bid, withdraw any
portionof the Auction Property at any stage from Auction even after acceptance of bid/ issue of delivery order or release order/ deposit of full value by
successful bidder without assigning any reason thereof.In the event of suchrejection/ cancellation/ withdrawal, SELLER in concurrence with HMCL, shall
refund the value of Auction Property, if paid for, to the successful bidder. SELLER/ HMCL shall not be responsible for any damages/loss whatsoever to the
successfulbidder onaccountof suchwithdrawal.
6. In the event of failure on the part of the successful bidder to fulfill his contractual obligations, HMCL / MJunction reserves the right to debar such
bidder from participating in any future auction conducted by MJunctiojn on behalf of HMCL.
7.
Delivery
1. On receipt of full Sale Value along with applicable ED/VAT/ Sales Tax/TCS & other Charges by the Seller, the Seller will issue final Sale/ Delivery / Release
Order to the Buyer therebyenabling him to lift the materials on immediate basis.
2. Lifting of materials will be allowed onlyas per schedule to be confirmed by Seller on finalization of bid on all working days. Successful bidders should ensure
that the material clearance is as per the seller’s instructions. Neat and clean maintenance of the stockyard from where the material is lifted is the
responsibility of the successful bidder. In the event of non-adherence to the above by the successful bidder, seller in concurrence with HMCL will reserve
its rights to impose penalties/forfeiture of EMD and other payments collected.
3. If the goods soldor portion thereof remain un-cleared in the premises of the seller beyond the stipulated period, the sales proceeds ofthe un-lifted assets
shall be forfeited and the un-lifted portion of the assets may be removed at the risk and cost of the buyer.
4. While taking delivery ofthe material, it will be at mutual consent ofthe Seller & Buyeror its authorized representatives to decide the manner / order in
which the materials or lots shall be removed. No segregation of the items of any lot is allowed inside the seller’s premises.
5. Breaking/ cutting may be allowed to the extent necessary for facilitating loading into vehicles as required and mutually agreed with SELLER. No gas cutting
equipmentsor any equipment, which are likely to cause damage, will be allowed in the premises. Only safe oxy-acetylene gas cutting equipment will be
allowed with pre-agreement with seller. The decision of the seller or his authorized representative shall be final in this regard.
6. Seller to issue the required gate pass/ work permit for the said purpose to Buyer & their representatives.
7. It will be successful purchaser’s responsibility to weight the empty Truck at the weighbridge and produce the weight certificate so that the weight of the
empty truck will be deducted from the weight of the fully loaded truck. Seller may witness the same to arrive on a mutual consent.
8. Once the goods / materials are taken out ofthe factory gate, purchaser will be solely responsible for all sorts ofclaims like shortage, missing parts,
damage, incident, accident, loss of material etc.
9. Resale will not be recognized. The purchaser shall not be entitled to resell any lot or part of a lot while goods are still lying within the premises of the seller
and no delivery would be effected by the seller to any personother than the Purchaser whose names are mentioned in the sale order/Delivery order.
10. Purchaser and his men are subject to the securityrule of seller in force while in the seller’s premises. The purchaser/s, their workmen agentsor
representatives shall not commit any nuisance, theft or indulge in any antisocial activities in the seller’s premises and the purchaser shall be liable for
the good conduct, safety & discipline of his workmen. In case of any such activity, delivery will be suspended and strict action as per law will be taken
including forfeiture of EMD.
11. While taking delivery of the material, the Purchasers shall be responsible for any damage that may be done to premises / fittings of the SELLER in the course of
removing the lot or lots purchased by them. The SELLER may at its option arrange to make good such damages and the purchaser shall pay for the same on
demand. If such payment is not made on demand, the SELLER may forfeit the CMD/ Security Deposit or May stop delivery of the material till payment is made.
In this regard, MJ can forfeit the EMD & transfer to Seller upon request from Seller.
12. SELLERS will not at any time be responsible for any injuries caused due to accident within its premises either to the buyer or his representative / labour etc.,
and the buyer will make proper arrangements for any claim arising out of the employment under any status. It is the responsibility of the buyer to provide
necessary safety appliances (like hand gloves / safety shoes etc.,) to the labor, who are engaged for loading the materials or any other activity relating to
this contract.
13. If any accident or damage to the property / life etc. arises by reason of any act of negligence / omission / defaultor non-compliance with any of the Terms &
Conditions or statutory regulations, rules or ESI as may applicable and regulations applicable within the Seller’s premises, onthe part of the Buyer / his
representative or employees, resulting in death or injury to any persons or damages to the property of the SELLER or any third party, then in such an event
the Buyer will have to pay compensation to such person including the employees of the SELLER for such accident or injury / death or damage caused to
their employees or to any ofthe Seller’s employees or to others or to the Seller’s property. The Buyer shall in such event, keep the SELLER fully
indemnified from any demand, claims or proceedings thereof.
14. It is Buyer responsibility to lift the material till validity of contract as per schedule provided by Seller. Also buyer shall be responsible for all material (for
which it would be finalized for lifting material) to lift as is where is basis and buyer shall take care that such material should be prevent from water/rain
etc., in the absence of that buyer shall lift material as routine material without any fail at finalized rate of bid. Any remaining material, left at the end of
contract period, shall be lifted by buyer (successful bidder) as per instruction of HMCL.

2. I/We further declare that I/We intend to purchase the above-referred material from Hindustan Zinc Limited for our own use/business and that the information revealed
by me/us in this acceptance form is true and correct to the best of my/our belief. I/We understand and agree that if any of the statement/information revealed by
me/us is found to be incorrect and/or untrue, the bid/s submitted by me/us is liable to be cancelled and in such case the CMD/ Earnest Money Deposit paid by me/us is
liable to be forfeited by the seller and the seller will be at liberty to annul the offer made to me/us at any point of time.
3. I/We also agree that after my/our offer/bid placed by me/us for purchase of the material is accepted by the seller and I/we fail to accept or act upon the terms
& conditions of the offer letter or am /are not able to complete the transaction within the time limit specified in the offer letter for any reason whatsoever and/or fail
to fulfill any/all the terms & conditions of the Tender catalog and offer letter, the CMD / Earnest Money Deposit and any other monies paid by me/us along with the
tender and thereafter, are liable to be forfeited by the seller and that the seller has also a right to proceed against me/us for specific performance of the contract, if so
desired by the seller.
4. The decisions taken by representatives of seller shall be binding on me.
5. I also undertake to abide by the additional conditions if announced during the Tender including the announcement of correction in catalogue and/or additions
or deletions of items beingoffered for sale.
