1. SERVICES AGREEMENT

This Services Agreement ("Agreement") is made and executed on the 19th day of May, 2023, at
Vrindavan, by and between:

PARTIES:

M/S Kridha Developers, a partnership firm with its registered office at House No. 6, Shri Radha
Garden, Goverdhan Crossings, Mathura (U.P.), represented by Mr. Lokender Gautam, Partner, and
Mr. Pavan Kumar, Partner (hereinafter referred to as the "First Party" or "Service Provider").

AND

M/S Sri Sadhna Developers, a partnership firm with its registered office at G-2/86, Sector 15, Rohini,
Delhi - 110085, represented by Mrs. Pushpa Sharma, Partner (hereinafter referred to as the "Second
Party").

BACKGROUND:

A. The Second Party is the owner of under construction flats (Radha & Shyama Tower) and under
planning (Meera Tower) built on land parcel measuring 3,280 sq. mtrs. located in Khasra No. 211, 212
& 213, Mauja - Chattikara, Tehsil & District - Mathura, Uttar Pradesh (hereinafter referred to as the
"Land") under the project name 'Shri Sadhna Dham' with RERA registration number
UPRERAPRJ700199.

B. The Parties have agreed to enter into this agreement, wherein the Second Party has requested the
First Party to provide the following services (hereinafter referred to as "Services"):

i. Project Management services for overseeing the construction and development of the Project;
ii. Exclusive Sales Partner services for selling and marketing the developed units;
iii. Exclusive Leasing Partner services for identifying prospective lessees for leasing the developed
property/units.

C. The First Party, based on the representations and assurances of the Second Party, has agreed to
provide the Services on an exclusive basis, as per the Scope specified in Annexure-I of this Agreement.

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the
Parties agree as follows:

1. Provision of Services: The First Party shall provide the Services through its personnel at the Land, as
per the Scope defined in Annexure-I, subject to the terms and conditions of this Agreement.

2. Ownership and Possession: The Second Party represents that it has clear title to the Land and is in
absolute, vacant, and peaceful possession thereof, with no pending or threatened litigation.

3. Data and Information: The Second Party shall provide complete data of all existing allottees, funds
collected and receivable, details of canceled units, bank account statements, sanctioned plans,
architectural drawings, and any other relevant information required for the Services.

4. Approvals and Licenses: The Second Party represents that it has obtained all necessary approvals,
licenses, sanctions, and permissions for the Land and the development of units, including but not
limited to sanctioned maps, RERA registrations, and construction clearances. The Second Party shall
keep these approvals and licenses renewed and valid throughout the duration of this Agreement. The
Second Party further represents that it has the right to sell and create third-party interests in the units
without any interference or claims by third parties.
5. Office Space and Sales Gallery: The Second Party shall provide the First Party with an exclusive
office space and sales gallery at the Project site. The capital expenses for developing the office space
and project-related expenses, such as electricity, shall be borne by the Second Party. The First Party
shall bear the expenses associated with engaging staff/sales agents, except for the salary of the Sales
Manager, which shall be paid by the Second Party.

6. Service Fee: In consideration for the Services provided by the First Party, the Second Party shall pay
a service fee as specified in Annexure-II of this Agreement. The fee shall be paid in installments and as
per the payment schedule mentioned in Annexure-II.

7. Confidentiality: Both Parties agree to keep all information received from each other confidential
and not disclose it to any third party without prior written consent, except as required by law.

8. Term and Termination: This Agreement shall commence on the date of execution and shall remain
in effect until the completion of the Project, unless terminated earlier as per the provisions
mentioned in Clause 9.

9. Termination: Either Party may terminate this Agreement by giving 30 days' written notice to the
other Party in the event of a material breach by the other Party or if the other Party becomes
insolvent or bankrupt.

10. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in
accordance with the laws of the Republic of India. Any disputes arising out of or in connection with
this Agreement shall be subject to the exclusive jurisdiction of the courts in Mathura, Uttar Pradesh.

IN WITNESS WHEREOF, the Parties hereto have executed this Services Agreement as of the day and
year first above written.
