a. Specific details that need to mentioned:

4. The Laws of Indonesia that will apply in this scenario is:

- Minister of Law and Human Rights Regulation Number 21 of 2021 concerning
the Requirements and Procedures for the Registration of Establishment,
Changes, and Dissolution of Legal Entities in the Form of Limited Liability
Companies.
5. As a lawyer, the meaning of “you are in the position to undertake the project” is I will
be the person to handle and manage the responsibilility to provide the legal services
and support needed for the project of client’s.
6. It's a standard practice in legal and business interactions to maintain confidentiality
and not disclose sensitive information or documents without the permission of the party
who provided them. If there were a breach of confidentiality, it could potentially lead to
legal consequences. The confidentially request is based on Law Number 18 of 2003
concerning advocates.

1. The principle of freedom of contract is regulated in Article 1338 of the Indonesian Civil
Code. Freedom of contract are allows parties entering into a contract include any terms
they desire, provided they do not violate mandatory provisions of Indonesian law.
These mandatory provisions stem from Indonesian statutory laws and regulations,
public policy, and public order.
2. The establishment of PT PMA companies is regulated by Law Number 25 of 2007
regarding Invesment and Law Number 40 of 2007 regarding Limited Liability
Companies, while PT PMDN companies are regulated by the same laws but with more
flexibility on investment value. PT PMA companies are designed for foreign investors
aiming to establish a business in Indonesia, while PT PMDN companies is for
Indonesian citizens or legal entities to set up and expand their businesses
domestically.
3. Corporate lawyers are regulated by the Indonesian Advocates Law. Corporate lawyers
are legal professionals who specialize in corporate and commercial law. They primarily
advise businesses and corporations on various legal matters, including mergers and
acquisitions, contracts, regulatory compliance, and corporate governance. They
represent corporate clients in non-litigation legal matters. A Notary is authorized to
draft, certify, and authenticate various legal documents, including deeds, contracts,
wills, and other documents requiring notarization. And the last one is the Barrister are
lawyers who specialize in litigation and courtroom representation. They advocate on
behalf of their clients in legal proceedings, including civil and criminal cases.
4. The Board of Directors (BOD), as regulated by Law Number 40 of 2007, is responsible
for the day-to-day management and operations of the company, while the Board of
Commissioners (BOC) acts as a supervisory and advisory body to the BOD. The BOD
is also responsible for appointing, replacing, and dismissing directors, and if the BOD
consists of two or more members, one of them must take on the role of president
director, who is in charge of the board of directors.
5. "Legal due diligence" refers to the comprehensive examination and assessment of
legal aspects and risks associated with a business or corporate transaction. Corporate
lawyers conduct legal due diligence to gain a thorough understanding of a company's
legal position, identify potential legal issues or risks, and ensure that the transaction is
legally sound and compliant with relevant laws and regulations.

Semarang bermaksud mengajukan gugatan terhadap Sabar Setiawan selaku Direktur PT.
Semangat Bangun yang bertempat tinggal di Jalan Kembarang Nomor 10, Semarang, Jawa
Tengah, perihal wanprestasi atas hubungan hukum dalam perjanjian kredit secara sah
dihadapkan Notaris PPAT Vina Maulina S.H., M.Kn., pada tanggal 15 September 1999.

PENERIMA KUASA diberikan hak dan wewenang meliputi:


1. Atas nama PEMBERI KUASA bertindak di hadapan Pengadilan Semarang selaku
pengadilan pilihan para pihak, maupun instansi atau perorangan manapun;
2. Penerima Kuasa boleh membuat dan menandatangani surat dan melakukan segala
apa yang perlu dan berguna untuk kepentingan pemberi kuasa, asal tidak dilarang
atau bertentangan atau melanggar Undang-Undang dan bila perlu penerima kuasa
dapat memindahtangankan kekuasaannya itu sebagian atau sepenuhnya kepada

as the Director of PT. Semangat Bangun residing at 10 Kembarang Street, Semarang, Central
Java, regarding non-performance of obligations under a legally witnessed credit agreement
by Notary PPAT Vina Maulina S.H., M.Kn., on September 15, 1999.

The ATTORNEY-IN-FACT is granted rights and authorities, including:


1. To act on behalf of the PRINCIPAL before the Semarang Court as the chosen court of
the parties, as well as any institution or individual;
2. The Attorney-in-Fact may create and sign documents and perform all actions
necessary and useful for the interests of the PRINCIPAL, provided they are not
prohibited or contrary to the law. If necessary, the Attorney-in-Fact may transfer their
authority, in whole or in part, to another person (substitution right) with the right to
withdraw the previously granted power of substitution.

Dengan hormat,

Yang bertanda tangan di bawah ini Annisa Nur Wijayanti, S.H., LLM., Advokat pada Kantor
Advokat HHR Lawyers, berkantor di Jalan Kawi Raya Nomor 46, Setiabudi, Jakarta Selatan;
yang dalam hal ini berdasarkan surat kuasa khusus tanggal 16 September 2005, bertindak
atas nama Nadafa Paundra, S.T., selaku Direktur Utama PT. Makmur Sentosa, bertempat
tinggal di Jalan Kerucut Nomor 25, Matraman, Jakarta Timur, DKI Jakarta;
Selanjutnya mohon disebut sebagai PENGGUGAT;

PENGGUGAT dengan ini hendak mengajukan Gugatan Wanprestasi di Pengadilan Negeri


Semarang terhadap:
Sabar Setiawan selaku Direktur PT. Semangat Bangun yang bertempat tinggal di
Jalan Kembarang Nomor 10, Semarang, Jawa Tengah
Adapun dasar-dasar gugatan Penggugat adalah sebagai berikut:
1. DUDUK PERKARA
a. Bahwa semula Tergugat adalah Direktur Utama PT. Semangat Bangun yang
bedomisili Jalan Kembangan 10, Semarang, memerlukan pinjaman uang bagi
perusahaanya di bidang Teknik;
b. Bahwa Nadafa Paundra, S.T., dengan segala itikad baik meminjamkan uang atas
nama PT. Makmur Sentosa kepada Tergugat sehingga Nadafa Paundra, S.T. dan
Tergugat membuat perjanjian di hadapan notaris Vina, S.H., M.Kn., pada tanggal
15 September 1999.
c. Bahwa dalam perjanjian tersebut, diketahui bahwa Nadafa Paundra, S.T.,
meminjamkan uang sebesar sebesar Rp. 20 Milyar (dua puluh miliar rupiah) yang
harus dikembalikan dalam waktu 5 (lima) tahun sejak perjanjian tersebut dibuat.
d. Akan tetapi, setelah lewat tenggang waktunya/masa perjanjian yaitu 5 (lima) tahun
tersebut, ternyata pihak Tergugat tidak menunjukan itikad baik melunasi
pinjamannya kepada PT. Makmur Sentosa dengan berbagai alasan, antara lain
krisis moneter dan kerugian yang dialaminya sehingga perdagangan lesu.
2. DALAM PROPOSISI
Bahwa Tergugat ternyata bermaksud untuk melepaskan tanggung jawabnya untuk
membayar kewajibannya kepada Penggugat, yang mana dengan tidak dipenuhinya
tanggung jawab tesebut oleh Tergugat maka dapat merugikan secara materiil
terhadap Penggugat.

Berdasarkan hal-hal yang telah diuraikan di atas, maka dengan ini Penggugat
memohon kepada Ketua Pengadilan Negeri Semarang untuk memeriksa perkara ini,
dan kemudian berkanan kiranya untuk memberikan putusan sebagai berikut:

PRIMAIR
1. Menerima dan mengabulkan gugatan Penggugat untuk seluruhnya;
2. Menyatakan bahwa Perjanjian Kredit 15 September 1999 antara Penggugat
dengan Tergugat adalah sah dan mengikat terhadap Penggugat dan Para
Tergugat.
3. Menyatakan bahwa Tergugat telah melakukan perbuatan wanprestasi sehingga
menimbulkan kerugian kepada Penggugat.
4. Menghukum tergugat untuk memenuhi isi perjanjian 15 September 1999 dengan
segala konsekuensi yuridisnya.
5. Menghukum Para Tergugat untuk membayar uang ganti rugi imateriil sebesar Rp.
300.000.000,00 (tiga juta rupiah) kepada Penggugat selambat-lambatnya di dalam
14 (empatbelas) hari terhitung sejak putusan perkara ini memiliki kekuatan hukum
tetap.
6. Menghukum Tergugat untuk membayar biaya perkara.
