Partnership Agreement
THIS PARTNERSHIP AGREEMENT is made this 28th day of _December__2023
BETWEEN
STIRBAN NIGERIA LIMITED a private company with RC- 1516431 incorporated under the laws
of Nigeria and having its principal place of business at 12 RASAQ STREET, AJAKO STREET,
SHASHA., IKEJA, LAGOS STATE. (Hereinafter called, "Partner A")
AND
NEILZ DESIGN FIT-OUT LTD, a company with RC 1001166 incorporated under the laws of
Nigeria and having its principal place of business at 18, MICHEAL ADEKOYA STREET, ILUPEJU,
IKEJA LAGOS, NIGERIA. (Hereinafter called, “Partner B”)
WHEREAS:
The Parties are engaging in discussions with each other in connection with a possible business
partnership. In the course of such partnership, it will be necessary for the Parties, to be guided by
certain rules of engagement in the course of its partnership.
THEREFORE, the Parties agree to enter into this Partnership Agreement, on the terms and
conditions set forth herein.
1. Referral Commission:
For every successful business referral made by Party A to Party B, Party A is entitled to a
commission equal to 12% of the total contract value.
In the event that Party B successfully gets a new work stemming from the initial referral from
Party A, Party A shall be entitled to 8% of the total contract sum of the new job.
2. Invoicing and Payment:
Upon submission and subsequent approval of the contract by the contracting organization(s)
Party B agrees to share the invoiced amount in full with Party A for transparency and mutual
comfort.
Upon receipt of the initial payment from the contracting organization(s), Party B shall pay a
minimum of 80% of the agreed 12% commission to Party A on every direct referral.
Upon receipt of the initial payment from a new work stemming from the initial referral from
Party A, by the contracting organization(s), Party B shall pay a minimum of 80% of the
agreed 8% commission to Party A on every indirect direct referral.

Upon delivery of the final job and subsequent payment of the remaining contract sum by the
contracting organization, either from a direct or indirect referral, Party B shall pay the balance of 20%
of the referral commissioned sum to Party A to conclude the partnership per the terms outlined herein.
4. Confidentiality:
Both parties agree to treat all information exchanged during the course of this agreement as
confidential and not to disclose it to any third party without the express written consent of the other
party.
5. Term and Termination:
This Partnership Agreement shall commence on the Effective Date and continue until
terminated by either party with 60 days' written notice.
Either party may terminate this Agreement immediately upon written notice for a material
breach by the other party.
6. Governing Law & Dispute:
This Agreement shall be governed by and construed in accordance with the laws of Nigeria. Any and
all disputes arising from this Agreement shall be initially resolved by amicable discussions. Any
dispute not resolved amicably by the Parties shall be subject to the exclusive jurisdiction of the courts
of Nigeria.
7. Miscellaneous:
This Agreement constitutes the entire understanding between the parties concerning the subject matter
hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or
written.

the year first above written by their duly authorized signatories
