All Rates are:


 Per room per night basis, net inclusive of service charge (currently 5%) and VAT (currently 8%) and based on single or double
occupancy. The percentages specified are subject to change by government regulation and may be payable by Company on the
margin applied to the guest rooms over and above the room rate
 Inclusive of daily buffet breakfast and Free internet access with basic speed, sufficient to browse websites and access light emails
 DO NOT APPLY to Leisure Groups, Conventions, Meetings and Incentive Groups. Rates for the mentioned are available from
Sales Department of the Hotel and will be quoted base on requests
 Guests will not receive points or any other benefit in conjunction with Marriott’s loyalty program for reservations and bookings made
through your service
 VinWonders Entrance tickets are daily priced tickets, applicable for arrivals until 31 st December 2023. Ticket pricing for 2024 will be
communicated as soon as these are available.

COMMITMENT:
The Company shall commit to fulfill the quarterly revenue for the listed period and the Hotel guarantees to reserve the bookings for the
Commitment, distributed into quarterly committed revenues as stated below. Catering & event charges, cancelation charges and no-
show fees do not account toward Committed Revenues. Revenues account towards the Commitment include Room Revenues; Food
Revenues are limited to meal periods booked by Company prior to guest arrival within a package, i.e. Breakfast, Lunch or Dinner.
Revenues stated below are considered net, inclusive of tax and service charge. Meals purchased by guests during stay; incidental
charges; additional services including but not limited to Spa, Recreation, Entrance Tickets to Amusement Park or Green Fees not
account toward Committed Revenues. Committed revenues will need to be fulfilled within the listed quarters and are not to be carried
over into (a) following quarter(s).

DAILY ALLOTMENT:
Hotel provides Company with daily allotment from 1 November 2023 till 31 December 2024 per table overview in the clause
‘Commitment’. The Hotel allows Company to surpass the usage of the daily allotment; for exceeding rooms of the daily allotment the
rate will increase by VND 200,000 net/room/night, VND 350,000 net/suite/night and VND 500,000 net/villa/night; the Hotel reserves the
right to confirm the extra room request and subject to room availability. For bookings beyond the daily allotment, an additional 20 units
is reserved as a ‘soft allotment’. This soft allotment is available to the Company; however, the Hotel reserves the right to request back
the rooms in case of high occupancy dates. The Hotel requires to send an official email notification minimum 48 hours prior to the
respective dates; in the event the Company has bookings within these specific dates still, this will be subject to the consideration of the
Hotel. Within 48 hours of arrival, Hotel requires to accept the bookings Company has already received and have been pending to send
to Hotel.

CUT-OFF DATES: Hotel has no obligation to honor the reservation at the contract made past the cut-off dates for the bookings beyond
the daily allotments. Cut off dates are 7 days / 50% and 14 days / 50% and 21 days from 9 th to 17th February 2024.

BLACK-OUT DATES:
Hotel reserves the right to impose black-out dates at its sole discretion. In such case, Hotel will honor all reservations for the black-out
period, which were made prior to the notification of the black-out. Please note that the black-out dates may be added during the year at
any time. Hotel will advise you of this in advance and in this case, Hotel will request that you stop selling from the Free Sell. The Hotel
requires to send an official email notification minimum 48 hours prior to the respective dates; in the event the Company has bookings
within these specific dates still, this will be subject to the consideration of the Hotel. Within 48 hours of arrival, Hotel requires to accept
the bookings Company has already received and have been pending to send to Hotel.

EARLY CHECK IN & LATE CHECK OUT


Hotel guarantees 30% units of daily allotment to check-in early (between 08:00 and before 15:00) and check-out late (between 12:00
and 18:00); respectively 7 units when the daily allotment is 22 units, 13 units when the daily allotment is 42 units.

EARLY CHECK-IN SURCHARGE


Before 08:00 100% charge for 1-night stay
After 08:00 and before 15:00 50% charge for 1-night stay
LATE CHECK-OUT SURCHARGE
From 12:00 until 18:00 50% charge for 1-night stay
After 18:00 100% charge for 1-night stay

CANCELLATION BOOKING POLICY


Booking less than or equal to 3 rooms may be canceled up to 72 hours prior to arrival via a mutually agreed documented method
(Email/ written). If cancellation occurs within 72 hours of arrival or if a no- show occurs, a one-night cancellation fee including room and
tax, will be assessed. With booking from 04 – 10 rooms may be canceled up to 14 working days prior to arrival via a mutually agreed
documented method. If cancellation occurs within 14 working days of arrival or if a no-show occurs, a one-night cancellation fee
including room and tax, will be assessed. Despite of Company having canceled rooms within the cancelation booking policy, Company
still requires to fulfill the per quarterly committed revenues listed under the clause ‘commitment’. Canceled bookings also may not be
carried over into following quarters. Cancelations and no-show fees will no be considered as part of the committed revenues.

Date changes inside of the cancellation policy are considered a cancellation and a re-booking, and as such, are subject to cancellation
damages. The daily cancellation fee will not be contingent on Hotel’s occupancy for the nights for which rooms are cancelled. No-shows
must be paid without reliance on vouchers due to the inability of the client to present the voucher. Should you fail to pay the
cancellation fee. Hotel may cancel your billing privileges and/or this agreement, at Hotel’s sole discretion, without any obligation or
liability whatsoever. No refunds will be provided for early departure. The cancellation policy may be changed by Hotel at any time in
Hotel’s sole discretion. Table depends on the Cut-off dates or email confirmation. Regardless of early departure of a particular
reservation, all originally booked room nights (whether or not consumed) of such reservation and applicable taxes will be billed to you.

ELIGIBILITY: You may offer and make rooms available for booking under the terms of this Agreement so long as you remain primarily
engaged in the business of offering packaged travel products and services directly (or indirectly exclusively through travel agents) to
prospective guests and sales, if any, of standalone unpackaged hotel inventory by you are nominal.

MARRIOTT F.I.T COMMITMENT AGREEMENT


RATES: Withholding booked rooms, holding rooms without a confirmed booking, or other such behavior to take advantage of rate or
availability changes will be considered a material breach of this Agreement which, without limiting any of Hotel’s other rights, shall
entitle Hotel to terminate this Agreement. All rates are net non-commissionable subject to all applicable taxes. The percentages
specified are subject to change by government regulation and may be payable by you on the margin applied to the guest rooms over
and above the room rate and subject to other terms and conditions of the applicable rate plan. Guests will not receive points or any
other benefit in conjunction with Marriott’s loyalty program for reservations and bookings made through your service.

RESERVATIONS:

Rooming list must be provided to by email: [email protected] at least 2 weeks before


the arrival date with full information of Guests including without limitation of Guest name, number of
Guests, number of rooms, meal plan, etc.
a. Final rooming list is required to be provided to the Hotel 7 days prior arrival day with full information
similar to Article 4.a.
b. Any changes on final rooming list after the above 4.b mentioned due date or late rooming list sending
shall result in late checking or adversely affect to services quality to be provided to Guests. The
Company shall take entire responsibility to Guests.
c. In case of late amendment, lack of Guests’ information such as name, date of birth, gender, ID number,
nationality, etc. the Hotel shall not be responsible for the late check-in and/or incidents causing
inconvenience to Guests as well as services quality.
d. In that case, the Company acknowledges the Hotel shall not be deemed a breach of this Contract and/or
any related obligations.
e. After checking in, the requests on change of meal plan, etc. shall not be accepted. In case Guests
request for non-reserved meals, public rate for meal shall be applied.

INCIDENTAL AND ADDITIONAL CHARGES:


a. Children Policy:
(i) A maximum of two (2) children 12 years and below may share a room with 1 or 2 adults free of charge (room with breakfast),
utilizing existing room bedding. Extra rollaway in rooms or suites will be chargeable; rollaway beds are not delivered to villas.
Baby cot is complimentary. Interconnecting rooms must be requested to the Hotel upon reservation and will be confirmed upon
availability. Every child must be mentioned on reservation.
(ii) The guest will have to advise Hotel of interconnecting room requirement at time of reservation. The Hotel has no obligation
whatsoever to provide interconnecting rooms if not advised by the guest at time of reservation, and provision of
interconnecting rooms by Hotel is subject always to availability.
(iii) Children 6 years and below will be provided complimentary buffet meals at available restaurant when accompanying an adult
who is having a full paying meal.
(iv) Children from 7 up to and including 12 years old will be charged as per page 1 of the contract. Adult rates apply for a-la-carte
and buffets except children’s menu.
(v) Children aged thirteen (13) years old and above: Adult meal rates apply.
(vi) Children occupying their own room sold at contracted rates will be charged full contract rate for accommodation and breakfast
or other products and services packaged with accommodation.

Meal Coupon Policy: Guests have the option of prepaying half board or full board served in Hotel restaurants.

b. Incidental Charges: Company shall advise all customers that they are responsible for payment of all charges over and above the
room charge; as such charges may be incurred by customers in the course of their stay at Hotel. Such additional charges may
include, but are not limited to, extra person, extra bed, mini-bar, room service, movies, internet access, telephone and health club
use.

CHECK-IN AND CHECK-OUT TIME: Check-in time is 15:00 hours check-out time is 12:00 hours. All guests arriving before 15:00
hours will be accommodated as rooms become available. Baggage may be checked-in for those arriving early if rooms are
unavailable.

DEPOSIT AND PAYMENT:

a. Deposit:
The Company needs to make deposit in the amount of the Committed Revenues on a quarterly basis, between 22nd & 26th of the month
prior to the start of the quarter. For instance, for the Committed Revenues of Quarter 4 in 2023, the total amount of VND 4,209,300,000
requires to be deposited to the Hotel by latest 26th October 2023; for the Committed Revenues of Quarter 1 in 2024, the total amount of
VND 10,145,010,000 requires to be deposited to the Hotel by latest 26th December 2023.

b. Payment:
From the 1st to the 7th monthly, the Company needs to settle payment for the additional amount of all bookings and incidental charges for
the month prior. For instance, the additional amount of all bookings and incidental charges of November 2023 require to be paid by latest
7th December. The Company has the responsibility to send Booking details with payments, to confirm all concern information of the
Company’s representative in charge to work with Hotel’s representative, see below document required. Any change about Company’s
representative, the Company has to update hotel counterpart in writing. The Total Estimated Contract Amount together with any
payments (if any) which have not yet been paid by the Company as requested in this Contract shall be automatically become
immediately due and payable on the date of any early termination of this Contract and/or any delay of payment more than 10 business
days without any prior approval by the Hotel. Any delay of payment must be subjected to official approval of the hotel through
Company’s Credit Application request, otherwise, the Hotel has a right to request for a penalty of 8% of total delayed amount of overdue

no refunds or exceptions of any sort are required to be provided by Hotel.

MARRIOTT F.I.T COMMITMENT AGREEMENT


This Agreement is subject to all the terms and conditions set forth on the following page titled “Tour Operator FIT Agreement Terms and
Conditions”, subject to change by Marriott from time to time (collectively, the “Agreement”). This Agreement constitutes the entire
agreement between you and the Hotel and may not be amended or changed unless done so in writing and signed by you and the
Hotel. The persons signing below agree that they are authorized representatives of the above indicated company and Hotel who have
authority to enter into this Agreement. This Agreement will not be valid and enforceable until a signed copy is returned to the Hotel by
XXXXXX, and the term of the Agreement shall be one year from such date, subject to termination by Hotel at any time. For the
avoidance of doubt, this Agreement hereby supersedes and replaces in its entirety any and all prior and contemporaneous oral and
written agreements related to information about the Hotel, including bookings, express or implied, between you, your Channels, your

package and tour travel operators/organizers. You represent,
warrant and agree that you are currently and will continue to be
for the term of this Agreement, in compliance with all
applicable local, state, federal regulations or laws, including but
not limited to, all provisions of the Patriot Act and regulations or
requests of the U.S. Department of Homeland Security and the
Office of Foreign Assets Control in the U.S. Department of the
Treasury.
INSURANCE: You must procure, maintain and keep in full
force and effect during the term of the Agreement adequate
insurance coverage (including public liability or commercial
general liability insurance and property) as required by law,
with a reputable company, including insurance coverage as
required under applicable Marriott standards as Hotel may
notify you from time to time.
DISPUTE RESOLUTION: The parties agree that any
dispute in any way arising out of or relating to this Agreement
will be resolved by arbitration before JAMS/ENDISPUTE® or
the American Arbitration Association in the state and city in
which the Hotel is located or the closest available location;
provided, however, a dispute relating to infringement of
intellectual property rights shall not be subject to this provision.
The parties further agree that in any arbitration proceeding
they may conduct reasonable discovery pursuant to the
arbitration rules, that the law of the state, province or country in
which the Hotel is located is will be the governing law, and any
arbitration award will be enforceable in that state’s, province’s
or federal court.
RELOCATED CUSTOMERS: Hotel will follow its
customary relocation policy in regard to Customers. It is
standard practice when relocating a customer, to refer the
customer to a comparable Marriott affiliated hotel in the area or
a hotel of another brand in the area with comparable standards
of hospitality.

TERMINATION:
a. Either party may terminate this Agreement at any time
upon 30 days’ written notice to the other party.
b. Hotel reserves the right to cancel any booking made in
breach of the Agreement.
c. Any breach by you of obligations under Your Obligations
will be a material breach of the Agreement, resulting in an
immediate suspension or termination of the Agreement, as
solely determined by Hotel in its reasonable judgment.
You shall inform Hotel of any violations of the Agreement
of which you become aware.
d. Upon termination of the Agreement, Hotel and you will
continue to honor the terms of the Agreement with respect
to any booking made prior to the termination date for dates
following the termination date, unless termination occurred
due to a monetary breach.

IMPOSSIBILITY The performance of this Agreement is


subject to termination without liability upon the occurrence of
any circumstance beyond the control of either party – such as
acts of God, war, government regulations, disaster, strikes
(except those involving the employees or agents of the party
seeking the protection of this clause), civil disorder, or
curtailment of transportation facilities – to the extent that such
circumstance makes it illegal or impossible to provide or use
Hotel facilities. The ability to terminate this Agreement without
liability pursuant to this paragraph is conditioned upon delivery
of written notice to the other party setting forth the basis for
such termination as soon as reasonably practical – but in no
event longer than ten (10) days – after learning of such basis.
NOTICE: Any notice required or permitted by the terms of this
Agreement must be in writing.
