Subject: Letter of Contract to Mr. Aman Singh

Dear Mr. Aman,

We are pleased to offer you the position of Japanese Language Trainer with Indian Institute of Skill Development
Pvt Ltd. Your base location would be in Shillong, but you will need to move to all locations of client depending on
the requirement of the Company.

Your contract under this agreement will commence on 22th August 2022 for a period of six months and can be
further extended basis mutual convenience.

You affirm that by entering into this agreement and performing your duties under this agreement, you will not be
in breach of any agreement with, or any obligation owed to a third party.

Additionally, the parties hereby agree that any dispute arising out of or in connection to this agreement shall be
subject to the exclusive jurisdiction of courts in Gurgaon.

1. Working Hours

The working hours will be from 9:30 AM to 6:00 PM.

2. Duties

2.1 You will report to the Mr. Pankaj Kumar, State Head and will work under the direction and guidance of the
person(s) in that position or such other positions determined by the Company. A general description of the
initial requirements of your position is set out in paragraph 2.3. The Company may change these requirements
from time to time. You must:

(a) Perform to the best of your abilities and knowledge the duties assigned to you by the Company, whether
during or outside the Company's business hours and at such places as the Company requires;
(b) Use your best endeavours to promote the interests and business of the Company and any of its Related Bodies
Corporate;
(c) Serve the Company faithfully and diligently to the best of your ability;
(d) Act in the Company's best interest
(e) Comply with all lawful directions and requirements of the Company;
(f) Comply with the law applicable to your position and the duties assigned to you; and
(g) Report to the person or persons nominated by the Company from time to time.
2.2 Without limiting your duties to the Company, you must not:

(a) Act in conflict with the best interests of the Company


(b) Be involved in competing with the Company
(c) Perform work for any person other than the Company without first obtaining the Company's consent.

2.3 Roles and Responsibilities

Your primary role and responsibilities are mentioned below –

 Create engaging learning activities and compelling course content.


 Teach Japanese language to his students.
 Needs to take periodic tests to ensure that the students are picking up the language.
 Must focus on all areas of language learning, viz., hearing/accent, speech, reading, writing etc.
 Must bring his students up to Level N5 and N4 of Japanese language within the given time limit.
 Must make them listen to Japanese audiobooks or make his students watch Japanese videos to aid in
picking up the language.
 Work with subject matter experts to identify target audience’s training needs.
 Set instructional end goals and create content that matches them.
 Analyse and apply trends and best practices in learning technologies and instructional design.
 Provide exercises and activities that enhance the learning process.
 Create supporting material/media (audio, video, simulations, etc).
 Devise modes of assessment, such as tests or quizzes, to measure the effectiveness of the course
 Maintain project documentation and course folders.
 Maintaining Database.
 Responsible for other assignments as per need of project.

3. Remuneration

You will receive a fixed remuneration (CTC) of Rs 4, 20,000 per annum (Salary: 30,000/- and for Accommodation:
5,000/-). Apart from this, you will not be entitled to any further reimbursements unless approved by the Senior in
writing. The salary paid includes/will include the full contribution of any statutory or social employee benefit
schemes (like TDS/PF/ESI/Gratuity/Insurance etc.) or those introduced at any later date in the organization.

4. Discretionary Benefits

In addition to your remuneration, the Company may, in its absolute discretion, provide you other ('Discretionary
Benefits'). The Company may cease providing the Discretionary Benefits, or change the basis on which it provides
them, from time to time in its absolute discretion and you do not have an entitlement to continue to receive
Discretionary Benefits. Unless you are advised otherwise in writing, any benefit provided is a Discretionary Benefit
and not part of your remuneration.

5. Company Policies, Memoranda, etc

5.1 You will be required to comply with all Company policies as communicated to you from time to time. The
Company reserves the right to vary such policies without notice in accordance to its needs. The Company will
notify you of such variations. The terms of any Company policy in placed do not form part of this contract.
6. Travel

6.1 As part of your duties, functions and responsibilities you may be required to travel within and outside India on
company expenses and you agree to do so as requested by the Company. Any travel undertaken by you under this
agreement shall be undertaken in accordance with the Company’s directions and on terms and conditions as
determined by the Company’s Travel policy. Any expense above the company’s travel policy needs the prior
approval of your Reporting Manager.

7. Leave

7.1 During your contract, you are entitled to 12 days leaves. Your manager must approve all leave.
7.2 You are entitled to public holidays in accordance with the Company's policy. However, the Company may require
you to work on public holidays without additional remuneration, but you will be given a compensatory leave
accordingly.

8. Expenses

8.1 The Company will pay for or reimburse you for your reasonable work-related expenses approved by the
Company subject to you providing the appropriate receipt sand tax invoices.

9. Confidential Information

9.1 You must not make use of, divulge or communicate to any person any trade secrets or other ('Confidential
Information') which you receive or obtain by reason of your contract other than Confidential Information that you
are required to disclose in the course of your duties as an employee of the Company; or you are required by law to
disclose.
9.2 Confidential Information includes the affairs of clients, prospective clients, the Company or staff employed by
the Company. Confidential information remains the sole property of the Company.
9.3 Confidential Information does not include any information that was public knowledge when this agreement
was signed or became so at a later date other than as a result of a breach of confidentiality by, or involving, you.
9.4 You must only use Confidential Information for the purpose of performing your duties as an employee of the
Company.
9.5 You must not, either during (except in the proper course of your duties) or after your contract, without the prior
consent of the Company, directly or in directly divulge Confidential Information to any person or use the
Confidential Information for alleged misuse of Confidential Information.
9.6 You must immediately notify the Company of any suspected or actual unauthorised use, copying or disclosure
of Confidential Information.

10.Non-Compete Clause

10.1 You agree that you must not, during the period of your contract, and for a period of 3 months after the
termination of your contract, within the area of the Company, either on your own account or as a consultant to, or
as a partner, agent, trustee, employee, shareholder, member or director of any person:

(a) Engage in or prepare to engage in any business or activity that is the same or similar to any part or parts of the
business carried on by the Company;
(b) Induce or attempt to induce any director, manager, or employee of the Company, to terminate his/ her
contract with the Company whether or not that person would in doing so commit a breach of that person’s
contract of contract; and/or
(c) Approach, induce, solicit, persuade or accept any approach from any client or customer of the Company to
cease doing business with the Company or reduce the amount of business which that person or entity would
normally do with the Company.
10.2 The Company may require you to provide evidence confirming to the satisfaction of the Company that you
are not in breach of your obligations under this clause.

10.3 You acknowledge that:

(a) The restraint described in this clause is reasonable a n d necessary to protect the Company's
legitimate business interests and you intend the restraints to operate to the maximum extent; and
(b) Damages are not an adequate remedy for a breach of this clause.

10.4 For the purpose of this clause, the Company includes the Company’s subsidiaries, associated companies.

11. Termination

11.1 You may terminate your contract by giving to the Company not less than one month’s notice in writing. In case
of an employees’ inability to serve the full notice period, deduction will be made for the number of days of
notice period not served.

11.2 Further, The Company may terminate your contract by giving you one month's notice.

11.3 Without limiting its rights, the Company may terminate your contract without notice or payment in lieu of
notice if you:

(a) Disobey a lawful direction of the Company;


(b) Are guilty of serious misconduct;
(c) Breach any material provision of this agreement; or
(d) Are charged or found guilty of a criminal offence.
(e) Insubordination or wilful disobedience;
(f) Indulge in Financial irregularities
(g) Sabotaging the interests of the Company

11.4 The Company may direct you not to attend work while investigating any matter which the Company believes
could lead to the Company exercising its rights under this clause or taking other disciplinary action. If found guilty
of any of the above, any further payments including, but not limited to, salary, gratuity, incentives, ESOP etc., will
be withheld.

Further, the Company may direct you not to attend work following the notice of termination being provided by
either party.

12. What Happens After Termination of Contract

12.1 Upon termination of your contract for any reason:

(a) You will be required to return all property (including keys, records, notes, data, memoranda and equipment -
Laptop) that had been entrusted to you during your contract with the Company before the last salary payment
is made to you; and
(b) The Company may set off any amounts you owe the Company against any amounts the Company owes you at
the date of termination except for amounts the Company is not entitled by law to set off.
(c) Your Full & Final settlement may take up to 2 -3 months to close.
13. This offer of Contract

13.1 This offer of contract supersedes any prior understanding, representation or agreement between the parties
relating to the terms of your contract. The terms of this offer of contract are confidential. If your position with the
Company changes for any reason, then the terms of this agreement will continue to apply unless expressly varied by
the parties in writing.

14. Applicable Law

14.1 This agreement is governed by the law applicable in India and the parties irrevocably and unconditionally
submit to the exclusive jurisdiction of the courts of India.
