Dear Sir,
We are Pleased to award you above mentioned work for Rs. 32,81,472/- (Thirty Two
Lakhs Eighty One Thousands Four Hundred And Seventy Two Rupees Only)
including Taxes. Your Work order is registered as WORK ORDER NO: - JC/WO-01/10-
01-2023 and subject to the following terms and conditions.
I. Terms and Conditions:
1) The contract is a built up area basis contract for with material and labour.
Quantities mentioned are approximate quantities. Billing will be done as per actual
measurements.
2) All tools / tackles / equipment, scaffolding etc. required to complete the works will
be brought by the contractor at his own cost.
3) Contractor will carry out the work in workman like manner as per the instructions of
the site in charge or his representative, in stages if required to suite the site
conditions, and in co-ordination with other agencies working on site.
4) The Owner shall be entitled to deduct Income tax / Work Contract Tax or any other
applicable tax at source from the payment made to the contractor against the
running bill in accordance with the relevant Indian Income Tax Laws or any other
laws applicable from time to time. Necessary certificate of deduction of Income tax/
Work Contract Tax shall be furnished by Owner to the contractors as per the
provision of the said act. The contractor is required to provide PAN etc. for the
purpose of compliance to the provisions of Income Tax and rules.
5) The rates are deemed to include for all expenses necessary to meet the
contractor’s obligations for making contributions towards employee benefits funds
(Such as ESI, Provident fund, old age pension if any or any other benefits /
compensation payable by the Contractor) etc., in compliance with all the statutory
regulations and requirements. All records in this connection shall be properly
maintained by the contractor and produced for scrutiny by the competent authority
whenever called for.

6) The Contractor will strictly observe Safety Policy while undertaking the works. Child
labour and children are not permitted on site. If any accident occurs at site due to
negligence of the above mentioned safety norms, the Contractor will be solely
responsible for all the consequences arising out of the above and the Owner shall be
absolved of any claims / compensation if any payable by the Contractor to his
workmen.
7) GENERAL TERMS AND CONDITION:-
a) Rs. 170 per sqft for first slab only
b) Rs. 160 per sqft for plinth & other slabs
c) R.C.C labor work includes PCC, Soling for Footings, Footings, Columns,
Beams, Slabs, Taccha work.
d) Plinth area will be measured 50% of total measured area on actual for billing.
e) Payment schedule as per annexure I
f) Overhead water tank/lift machine room, top & bottom area will be measured
as per Annexure-I
g) Staircase block & Lift shaft area will not deducted For area measurement,
slab area from outer to outer with all the projections will be measured
h) Site Security will be provided by client.
i) Three-Phase Electricity for lift-mixer.
j) Lifting, Placing/Pouring of RMC concrete for columns of each floors will be the
scope of R.C.C. contractor.
k) R.C.C. Pardi vertical/horizontal =125.00/sq.ft.
l) Duct upto 50 sq.ft. will not be deducted.
m) If chhajjas more than 2'0", will be measured @Rs.125.00/sq.ft. If less than
2’0”, then shall be included in slab area only.
n) Any other items except mentioned above will be charged extra.
o) Contractor has agreed for double shuttering i.e. props and bottom ply as per
design and drawings, for fast work on site. RCC work should be completed
within 4 months.
p) Septic tank is included in total building RCC labor cost as per Annexure – I.
8) PAYMENT TERMS:
a) As Per Annexure – I
b) R.A bill Submission shall be as per Annexure – I Payment should be released
after 15 days after submission of R.A.bill.
c) R.A bill shall be submitted by contractor under composite scheme only, i.e.
6%GST.
The Contractor shall submit R.A. Bill with measurement sheet taken along
with Company representative every month with the necessary documents.
The bill will be certified for payment after the necessary deductions for
retention money and advances (if any) have been effected.

d) It is responsibility of the contractor to get the R.A. bills / Final bills certified
by the Site-In -Charge after completion of the work within one month. Client
will not entertain the bills which are not claimed with in stipulated period.
e) Advance Rs 1,50,000/- (One Lakh Fifty Thousand Only) to be given (Check
No.160630, IndusInd bank) to the contractor along with this work order And
next advance Rs 1,50,000/- (One Lakh Fifty Thousand Only) to be given by
cheque after casting of all footings.
f) Advance Rs.3,00,000 /-shall be deducted from R.A bills submmited by the
agency/contractor as per annexure I.
g) Site safety equipment’s will be provided by contractor, such as helmets,
boots, safety belts etc. If provided by client shall be deducted from
contractors R.A bills. Only safety vest will be provided by client.
9) RETENTION MONEY
The retention Amount shall be 5% of the Contract Value or equivalent amount of
bank guarantee. The same shall be deducted on pro rata basis from the certified
bill. The retention amount shall be released to the Contractor on completion of
Defects Liability Period of 12 months.
10) WARRANTY PERIOD/DLP
After de-shuttering any Honeycombing observed shall be rectified by contractor at
his own cost. Defects Liability Period of 12 months.
11) ESCALATION - NA
12) QUALITY
The Contractor shall adhere to all the quality systems & procedures to ensure that
the work is executed as per the best technical practices. Owner is entitled to reduce
appropriate amount on account of inferior quality of work & workmanship. The
decision of Engineer - in - Charge shall be final & binding.
13) LIQUIDATED DAMAGES
Time of completion shall be the essence of the contract. The contractor shall
complete the entire scope of works in all respects with in the time schedule as
mutually discussed and agreed, i.e.4 months after completion of plinth. If delayed
by an owner for e.g. materials (Steel, cement, RMC. & any kind of materials) &
Payments etc. The time will be compensate to contractor
In case of delay in completing the scope of works by the contractor the contractor
will be liable to pay liquidated damages @0.5% per week or part thereof, subject to
a maximum of 5% of the contract sum. Liquidated damages may not be applicable
in the event of extension of time period provided that approval from site in-charge.
14) INSURANCE:
The Contractor/s shall insure all his employees as well as of the employees of
his Sub - Contractors, against Employer's Liability under the Workmen's
Compensation Act, labour laws, labour insurance, contract labour act,

minimum wages act. And shall indemnify the Employer against all claims
arising under the above, for injuries, accidents at the works.
Owner will have no responsibility what-so-ever for any claims arising in this
regard. The owner shall have the right at any time to require the contractor
to increase the minimum limits of insurance for public liability and property
damage liability. The owner shall not be liable for or in respect of any
damages or compensation payable at law in respect of or in consequence of
any accident or injury to any workman or other person in the employment of
the contractor or in the employment of the sub-contractor.
15) LABOUR COMPLIANCES:
The contractor shall comply with the provisions of the payment of wages act,
1936, Minimum Wages Act-1936 & Minimum Wages Act-1948, Employees
Provident Fund & Misc. Provisions Act-1952, Employers' Liability Act-1938,
Workmen's Compensation Act-1923, Maternity Benefit Act-1961, the contract
labour (Regulation & Abolition) Act-1970 and Mines Act-1952 or any
modification thereof. Contractor shall also comply with the provisions of all
other Acts, Rules & Regulations connected with the employment of labour for
the purpose of execution of this contract.
The monthly compliance documents mention below, wherever applicable, shall
necessarily accompany the invoice.
Muster roll cum Attendance register, Wages register/Salary register, Over time
register, Copy of Wages slip, PF paid challan along with ECR statement & Form 11
for exempted employees, ESIC paid challan, Professional tax paid challan along with
return monthly or annually., Copy Identity card (in case on new joined labour) and
MLWF challan.
16) WATER & ELECTRICITY
Electricity & Water will be supplied at one predefined location at site by Owner free
of cost. Further distribution is the responsibility of contractor. Should any accident
by way of damage and / or electrocution or injury occur in connection with such
receiving distribution, use of power, the contractor shall be fully responsible for all
such accidents and shall bear and pay for all costs and expenses that arise due to
and as a consequence of such accidents.
17) SAFETY RULES & REGULATIONS
The Contractor shall abide all the statutory requirements and standards safety
procedures and practices. In case any worker/staff is found to violate repeatedly the
safety instructions then the worker/staff will not be permitted to work on the site.
Considering pandemic following points to be followed by contractor-
1. Vaccination to be done for all labours & Contractors staff.
2. Mask to be provided to all labours and contractors staff.
3. Social distancing to be maintain.
4. Providing of PPE (Safety helmet, vest, shoes, safety belt etc.) to all labours.
Contractor to take utmost care and precautions to ensure safety and hazard
free environment.

i. Contractor shall ensure wearing appropriate personal protective
equipment at all times, including but not limited to: hard hat, safety
glasses, work boots, cut resistant gloves, and high visibility safety vest.
ii. Client to ensure all statutory compliance like registration of BOCW
(Building and other construction workers act) are done.
iii. The Contractor to pay Provident fund, and ESIC of all labours as per
guide lines drawn by statutory boards , to follow specifications & rules of
the company including but not limited to SOPs, Safety etc.
iv. If any accident occurs at site due to negligence of the above mentioned
safety norms, the contractor will be solely responsible for all the
consequences.
v. Entire responsibility of safety, storage, maintenance of Machinery,
consumables, materials etc. shall be with the labour / Sub- Contractor
after the issue of material.
vi. Normal construction working hours will be from morning 9 am to 6 pm,
Outmost care and safety precautions to be taken by labour/sub-
contractors and his labours during working and extra working hours if
required as per schedule of work.
vii. The labour/Sub-Contractor shall ensure that sufficient manpower, on
his pay roll, is deployed for Construction work. He should maintain their
Aadhar card, bank pass book, photographs and submit to Engineering
office of Builder, for further statutory compliances.
viii. The labour/Sub-Contractor shall submit a list of the workers authorized
to work at construction site which should be approved by Engineer in
charge.
ix. The Engineer in charge appointed by Client reserves the right to check
the attendance of the construction workers from time to time and in
case of deficiency in deployment of man power, an appropriate penalty
may be imposed.
x. The contractor shall not pay less than what is provided under the law to
workers engaged by him for the work. He shall be required to comply
with all statutory norms including the provisions of Minimum Wages.
xi. The Contractor shall be liable to comply with all Labour Laws including
Employee’s State Insurance Act 1948 and Employees’ Provident Fund
and Miscellaneous Provisions Act 1952.
xii. The labour contractor shall be responsible for his employees in
observing all security and safety regulations and instructions as may be
issued by the Client from time to time. The labour contractor shall have
the right to appoint and to take appropriate disciplinary actions against
his workers to fulfill his obligations under this agreement provided due

process is followed and the action is in accordance with Industrial
Employment (Standing Order) Act, 1946 and the Engineer in-charge/
Engineer is kept informed. However, the labour contractor shall not in
any capacity employ any person(s) of bad character or any person
whose antecedents are not acceptable to the Client.
xiii. In case, the Client suffers loss of any nature on account of the
labour/Sub-contractor or his employees for not following
security/safety regulation/instructions, the labour contractor shall be
liable to make good the loss as determined by the Client at its sole
discretion and the Institute shall have the right to recover such losses,
etc., from the dues payable to the labour contractor.
xiv. The labour contractor shall not appoint any Sub Contractor for the work
assigned to him without prior written permission of the Engineer in
charge/ Engineer of the Client.
xv. The labour/Sub-contractor shall be responsible for strict compliance of
all statutory provisions of relevant labour laws applicable from time to
time .The Client shall not be liable to any penalty under relevant labour
rules, enactment or related regulations for which the labour contractor
is responsible under the law. However, if the Client is forced to pay any
cost of any nature on account of the labour contractor liabilities, the
said cost shall be recovered from the dues payable to the labour/Sub-
Contractor.
xvi. The Labour/Sub-Contractor shall be responsible for fulfilling the
requirement of all statutory provisions of relevant enactments viz.
Minimum Wages Act, Payment of Wages Act, Construction Disputes
Act, Gratuity Act, Contract Labour (Regulations and Abolition) Act and
all other labour and Construction enactment at his own risk and cost in
respect of all staff employed by him. The Client shall be indemnified for
any action brought against it for any violation/non-compliance of any of
the provisions of any of the acts, etc. hence non-compliance or
violation of any of these provisions of any of the Acts would lead to the
immediate termination of the contract. The Labour/Sub-Contractor
shall maintain all records required to be maintained under statutory
enactments and the Engineer in-charge/Engineer and his authorized
representatives shall be entitled to inspect all such records at any time.
xvii. The Labour/Sub-Contractor shall ensure that the minimum wages are
paid to the employees in the presence of a nominee of the Client.
xviii. The Labour/Sub-Contractor shall, at his own expense, take workman's
compensation insurance and he shall also obtain from his underwriter
of such insurance a waiver of subrogation in favour of the Institute.
The labour contractor shall further, at his own expense, register claims

and pursue realization of all insurance claims. He shall produce proof of
such insurance within a reasonable time from the date of award of
Contract.
The Labour/Sub-Contractor shall be reimbursed his part of the contribution of EPF
and ESI by the builder, on production of proof of payment. The proof of payment
should include the names of individuals, as approved by the Engineer in charge, as
per the attendance register for whom the EPF, ESI has been paid
18) SECURITY AT SITE
The Contractor shall obtain gate pass from the person authorized by Project Manager
before removing any equipment, machinery tools etc. from site.
19) ASSIGNMENT OF JOB WORK
It is further agreed and accepted between the parties that at any time hereafter, the
Owner will have the sole right and absolute right and authority to assign / let the whole or
part of the job work under this agreement to any other Contractor without assigning any
reasons to the Contractor. It is further agreed that in case of assignment of job work to
any other Contractor by the Owner, a 30 days clear notice in writing will be given to the
Contractor to enable the Contractor to remove all tools and machinery from the site. It is
further agreed that the Owner shall pay for the work done by the Contractor, which has
been certified and approved by the Quantity Surveyor and Site-in-charge after the
submission of the bill by the contractor for the same. However, the Contractor will not be
entitled to assign or engage any other Contractor or Sub-Contractor for the work, unless
the same is approved and accepted by the Owner in writing in advance.
20) QUANTITY VARIATIONS
Quantities mentioned in Bill of Quantities are approximate. All payments shall be made as
per the actual work done at site and measured jointly. There shall be no revision of rates
in the case of increase or decrease in quantities
21) SAFETY OF THE MATERIAL STORED
The Owner shall accept only the finished & accepted product as a whole on completion.
The Contractor shall be responsible for all the arrangements, necessary to carry out the
work to all the levels as required within the agreed rates in Work Order.
22) CLEANLINESS AT SITE AND INCIDENTAL EXPENSES –
Contractor shall keep the site in a clean and tidy manner as instructed by the site in
charge and if the contractor fails to maintain the desired cleanliness, his interim payments
shall be withheld and the site shall be got cleaned by any other agency appointed for the
purpose by the Project Manager and the cost of the same shall be recovered from
contractor’s interim payment.
All incidental expense towards permissions from local authorities such as police, traffic etc.
for successfully carrying out the work are deemed to be included in the contract sum.

23) EXTENSION OF TIME:-
In case of delay not attributable to the Contractor due to reasons which are beyond control
of the contractor or due to force majeure conditions or due to delays owing to the Client or
other agencies, the contractor shall be entitled for extension of time to complete the work,
stating clearly reasons for the delay. Client on satisfying himself shall grant extension of
time on mutually agreed basis
24) EXTRA ITEM
If any item other than that mentioned in the Bill of quantities is required to be executed
due to change in drawings/scope of work, the contractor should intimate the Client in
writing and the client after due examination may issue a change order. The contractor
should execute the additional extra work only after the issue of change order. In case of
any deviation from the procedure, the client has every right to refuse payment for such
work. (If security issued for extra work, another site)
25) TERMINATION OF CONTRACT:
Contractor work will be terminated at our discretion at any point of time if Contractors'
work performance / quality/ speed is found unsatisfactory as compared to our standards
and requirements, after giving 15 days’ notice period.
26) Man Power & Tools Requirements:
The contractor shall submit a comprehensive manpower plan which shall include the dates
of arrival on and removal from site of each major activity. Minimum tools expected is
included for guidance. However, contractor to verify sufficiency for himself and arrange
additional plant and machinery required to complete the work in said duration. None of the
equipment’s and materials brought to site shall be removed from the site without the
permission of the site in charge.
Contractor shall provide following minimum staff & equipment’s per building at site for the
period of contract subject to approval of client.
a. Site engineer, Supervisor, Safety Officer, Carpenter, Fitter, masons, helper and Labour’s
for Concreting, reinforcement, shuttering, etc. which is in scope of contractor.
b. Atleast 2 full sets of Shuttering material for slabs and all kinds of support systems for
horizontal and vertical formwork.
c. Equipments:
