sole discretion.

PT AMNT makes no representation or warranty and shall incur no liability under any law, statute, rules
or regulations on any claim the potential bidder may make in case of failure to understand the
requirement and respond to the RFP. PT AMNT may, in its absolute discretion, but without being
under any obligation to do so, update, amend or supplement the information in this RFP any time
before the final bid submission.

SECTION 1

INSTRUCTION TO BIDDERS

1.0 Introduction

These Instructions to Bidders govern the submission of Proposals.

PT AMMAN MINERAL NUSA TENGGARA


PT Amman Mineral Nusa Tenggara (”PT AMNT” or “Owner") is a fully Indonesian owned mining company with high-
quality and well-maintained mining operations producing copper, gold and silver with base of operations in Batu Hijau,
West Sumbawa, Indonesia.
The creation of shared value is what drives PT AMNT’s decision making processes. PT AMNT works to understand the

BATU HIJAU MINE


The Batu Hijau Project is located in southwest Sumbawa, Indonesia, in the province of Nusa Tenggara Barat. This
province consists of two large islands, Lombok and Sumbawa, with a population of approximately 3.5 million. The
operations facilities, Port and Mine Site are generally located on the southwest corner of the island of Sumbawa, between
the islands of Lombok and Flores. The Site is situated in the general area located within 20 km easterly from the village
of Maluk. The Mine Site is approximately 15 kilometers from the west coast and 10 kilometers from the south coast.
Benete Bay is the Port Site and a 23 kilometer road links the Port Site, Township, Concentrate Process Facility and the
Mine Site.

Proposals are invited for the Engineering Procurement and Construction of Upgrade WTP at Concentrator Camp Area to
support Owner’s operations associated with the Batu Hijau Project in accordance with the requirements of this RFP
document.

2.0 Submission of Proposal

You must submit your proposal based on these Instructions to Bidders, the enclosed Proposal Letter, Agreement of Non-
Disclosure, Sample Agreement, Schedules and any and all other attachments made a part of this Request For Proposal by
reference herein. Proposals shall be submitted in two (2) formats, one (1) priced proposal plus one (1) unpriced copy by

Proposal must be received at the above email address on or before Tuesday, 14 May 2024 at 16:00 Western Sumbawa
Time (GMT+8). Any Proposal not complying with this condition will not be considered.

3.0 Preparation Costs

Owner shall not be responsible for any costs or expenses whatsoever incurred by Bidder in preparing and submitting their
Proposal, including Site Visit cost.

4.0 Governing Terms and Conditions

Proposals shall consider and must be submitted in full compliance with the Sample Agreement terms, conditions and
provisions therein.

5.0 Definitions

Unless otherwise required by the context in which any defined term appears the following defined terms shall have
the meaning specified in this Article.

5.1. Affiliate; means any Person that directly or indirectly through one or more intermediaries controls, is
controlled by, or is under common control with Owner or Contractor, as the case may be.
5.2. Agreement; means the Master Services Agreement and all of its Schedules, Exhibits, Attachments, and the
Work Assignments, together with any and all additions, supplements, replacements, or modifications thereto
or hereto executed in accordance with the terms hereof. For purposes of the Agreement, the terms
"Agreement" and "Contract" in the context of the relationship between Owner and Contractor shall be
synonymous.
5.3. Article; means the numbered Articles 1 through 49 of this Master Services Agreement.
5.4. Attachment; is a standard Owner prepared document providing general information about the Project and
describing certain specific requirements applicable to all Contractors providing Services to Owner particularly
at the Project and within Indonesia.
5.5. Change Order; is a document signed by the Parties effecting a change to the scope of Services, the
Compensation, or the Completion of the Services.
5.6. Compensation; means the rates, prices and reimbursements set out in Schedule D to be paid to Contractor for
the performance of the Services described in the Agreement.
5.7. Completion of the Services; means the date as determined by Owner that the Services are substantially
complete, and in the case of any resultant item or work product, that item/product has been taken over by
Owner and except for minor omissions and/or defects does not prevent it from being used for its intended
purpose. Substantially complete includes the delivery of all reports, manuals, warranties, as-built drawings,
and the successful completion of all tests.
5.8. Contractor Representative; shall have the meaning assigned in Article 18.
5.9. Drawings; means (a) all videos, sound media, electronic data, quality assurance documentation, performance
test documentation, commissioning checklists, drawings, samples, patterns, models and operation and
maintenance manuals to be submitted by Contractor under the Agreement (the “Contractor’s Drawings”) and
(b) all drawings and information provided by Owner under the Agreement or (the “Owner’s Drawings”),
together with any and all additions, supplements, replacements or modifications thereto made and approved in
accordance with the Agreement.
5.10. Ellipse Work Order; is a document issued by Owner to Contractor to proceed with an incremental portion of
the Services.
5.11. Environment; means everything which influences the growth and development of any organisms (including
human beings) and which includes combinations of physical, chemical and biological conditions, and the
complex of social and cultural conditions, and includes, man and his activities
5.12. Environmental Law; means any Indonesian law, statute, ordinance, regulation, decree, proclamation, order,
rule, standard, or requirement enacted, adopted, promulgated, applied, or followed by a Governmental Unit
concerning or relating to environmental matters, including but not limited to those concerning or relating to
land use, development, pollution, waste disposal, toxic and hazardous substances, remediation, reclamation,
conservation of natural or cultural resources, resource allocation, and mineral exploration, development, and
exploitation.
5.13. Environmental Liability; means any actual or alleged obligation, claim, damage, Losses, judgment, liability,
expense, penalty, or fine of any nature whatsoever arising out of, relating to, or based upon (i) any
Environmental Law, or (ii) the presence, release, threatened release, discharge, or emission into the
environment of any toxic, hazardous, or other substances.

5.14. Equipment; means all appliances, machinery, tools and things (including consumables) of whatever nature
required for the performance of the Services but which are not being provided to or procured for Owner as
part of the Services or incorporated into the Work or the Project.
5.15. Final Completion; means completion of Services under a Work Assignment and shall be the date by which all
of the following have occurred with respect to all Services required under such Work Assignment: (1) Receipt
by Amman Mineral of a final invoice for Services under the Work Assignment, prepared in accordance with
the Agreement; (2) Demobilization, job site cleanup, and disposition of all residual materials by Contractor
and shall restore, to the complete satisfaction of Owner, any Site areas dedicated to Contractor’s use during
the term of the Agreement to a safe, clean and tidy condition including the completion of a joint inspection
and sign-off with Owner’s Environmental Department; (3) Receipt by Amman Mineral of a Final Payment
Release in the format attached hereto.
5.16. Force Majeure or Force Majeure Event; means an event or circumstance that affects a Party's ability to
perform its obligations under this Agreement (except for obligations to pay money due) or that affects
Owner’s need or ability to operate the Project or need for the Services and that is beyond the reasonable
control of such Party. Such events or circumstances may include, but are not limited to, drought, flood,
earthquake, storm, fire, lighting, epidemic, war, riot, civil disturbance, sabotage, explosions, strikes or labor
dispute (the decision to settle a strike or labor dispute shall be at the discretion of the Party whose employees
are striking), the existence of hazardous wastes or materials, orders or judgments of any Governmental Unit,
the suspension, termination, interruption or inability to renew any Governmental Approval. Notwithstanding
the foregoing, inclement weather normally experienced at the location where the Services are being performed
or the Work is located shall not be a Force Majeure Event.
5.17. Good Samaritan; means any person who in good faith renders emergency care at the scene of an accident or
emergency to the victim.
5.18. Goods; means all equipment, machinery, apparatus, materials and other property, including software and other
intangible property, being provided to or procured for Owner as part of the Services, including any such items
to be permanently incorporated into the Work or the Project.
5.19. Government; shall mean the Government of the Republic of Indonesia.
5.20. Governmental Approval; means any clearance, authorization, consent, approval, license, lease, ruling, permit,
certification, exemption, or registration by or with any Governmental Unit, including without limitation those
necessary or appropriate for the performance of the Services.
5.21. Governmental Unit; means any central, national, federal, state, provincial, regional, municipal, or local
government, any political subdivision or any governmental, quasi-governmental, judicial, public or statutory
instrumentality, administrative agency, authority, body or other entity.
5.22. Integrated Management System (IMS); Owner maintains a standard set of environmental and social
responsibility and health, safety and loss prevention policies which define the principles for performance of
these activities whilst performing services for Owner. These IMS policies are compliant with ISO 14001:2004
and OHSAS 18001:2007 and other Amman Mineral policies, standards and guidelines.
5.23. Law; means any statute, law (including Environmental Laws), regulation, ordinance, rule, judgment, order,
decree, mandate, directive, code, standard, reporting requirements or guideline (to the extent it is mandatory),
policy (to the extent it is mandatory) or requirement, or any similar form of decision of or determination by, or
any interpretation or administration of, any of the foregoing by any Governmental Unit, whether now or
hereafter in effect.
5.24. Losses; means liabilities, claims, demands, debts, damages, fines, penalties, losses, causes of action, suits,
expenses and costs of any nature whatsoever (including but not limited to court, arbitration, and attorney’s
costs and fees, and any expenses and costs incurred in the control or removal of pollution, debris, or
contamination).
5.25. Master Agreement; is a general governing Agreement detailing the generic provisions, terms and conditions
and Compensation covering the whole of the Services to be provided by Contractor during a specific term in
order to facilitate the procurement of specific Services. Each component of the Services and the applicable
specific work scopes, specific Compensation or not to exceed values, and work time schedules to be carried
out under a Master Agreement are detailed and agreed under separate Work Assignments. All Work
Assignments are made subject to the Master Agreement terms and conditions.
5.26. Owner Indemnified Parties; means; (a) Owner, (b) any and all Affiliates of Owner, (c) any agents or
representatives of Owner, and, (d) any and all respective employees, agents, directors, officers and/or assigns
of each of the entities described in (a) through (c).
5.27. Owner Representative; shall have the meaning assigned in Article 18.
5.28. Permanent Establishment; defined as a business form which is used by non-Indonesian resident, or a person
who domiciles in Indonesia not more than 183 days within twelve (12) months time frame, or an entity which

is not incorporated and domiciled in Indonesia for conducting business in Indonesia, as defined by Indonesian
income tax Law along with its amendments.
5.29. Person; means any individual, corporation, company, voluntary association, partnership, incorporated
organization, unincorporated organization or Governmental Unit.
5.30. Personnel; means any and all employees, agents, representatives or other manpower assigned to perform the
Services or any tasks incidental thereto under the terms and conditions of this Agreement.
5.31. Project; means the Batu Hijau project incorporating an open cut mine and associated facilities and
infrastructure.
5.32. Re-Performance Period: shall have the meaning assigned in Article 40.
5.33. Security; shall have the meaning assigned in Article 11.
5.34. Services; shall mean all work and services that Contractor is obligated to perform or provide under the terms
of this Agreement as described in Schedule B, including without limitation, all adequate and competent labor
(including all management, administration, supervision, technical, clerical), Goods, Equipment, and
associated support services.
5.35. Site; means the location of the Batu Hijau Project, as well as any other site situated on the island of Sumbawa
under the operation of Owner.
5.36. Specifications; means the Specifications (if any) for the Services attached to the Agreement and/or
incorporated therein by reference together with any and all additions, supplements, restatements or
modifications thereto made in accordance with the Agreement.
5.37. Sub-contractor; means any Person with whom Contractor has entered into any sub-contract, license, or other
agreement pursuant to which such person is to perform any part of the Services. As used herein, the term
"Sub-contractor” shall include any Person at any tier with whom any Sub-contractor has further sub-
contracted any part of the Services.
5.38. Taxes; shall include, but not be limited to, any and all personal and corporate income taxes, VAT, luxury,
sales, use, franchise, personal property, real property, transfer, withholding, social security, employment
employee related, payroll, premium, environmental, and all other taxes, impositions, duties, or other type of
charge made by any Governmental Unit, whether within or outside Indonesia, with respect to the Services, the
Compensation, or other activities of Contractor, its Personnel, agents, Sub-contractors, or Affiliates under this
Agreement, together with any additions to such taxes, including penalties, interest, or fines levied by any
Governmental Unit.
5.39. Tests on Completion; means the tests specified in the Agreement or otherwise agreed by Contractor and
Owner to be performed before the Work or any section thereof is taken over by Owner.
5.40. Time for Completion; means the time stated in the Agreement for completing the Services and Work or any
section thereof and passing the Tests on Completion, as extended pursuant to the terms of the Agreement.
5.41. VAT; shall mean Indonesian Value Added Taxes.
5.42. Work; means the physical structures and facilities or a section thereof being provided by Contractor in
relation to, and as a result of, the Services and Goods being provided under the Agreement.
5.43. Work Assignment; A written agreement document to perform specific services under this Agreement. Each
Work Assignment is performed under the terms and conditions of the Master Agreement but is a separate
supplement to the Agreement executed by both Owner and Contractor, and includes specific conditions which
shall be applied separately with respect to each Work Assignment. The Work Assignment establishes
financial commitment, describes specific work scopes, specific Compensation or not to exceed values, and
work time schedules for the specific Services required to be performed and Work completed.

6.0 Acknowledgment

Bidders must promptly complete and return the “Form of Acknowledgement” letter to this RFP as notice of intention to
submit a Proposal by the closing date.

7.0 Right of Acceptance

Owner reserves the right to accept other than the lowest Proposal and to accept or reject any Proposal in whole or part, or
to reject all Proposals with or without notice or reasons, and if no Proposal is accepted, to abandon the Services or to
have the Services performed in such other manner as Owner may elect.

Partial or incomplete Proposals will not be accepted. All Proposals shall be assessed through a fair and comparable
analysis based on the information submitted and compliance with this RFP document. All Bidders shall be informed in
writing whether or not their Proposal was successful without any disclosure of any information pertaining to the contents

and/or criteria for selection or rejection of any Proposal. Bidder’s submission of a Proposal represents unconditional
acceptance of the provisions of this Section.

8.0 Bidders Modification and Withdrawal of Proposal

Bidders may, without prejudice, modify or withdraw their Proposal by written request, provided that the request is
received by Owner prior to the RFP closing date and time at the address to which the Proposal was to be submitted.
Following withdrawal of any Proposal, Bidders may submit a new Proposal provided such new Proposal is received prior
to the RFP closing date and time.

Owner may, by issue of an Addendum, modify any provisions or part of the RFP documents at any time prior to closing
date and time.

9.0 Owner Bidding Policy

In accordance with Owner’s policy, all qualified Bidders are entitled to receive equal opportunities to secure Owners
business. The soliciting, pressuring, or lobbying of/for support of Bidder or its Proposal from individuals or parties
within Owner’s company or from such entities as individuals, parties, statutory authorities, organizations or groups
outside of Owners company shall not be considered and shall be grounds upon which Owner may reject a Proposal unless
such support is provided in the form of letters of reference included in the Proposal from entities for which Bidder has
recently directly contracted to and performed like Services.

The offering or receiving of gifts, entertainment, payments, loans or other favors for the purpose of being placed on a
Bidders list, obtaining an agreement, or favorable treatment under an agreement, is prohibited. Furthermore, it is Owner
Policy that in the event a Bidder or Contractor is found to have offered or given a gratuity to obtain an agreement or
favorable treatment, the company involved will be refused further bid considerations by Owner and all other Owner
entities. We will also obtain those remedies available under any applicable Law and any consummated agreement,
including, but not limited to, termination for default. Bidders' attention is invited specifically to those articles in the
general terms and conditions of the Sample Agreement relating to Conflicts of Interest and Standards of Conduct.
Bidder’s submission of a Proposal represents unconditional acceptance of this condition.

10.0 Indonesian Participation

The Selected Contractor shall, to the maximum extent possible, give preference to use of Indonesian National Personnel,
particularly personnel sourced from the Kecamatan Sumbawa Barat (KSB), Sumbawa and the Province of Nusa
Tenggara Barat (NTB), for skilled and unskilled labor, supervisory, and professional positions. Additionally, preference
shall be given to Indonesian insurance companies, manufacturers, suppliers, subcontractors, importers, agents, and freight
forwarders, and the selected Contractor shall otherwise comply with all applicable Governmental Decrees, Laws, and
Regulations governing Indonesian participation in contracted work.

11.0 Pricing Conditions

(a) All Proposal pricing, shall be in Indonesian Rupiah (IDR) as nominated in accordance with the provisions of
Schedule D,
(b) Proposals shall remain valid for a period of One Hundred and Eighty (180) days after the closing date of this RFP.
(c) Unless otherwise stated in Schedule D all pricing must be firm for the first year of the Agreement and shall include
adjustments on a pricing basis subject to an annual Rise and Fall. If requested in Schedule E Bidder may submit
information as requested to allow Owner to contract the Services on a pricing basis subject to Rise and Fall.
(d) Proposal pricing shall include all Contractor costs for materials, consumables, labor, equipment, testing and any and
all items of expense, fees, taxes, duties, overhead and profit for the full and complete performance of the Services as
set forth herein. Any items not specifically mentioned in the RFP, but which are necessary to complete the Services
in accordance with good industry practice shall be included in the Proposal and the cost thereof shall be included in
the Proposal pricing.
(e) All pricing information requested in this RFP must be provided. Failure to comply with this request may result in a
rejection of any Proposal. Owner reserves the right to request Bidders and Bidders shall provide any accounting
breakdown of Proposal pricing. This request may be made before or after acceptance of a Proposal.
(f) The Selected Contractor shall be responsible for holding/acquiring any and all licenses (applicable Contractor
license(s), business license(s), etc.) and permits, permission / permits, required to perform the Services, excluding
any specifically detailed as being provided by Contractor in Schedule B.

(g) In the case of any discrepancy between words and figures, the words shall prevail. In the case of errors in addition or
extension, the unit rates quoted shall prevail.
(h) Unless otherwise instructed all Contractor employees and the employees of Subcontractors to be selected by
Contractor will be required to comply with Owner’s requirement for a pre-mobilization medical check-up (MCU), as
detailed in Attachment 6.
(i) All Contractor employees shall obtain/hold all applicable licenses, permits, and certificates required by Owner and
any applicable Law.

12.0 Insurance

The Selected Contractor must, as a minimum requirement, provide the insurance coverage listed under the Insurance
Article of the Sample Agreement, and furnish a waiver of subrogation in favor of Owner. Bidders must complete and
submit the insurance data requested in Exhibit B-2, as verification of possession of the above-required insurance
provisions.

13.0 Scheduling, Planning and Resource Data

Bidders proposed work schedule, method statements, mobilization and transition plan, manpower planning, equipment
and material requirements and proposed subcontractors/suppliers for performance of the Services must be submitted
where requested in the Exhibits.

14.0 Exceptions and Deviations

No qualification to any requirement, provision, specification or stipulation of the RFP document shall be made by
Bidders. Failure to comply with this condition may result in a rejection of any Proposal.

(a) The submission of a Proposal indicates acceptance by you of all conditions contained herein.
(b) Owner is not responsible for identifying or resolving, during Proposal review, any deviations that may be contained
in Bidders Proposal. The only deviations recognized will be those mutually agreed upon and written into the
agreement between Contractor and Owner.

15.0 Site Inspection

Bidders are deemed to have made themselves aware of the Project and conditions under which the Services shall be
performed, including, if applicable visiting the area to establish and confirm any applicable information required for the
submission of Bidders’ Proposal. Access to Owner’s Project is strictly controlled and Bidders must obtain approvals and
make prior arrangements with the Owner personnel nominated in the RFP document for any required visit.

16.0 Discrepancies and Omissions/Addenda

Should Bidders find discrepancies in or omissions from the RFP documents or should their intent or meaning appear
unclear or ambiguous, Bidders shall notify the Commercial Representative (in writing) named in the Proposal Letter
requesting clarification. Replies to such notices shall be made in the form of Addenda to the RFP documents, which will
be issued simultaneously to all invited Bidders. Bidders must acknowledge receipt of all Addenda in their Proposal letter.
Owner shall not be bound by and Bidder must not rely on any oral interpretations or clarifications of the RFP documents.

17.0 Confidentiality Agreement

The information provided to Bidders with this RFP is considered confidential. As such, Bidders must sign and return as
part of their Proposal the enclosed "Agreement For Use and Non-Disclosure Of Confidential Information" form.

18.0 Taxes

Bidders attention is drawn to Taxes Article of the Sample Agreement. Bidders shall ensure their Proposal is in full
compliance with this Article. Proposal pricing must exclude Indonesian PPN/VAT (Value Added Tax) and must include
Indonesian PPH/Income (Withholding Tax). Bidder’s taxation details must be submitted in conjunction with the
requirements of Schedule G.

19.0 Local Labor and Services

Contractor where suitable shall be required to maximize the use of local labor and services (companies and personnel
from KSB, Sumbawa, and NTB) and is required to submit proposed content and details of same with the RFP response as
part of Exhibit B-4.

20.0 Signature Requirements

A duly authorized officer from Bidder’s company must sign Proposals. If your company is a corporation, the Proposal
must be signed in its name and on its behalf and under seal by a duly authorized signing officer of the corporation and
must be accompanied by a certified copy of a resolution of the corporation authorizing such execution. The office held by
the signing officer must be shown.

Proposals submitted as a partnership or joint venture, must include a "Power of Attorney" executed by all of the general
partners or members of the joint venture designating and appointing one of the general partners or members of the joint
venture as a "Management Sponsor", and authorizing the Management Sponsor to sign the Proposal and, in particular, to
agree that each partner or member of the joint venture are jointly and severally liable for any and all of the duties and
obligations assumed under the Proposal and the Agreement, if awarded. The Management Sponsor must sign the
Proposal on behalf of the partnership or joint venture in its legal name.

If requested by Owner, satisfactory evidence of the authority of any signatory to sign on behalf of your company must be
furnished. Owner will only accept unified sums, rates, prices or conditions and will not accept sums, rates, prices or any
conditions, which differ between individual parties of a partnership or joint venture.

21.0 Bonding

Prior to commencement of the Services Contractor shall be obliged to comply with any Performance Bond requirements
described in the Performance Bond Article of the Sample Agreement.

22.0 Technical Data, and Other Information

Bidder must submit the technical data and other information as requested in the Schedules.

23.0 Bidder Interview

As soon as practicable after the closing of Bid and prior to the expiration of the Proposal validity period, Owner may
interview the Bidder in relation to its Proposal. Bidder shall be represented at interviews by a responsible member or
members of its staff conversant with all technical, financial and contractual details of the Proposal, who are authorized to
make, at the interview, any decision on behalf of Bidder and who are able to indicate the relative values of any items
under discussion. Agreed minutes of meetings with the Successful Contractor may form part of the Agreement.

24.0 Republic of Indonesia Laws, Decrees, Regulations, and Rules

Bidder’s attention is drawn to the various provisions throughout the RFP documents that require the Selected Contractor
to comply with all Indonesia Laws, Decrees, Regulations, and Rules that are applicable to the performance of the
Services covered under this RFP. It is essential that Bidders are familiar with all aspects of these provisions and with the
applicable Indonesian Laws, Decrees, Regulations, and Rules. Further, it is incumbent that you seek appropriate legal,
commercial and tax advice to ensure full understanding and compliance with the Selected Contractors obligations under
the Laws, Decrees, Regulations, and Rules of the Republic of Indonesia.

24.1 Specific Requirements - Taxation

Contractor must have an Indonesian company entity, with registered Indonesian domicile and tax registration(s), under
which the Services can be contracted.

24.2 Specific Requirements – Immigration and Manpower

Contractor’s expatriate personnel performing services in Indonesia must hold proper and valid visas and work permits.

25.0 General Notes

The Proposal must include the following information:

(a) This RFP Number on your Proposal and other written communication.
(b) Completed information as requested in the Schedules and a reference to each Schedule and the questions contained
within the Schedules.
