Fuel Supply Contract
柴油供应合同
This Fuel Supply Contract (the "Contract") is entered into on 25/05/2024, by and between:
本燃料供应合同（“合同”）由以下各方于 2024 年 5 月 25 日签订：
Supplier:
Acer Petroleum Sociedade Unipessoal LDA, a company registered under the laws of Mozambique, NUIT
Number -400985871 having its registered office at Maputo,in Mozambique, represented by Mr. Naveed
Anjum, hereinafter referred to as the "Supplier".
供应商：
Acer Petroleum Sociedade Unipessoal LDA 是一家根据莫桑比克法律注册的公司，NUIT 编号 -
400985871，注册办事处位于莫桑比克马普托，由 Naveed Anjum 先生代表，以下简称“供应商”。
Client:
Andar International Logistics, a company registered under the laws of Mozambique, having its registered
office at Bela Vista Maputo NUIT number 401140026, represented by Mr. Qu Xiaoqing, hereinafter
referred to as the "Client".
客户：
安达国际物流是一家根据莫桑比克法律注册的公司，注册办事处位于 Bela Vista Maputo NUIT，编
号 401140026，由屈晓请先生代表，以下简称“客户”。
Background:
The Supplier is engaged in the business of supplying fuel and related products, operating a network of
strategically positioned stations across Mozambique. The Client is in need of a reliable fuel supplier for
its operations.
背景：
该供应商从事供应燃料和相关产品的业务，运营着遍布莫桑比克的战略性加油站网络。 客户需要
一个可靠的燃料供应商来维持其运营。
Agreement:
In consideration of the mutual covenants and agreements contained herein, and for other good and
valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

Scope of Services:
The Supplier shall supply diesel fuel to the Client's vehicles and equipment initially at the Inchope station
and other stations located in Mozambique.
服务范围：
供应商应首先在莫桑比克的 Inchope 加油站和其他加油站向客户的车辆和设备供应柴油。
Payment Terms:
a. The Client shall make an initial advance payment of 1,000,000 MZN to the Supplier's Acer Petroleum
MZN Account, as discussed.
付款条件：
A。 如上所述，客户应向供应商的 Acer Petroleum MZN 账户支付 1,000,000 MZN 的初始预付款。
b. Following the initial payment, invoices will be issued by the Supplier subsequent to each refueling
transaction. Payments shall be remitted within 7 days of receiving the statement, and all payments are to
be 100% advance.
b. 首次付款后，供应商将在每次加油交易后开具发票。 付款应在收到对账单后 7 天内汇出，所有
付款均为 100% 预付款。
Pricing:
The agreed discounted price for diesel fuel at the Inchope station is 89 MZN per liter, with a discount of
2.46 MZN per liter directly deducted from the pump price.
价格：
Inchope 加油站柴油燃料的商定折扣价为每升 89 梅蒂卡尔，每升折扣为 2.46 梅蒂卡尔，直接从零
售价中扣除。
Onboarding Requirements:
The Client shall provide the following documents for KYC purposes:
1.NUIT.
2.Certificate de Registo definitivo.
3.Certidao.
4.Alvara.
4.Copy of Bei (Identification document).
5.Initial bank transfer amount of 1,000,000 MZN as discussed.
入职要求：
客户应提供以下文件用于 KYC 目的：
1.NUIT。
2.最终登记证书。
3.Ceridao。
4.阿尔瓦拉.
4.Bei（身份证明文件）复印件。
5.初始银行转账金额为 1,000,000 MZN，如上所述。
Parking:
The Supplier shall provide ample parking facilities for the Client's trucks/equipment during fueling if
needed.
停车：
如果需要，供应商应在加油期间为客户的卡车/设备提供充足的停车设施。
Lubricants:
In addition to fuel provisions, the Supplier shall offer a diverse range of lubricants to cater to any
supplemental requirements or emergency situations encountered by the Client's trucks/equipment.
润滑剂：
除了燃料供应外，供应商还应提供各种润滑油，以满足客户卡车/设备遇到的任何补充要求或紧急
情况。

Term:
This Contract shall commence on the date of signing and shall remain in effect until terminated by either
party in accordance with the terms herein.
日期：
本合同自签署之日起生效，直至任何一方根据本合同条款终止为止。
Governing Law:
This Contract shall be governed by and construed in accordance with the laws of Mozambique.
适用法律：
本合同应受莫桑比克法律管辖并按莫桑比克法律解释。
Entire Agreement:
This Contract contains the entire agreement between the parties with respect to the subject matter
hereof and supersedes all prior and contemporaneous agreements and understandings, whether written
or oral.
整个协议：
本合同包含双方就本合同标的物达成的完整协议，并取代所有先前和同期的书面或口头协议和谅
解。
