Re: Letter Agree1nent to Amended Letter of Offer (''LOO'') dated July 27 2022 regarcling
certain Dornier 328-100 Aircraft Parts(''The Inventory'), collectively referred to as the
''Transaction''.
A. Tl1e pa11ies wish to agree to the followi11g a1nendments and additions to the LOO (''this
Amencln1ent''), for good a11d valt1able consideratio11 wl1ich is hereby ack11owledged.
B. Tl1e Seller sl1all st1pport tl1e Btryer's request, strbject to tl1e co1npletio11 of tl1e terms and conditions
ot1tlined /1erein.
Nolvtherefore, it is hereby agreed by tl1e Bt1yer and Seller as follo,vs:
1. The 1·ecitals above shall be deetned true and correct a11d an enforceable part of this Amendment.
2. The parties hereby agree tl1at .the revised -·Purcl1ase Price shall be $185,000.00 USO for the
Inventory and $390,000.00 for the Aircraft and Additional Parts;
3. The Btiyer 11ereby agrees to i1nmediately pay th� non-reft1ndable deposit via \Vire transfer in the

$475,000.00 USO for the Aircraft, Additional Parts and Inventory;
5. Tl1e Seller agrees to provide ft1ll access and st1pport for all of the Inventory;

9. The Seller ivill provide co1nmercially and reaso11able a sistance as necessary to inspect the aircraft
and prepare it for ferrying· and
NOTE:THE BUYER AGREES TO BRING HIS PERSONNEL AND ADAPT THE
AIRCRAFT, BECAUSE THE AIRCRAFT IS SOLD ''AS IS, WHRE IS'' except
as otherwise noted herein.
10. The parties confirn1 tl1at tl1e validity of tl1e LOI is hereby extended to the e11d of the Closing Period
follo,ving exectuio11.
Except as specifically an1ended by the tern1s of tl1is A1nendment, the LOO and all tenns and conditions
contained tl1erein shall co11tinue i11 full force and effect.
Capitalized tenns used l1erein and not otl1er,vise defined shall bear the meanings set out in tl1e Amendment.
Tl1is letter Ame11d1nent sl1aJI be co11strt1ed and goven1ed i11 accordance witl1 tl1e laws of the Province of
Albe1ta a11d tl1e federal la,vs of Ca11ada. This Letter Agreement shall be binding on the parties.
