24 Goods and Services Tax: -
On July 1, 2017, the Government of India adopted the Commodities and
Services Tax (GST) in accordance with the 'One Nation, One Tax'
philosophy, in order to create a unified market and ensure the smooth
movement of goods across the country. Effective taxation ensures that
public funds are effectively employed in fulfilling social objectives for
sustainable development.
Key features of GST: -
• The territorial spread of GST in whole country.
• GST comprises Central GST (CGST) and the State GST [SGST] and IGST
(Interstate GST).
• GST [CGST + SGST] is charged at each stage of value addition and the
supplier offsets the levy on inputs in the previous stages of the value
chain through the tax credit mechanism.
• There are five tax bands for all goods and services, namely 0%, 5%,
12%, 18%, and 28%.
• There is no tax on export and supplier to SEZ.
• Tax liability takes place when the taxable income exceeds the
exemption limit of Rs 20 lakh.

25 PUBLIC DEPOSITS
Public deposits meet the medium-term and short-term financial needs of
businesses. The deposits that are raised by a business directly from public
are known as public deposits. Through public deposits a company raises
loan from public for a fixed period of time at a fixed rate of interest. The
rate of interest offered on public deposits is generally higher than the rate
of interest on bank deposits. The acceptance of public deposits is regulated
by the R.B.I. Period of deposit can range from six months to three years.
Features
1. The process of obtaining the deposit is simple and does not involve more
formalities.
2. The cost of public deposits is usually less than the cost of borrowing from
banks and financial institutions.
3. Public deposits usually do not create any charge on company’s assets. As
the assets are free of charge, so it can be used as security for taking loans
from other sources.
4. As the depositors do not have voting rights, the control of the company
is not diluted from the shareholders to depositors.
5. Interest paid on public deposits is deductible from profit as an expense.
Therefore, taxable profit will reduce. As a result, tax burden will also
reduce.
6. A company can attract public deposit only when its financial position is
sound. Therefore, public deposits are also called fare weather friend.

Preference share: The capital raised by issue of preference shares is called
preference share capital. They receive dividend at a fixed rate. Though the
preference share capital is also a part of owner’s capital but they do not
have voting right. Actually, preference shareholders are like creditors. Long
term and short term need of the company can be met by preference
shares.
Preference shareholders have a preferential claim over dividend and
repayment of capital.
Features of preference shares:
1. Preferential right: - Preference shareholders have pre-right over equity
shareholders to claim their dividend and capital.
2. No charge on assets: - The Company does not need to mortgage its
assets for the issue of preference shares. Preference share have no charge
against the properties of company.
3. Control: - It does not affect the control of equity shareholders because
they have no voting right.
4. Fixed dividend: - They get dividend at fixed rate. So, they are useful for
that investor who want fixed rate of return at low risk.
5. Costly sources of funds: - Rate of preference dividend is greater than
rate of interest on debenture, for a company it is costly source of funds
than Debentures.
6. No tax saving: - Preference dividend is not deductible from profit for the
calculation of income tax. Therefore, there is no tax saving.

34 Ways to fund start-ups


1. Boot Strapping: Boot strapping is the self-financing by the promoters
from their personal savings and resources. It is considered as the first
funding option as this is the finance by which an entrepreneur starts his
business. At later stage, investors consider it your strength. However, it is
a good funding option only if the initial requirement is small and handy.
2. Crowd funding: It is the pooling of resources by a group of people for a
common goal. Under crowd funding funds are collected from a large
number of people through public platform by giving detailed information
about the start-ups. This platform helps start-ups or small businesses to
meet their funding requirements.
3. Angel investment: Angel investors are individuals with surplus cash who
have keen interest to invest in upcoming start-ups. They also offer
mentoring or advice alongside capital.
4. Venture capital: There are professionally managed funds which are
invested in companies that have huge potential. It is also called risky capital
as it is invested in new ventures. Venture capitalists also provide many
expertise services and evaluate the sustainability of business idea.
5. Business Incubators and Accelerators: Incubators provide funds for
start-ups at early stage to nurture the business, whereas accelerators help
the start-ups to run or to take a giant leap in business.
6. Microfinance and NBFCs: Microfinance is a category of financial services
that target at individuals and small business who are not capable to access
the conventional banking or who have not qualified for a bank loan.
