COMPANY LIMITED BY GUARANTEE AND NOT HAVING SHARE CAPITAL

MEMORANDUM OF ASSOCIATION

OF

RELIANCE FOUNDATION INSTITUTION OF EDUCATION AND RESEARCH

I. The name of the Company is “RELIANCE FOUNDATION INSTITUTION OF EDUCATION AND


RESEARCH”.

Il. The Registered Office of the Company will be situated in the State of Maharashtra ie.
within the jurisdiction of Registrar of Companies, Maharashtra at Mumbai.

lll. (A) THE OBJECTS FOR WHICH THE COMPANY IS ESTABLISHED ARE:

1. To promote, encourage, support, assist, aid educational, research and medical activities
and establish, promote, open, found, acquire, run, maintain, manage, operate,
support, aid, help or assist schools, colleges, university(s), or any other institution or
similar and related facilities for research and education, in such branches or fields as
may be deemed fit, including commerce, science, law, medicine, paramedical,
engineering, economics, industrial, management, civil, literature, arts, craft, technical,
sports, or such other branch of research and education, in India or elsewhere, directly
or indirectly, at pre-primary, primary, secondary, undergraduate, post-graduate,
doctoral, post-doctoral, vocational or any other level, for advancement and
dissemination of knowledge and promotion of innovations and technology
development in diverse disciplines or fields or streams and award degrees, diplomas
and other academic distinctions, and to promote, encourage, support, assist, aid and
advance medical activities, including healthcare activities, research and education, and
to collaborate, affiliate and/or enter into other arrangements with other universities,
institutions, organisations, associations, hospital or other bodies in India and abroad for
the cause of promoting education, research and medical activities.
2. To initiate, undertake, carry on, engage in, promote, assist, encourage, aid, support,
conduct research, developments, experiments, investigations, inquiries, studies,
projects, analysis, examinations, surveys and test of all kinds including, but not limited to
those related to economic, agricultural, medical, industrial, mining, technical and
scientific problems and matters in India and elsewhere and to apply and receive the
aids, grants, assistance, contribution, fees, other incomes, support from any
governmental and non-governmental organization(s) and other institutions, individual(s)
or entity(ies) for pursuing any of the objects and activities of the Company.

The objects of the Company shall be carried out with the requisite permissions under
applicable laws and regulations and the Company shall apply its profits, if any, in
promoting its objects.

(B) MATTERS WHICH ARE NECESSARY FOR FURTHERANCE OF THE OBJECTS SPECIFIED IN
CLAUSE Ili(A) ABOVE ARE:

3. To establish, open, found, acquire, construct, furnish, equip, promote, build, organize, and
run, maintain, manage, operate, support, aid, help or assist institutionsand/or
facilities for education, research and medical activities in India or elsewhere.

4. To establish, promote, open, found, acquire, run, maintain, manage, operate, support,
aid, help or assist hospitals, dispensaries, nursing homes, health centers,
maternity homes, laboratories, mobile health vans, ambulances, convalescent homes,
sanitariums, hostels or any other similar or related facilities, institution, organization,
association or body, engaged in undertaking, rendering or providing medical facilities, for
treating any ailment, illness, disability, disorder or disease and/or promoting research and
education, providing relief and/or aid to the suffering humanity and to give assistance
to such hospitals, dispensaries, other similar initiatives by way of financial assistance
including, endowments, donations, grants, contributions, gifts or such other means
and further to equip such hospitals, dispensaries or other such facilities/amenities with
all the necessary furniture, fixtures, fitting beds, equipments, apparatus, appliances,
machinery and things and to support any associations, institutions for developing health
Management system including a model for technology driven health care connecting any
hospital with such associations or institutions.

5. To acquire on lease, sublease, concession, gift, grant, purchase, barter, hire, exchange,
licence, or otherwise, either absolutely or conditionally and either alone or jointly with
others land, building, machinery plants, works and other movable and immovable property
of any description and any patents, trademarks, concessions, provisions, privileges and
other rights or privileges, necessary or convenient for the purposes of the Company and to
construct, erect, alter, repair, maintain or demolish any buildings or works, other
properties, necessary or convenient for the purpose of the Company and to manage,
develop, sell, let, lease or for hire, dispose off, mortgage, gift or otherwise dispose of or

turn to account the same, at such time or times and in such manner and for such
consideration as may be deemed proper or expedient.

To promote and develop centres for sports and sporting activities and encourage talent
thereto and provide fields, grounds and other facilities and amenities including coaching
and training facilities in developed and developing areas of the country and to promote
and organize activities such as bird watching, trekking, mountaineering, hunting, archery,
camping, fishing, rock climbing and all other indoor and outdoor sports and recreational
activities, and to invest in, establish, support, construct, furnish, equip, promote, build,
organize, manage and run various sports facilities for recreation, research, education,
training of sports persons, students and others and for overall promotion of sports.

To establish, encourage, own, promote, subsidize, provide, maintain, organize,


undertake, manage, build, construct, equip, modernize, develop, operate, conduct and to
run in any part of India or elsewhere mobile libraries, libraries, reading rooms, book
banks and other similar places for lending books, magazines, video cassettes, audio
cassettes, micro films, photographs, encyclopedias, news cuttings and other publications
on membership, periodical fees to members, organisations, institutions or public at
large and to do all such other acts and things which are necessary for the attainment of
the aforesaid objects.

To develop, design, acquire by concession, grant, purchase, barter, hire, licence, or


otherwise and operate nationwide state-of-the-art computer communication
infrastructure with international connectivity directed towards research and
development, advancement of knowledge, create and host content, express
creative and academic potential via Intranet and Internet, peer to peer connectivity
among educational and research institutions in the country and the world and make
available the communication infrastructure to users of academic, research and
development institutions and other individuals or organisations.

To enter into any arrangement with any Government or authorities such as municipal,
local or otherwise or any persons or entities for the attainment of the Company's
objects or apply for, promote and obtain from any such Government, authority, person
or entities any approvals, permissions, rights, privileges, licenses and concessions which
the Company may think necessary or desirable to obtain for enabling the Company to
carry on any or all of its objects.

10. To undertake, collaborate or affiliate with any institutions, trusts, or any other bodies in
India and abroad for establishment and running of educational institutions in different
disciplines to provide higher education and research, award degrees, institute awards and
fellowships, provide scholarships for education and research, organize conferences and
seminars, provide vocational education and any other activity related to promotion of
higher education.
11. To enter into contracts, agreements, partnerships, joint ventures, and any other
arrangements, union of interest, reciprocal concession or co-operation, including those for
foreign collaboration, with any other person, firm, company or body corporate for carrying
out directly or jointly with any person, firm, company or body corporate, any activities
for the furtherance of the objects of the Company and also to pay for any properties,
rights or privileges acquired by this Company in cash or otherwise.

12. To collaborate and co-operate with educational or other institutions in any part of the
world by exchange of teachers and students and generally in such manner as it may deem
fit.

13. To participate in and /or promote professional bodies and institutions in the country and
abroad and to furnish educational, developmental and any other material to students,
apprentices, articles and others in educational institutions, organizations, corporations
and other establishments.

14. To grant such certificates or recognitions as the Company may prescribe or deem fit from
time to time and to grant stipends, scholarships, grant aid, medals, prizes, grants, awards,
educational career support and other incentives or monetary assistance or otherwise to
deserving students or otherwise to whomsoever for the purposes of advancement of
knowledge, education and research.

15. To arrange and/or provide money or financial assistance to the students, researchers,
consultants and faculty members, for the purpose of learning and education with or
without security, through banks, financial / venture capital institutions, corporate, non-
corporate bodies on such terms and conditions as the Company deems fit.

16. To develop patterns of teaching and to conduct general and customized educational and
training activities for users and others through classroom and distance learning modes
and to carry out/guide research leading to degrees.

17. To establish, promote, open, found, acquire, create, provide, run, operate, manage,
maintain, support, aid, help or assist research facilities, research institutes, laboratories,
experimental stations, workshops or other similar or related facilities for carrying on
research, basic and applied, in all systems and disciplines and to encourage and develop
innovation and technology development.

18. To award, fund, aid, support research, surveys, studies, technology development,
consultancy and other such projects to students, faculties, other institutions,
organizations and companies in furtherance of the objects and to invite experts in the
field from within and outside the country for advice, guidance and participation in
specific assignments.
19.To encourage the discovery of new technologies, innovations, methods, processes,
including for medical and/or surgical management of diseases and afflictions and to
investigate and make known the nature and merits of investigations and findings and
research and to acquire any patents, copyrights, and licences or other protective devices
relating to the results of any discovery, development, investigations, findings or researches
and to acquire any processes upon such terms as may seem expedient and to improve the
same and to undertake the manufacture of any product developed, discovered or
improved and/or to give licences for the manufacture of the same to others and either to
market the same or to grant licences to others to market the same on such terms as the
Company may deem it fit to do.

20.To provide, encourage, initiate or promote facilities for the discovery, improvement or
development of new methods of diagnosis, understanding and prevention and treatment
of diseases.

21.To institute stipends, scholarships, associateships and fellowship to students and


individuals and to carry out research, innovation, demonstration, field trials and pilot
production of technology, products and services developed in-house or in collaboration
with other educational and research institutions.

22. To apply for, purchase, license or otherwise acquire, and protect and renew in any part
of the world any patents, patent rights, trade marks, designs, licences, concessions, and
the like, conferring any exclusive or limited right to their use, or any secret or other
information as to any invention which may seem capable of being used for any of the
purposes of the Company, or the acquisition of which may seem calculated directly or
indirectly to benefit the Company, and to use, exercise, develop, or grant licences in
respect of, or otherwise turn to account the property, rights or information so acquired,
and to expend money in experimenting upon, testing or improving any such patents,
inventions or rights.

23. To search for and to purchase, protect, prolong, renew or otherwise acquire from any
Government, state or any other authority/entity any patents, protection, licences,
concessions, grants, decrees, rights, powers and privileges whatsoever which may seem
to the Company capable of being turned to account to work, develop, carry out exercise
and turn to account the same.

24. To undertake publications in the form of journals, magazines, newsletters, books, papers,
periodicals, monographs, pamphlets, leaflets, posters and other literature either on paper
or in electronic mode or otherwise and to carry on or arrange for all kinds of surveys,
compilations, collection of data, information, statistics, survey reports and any other kind
of information and to disseminate such information in a manner as may seem conducive to
any of the objects of the Company.
25. To publish, print, generate, produce, procure, and distribute / sell research papers,
research magazines and educational materials including books, toys, computer software,
hardware peripherals, games, teaching-learning aids and any materials that may be
useful in educational activities.

26. To acquire, establish, maintain, disseminate and manage information to achieve the
objects of the Company and to establish and maintain provident and other funds for the
benefit of the employees or for the purpose of the Company and to employ and discharge
staff for the purpose of the Company.

27. To accept remuneration for consultancy, design, development, technology transfer,


providing services or any related activity in the country as well as abroad and to apply for
registration of patents and copyrights to protect intellectual property rights for the
products and services developed by the Company by itself or in collaboration with
others and benefits from such activity(ies) shall be used for promoting the activity(ies) of
the Company

28. To engage, recruit, hire or otherwise avail services of various full time or part time
professionals, professors, teachers, other faculty members, doctors, nurses, technicians,
administrative staff, other experts, any other personnel required for setting up, operating,
running, managing and maintaining schools, colleges, universities, institutions, hospitals
and other medical, education and research facilities of the Company and to remunerate
them as it deems fit.

29. To teach, train, educate, hold group discussions, organise seminars, contests,
competitions, study circles, workshops, courses, symposiums and exhibitions in India or
outside India, to popularize, promote, carry on and further the object of the Company
and to train or pay for training in India or abroad of any of Company’s employees or
officers or others in the interest of or furtherance of the Company’s objects.

30. To lend or make available the services of such professionals, professors, teachers,
technicians, experts and other personnel wherever and whenever their services are
required and to remunerate them to promote the objects of the Company.

31. To decide on tuition fees, subscription, membership charges and other fees and charges.

32. To appeal, solicit, receive or accept grants, loans, fees, subscriptions, donations, gifts,
endowments, or any other contribution either in cash or in any other forms, from any
person in furtherance of all or any of the objects, or for providing for the expenses of the
Company.
33.To invest and/or retain the investment(s) and properties out of accumulated
income/other funds of the Company and/or received as donations either in the shape
of the shares or securities or other form of movable or immovable properties and to
permit the same to remain in the actual state as the Company may think fit and at any
time or times to sell, call in or convert into money the aforesaid investments or any of
them or any part thereof and with a power to change or vary any investments for the
time being forming part of the assets.

34. To act as a venture capitalist and to invest in creative opportunities and initiatives.

35. To purchase, hire or otherwise, acquire all or any part of the undertaking or property
and assets of any other such person, firm, company or corporation carrying on similar
activities and agree to discharge their liabilities and to conduct, carry on or liquidate all
or any of such activities.

36.To establish or promote or concur in establishing or promoting any company or


companies or other legal entities for the purpose of acquiring all or any of the
properties, rights and liabilities of the company and to subscribe for or otherwise
acquire, all or any part of the shares, debentures or other securities of such other
company.

37. To acquire, undertake or takeover the whole or part of the activities or all or any part of
the property/assets and liabilities and goodwill of any person or company carrying on or
proposing to carry on any activities which the Company is authorised to carry on or
which can be carried on in conjunction therewith or otherwise.

38.To provide grants, aid and financial assistance to non-governmental organizations,


civic groups, citizens groups, community associations, cooperatives and other grassroots
organizations or government or other private organizations to achieve objects of the
Company.

39. To insure the whole or any part of the property of the Company either fully or partially
to protect and indemnify the Company from loss, damages, risks and liabilities of all
kinds or in any respect either fully or partially and also to insure and to protect and
indemnify any part or portion thereof either on mutual principle or otherwise.

40.To sell, demerge, improve, manage, develop, exchange, lease, rent, mortgage
enfranchise, abandon, dispose of, turn to account or otherwise deal with all or any part
of the rights, properties, assets or undertaking of the Company, or any part thereof for
such consideration as the Company may think fit and in particular for shares, stocks
debentures and other securities of any other company having objects altogether or in
part similar to those of the Company.
41. To establish, develop, promote franchise, coaching, training centers in India or abroad
for conducting workshops, seminars, and classes in furtherance of the objects of the
Company.

42, To invest surplus money lying with the Company in securities including debentures,
debenture-stocks, bonds, any other money market instruments, subject to the
provisions of the Companies Act, 2013 read with rules thereof.

43. To apply for tender, purchase or otherwise acquire any contracts, sub-contracts, licences
and concessions for or in relation to the objects or activities herein mentioned or any of
them, and to undertake, execute, carry out, dispose of or otherwise turn to account the
same.

44, To pay all preliminary expenses of any company promoted by the Company or any
company in which the Company is or may contemplate being interested.

45, To create any depreciation fund, reserve fund, sinking fund, insurance fund, educational
fund or any other special fund or reserves whether for depreciation or for repairing,
improving, extending or maintaining any of the properties of the Company for any other
purposes conducive to the interest of the Company.

46. To establish and maintain or procure the establishment and maintenance of any
contributory or non-contributory pension or superannuation funds for the benefit of and
give or procure the giving of donations, gratuities, pensions, allowances or emoluments
to any persons, not being members, who are or were at any time in the employment or
service of the Company or who are or were at any time Directors or officers of the
Company and the wives, widows, families and dependents of any such persons, and also
to establish and subsidise and subscribe to any institutions, associations, clubs or funds
calculated to be for the benefit of or to advance the interests and well-being of the
Company and make payments to or towards the insurance of any such person as
aforesaid.

47. To guarantee the payment of money secured or unsecured by or payable under or in


respect of promissory notes, or any other obligations, instruments and securities of any
company or any authority, supreme, municipal, local or otherwise or of any person
howsoever, whether incorporated or not incorporated and generally to guarantee or
become sureties for the performance of any contracts or obligations, in relation with the
activities of the Company.

48. To advance money to such persons or companies, corporations or firms providing


services to the company for furtherance of objects of the company on such terms as may
seem expedient in the interest of the promoting main object of the Company.
49. To borrow or raise money or avail other credit facilities on the security of the assets of
the Company or otherwise and to draw, make, accept, discount, execute, or issue bills of
exchange, promissory notes, bills of lading, other negotiable instruments, warrants,
debentures or securities, listed or otherwise.

50. To enter into negotiations with and enter into arrangements and contracts and conclude
the same with foreign and/or Indian parties and other persons for obtaining by grant,
licence and/or on other terms, formulate and other rights and benefits and to obtain
technical and engineering information, assistance, and service, know-how, and expert
advice for furtherance of the objects of the Company.

51. To do all and everything necessary, suitable or proper for the accomplishment of any of
the objects, either alone or in association with other corporate bodies, firms or
individuals and to do every other act or acts, thing or things incidental, conducive or
appurtenant to or growing out of or connected with the aforesaid objects or any part or
parts thereof and to exercise all or any of its corporate powers, rights and privileges and
to carry on its objects in all or any part of the Union of India and in any or all State,
territories, possessions, colonies and dependencies thereof.

52. To establish franchise in India and elsewhere and regulate and discontinue the same and
to establish branches or appoint agents, representatives, or other persons in or outside
India for or in connection with any of the objects of the Company and in particular in
relation to the investment of money, sale of property and to become member of,
promote or co-operate with any other persons, associations and institutions having
similar object or objects.

53. To organise in any part of India or abroad talents, events, competitions, tournaments
and related activities for furtherance of the objects of the company as also to appoint
referees/ arbitrators or such other consultants or advisors in relation to any disputes
affecting the activities of the Company.

54. To open, operate and close any type of bank accounts with the Bank and obtain banking
facilities/amenities with or without securities for its activities for furtherance of its
objectives of the Company.

55. To adopt such means of making known and advertising the activities and objects of the
Company as may be expedient and to undertake corporate social responsibility
programme as per policies of the Government under Companies Act 2013, on behalf of
other companies.

56.To undertake, fund, aid, support, promote various corporate social responsibility
programmes and initiatives.
Provided that the Company shall not support with its funds, or endeavor to impose on, or
procure to be observed by its members or others, any regulation or restriction which, as an
object of the company, would make it a trade union.

IV. The objects of the company shall extend to the whole of India.

V. (i) The income and property of the Company, whenever derived, shall be applied, solely for
the promotion of its object(s) as set forth in this Memorandum of Association.

(ii) No portion of the income and property aforesaid shall be paid or transferred, directly or
indirectly, by way of dividend, bonus or otherwise by way of profit, to persons who, at any
time, are, or have been, members of the Company, or to any one or more of them or to
any person claiming through any one or more of them.

(iii) No remuneration or other benefit in money or money’s worth shall be given by the
Company to any of its members, except payment of out-of-pocket expenses, reasonable
and proper interest on money lent, or reasonable and proper compensation on premises
let to the Company.

(iv) Nothing in this clause shall prevent the payment by the company in good faith of prudent
remuneration to any of its officers or servants (not being members) or to any other
person(not being member), in return for any services actually rendered to the Company.

(v) Nothing in clauses (iii) and (iv) shall prevent the payment by the Company in good faith of
prudent remuneration to any of its members in return for any services(not being services
of a kind which are required to be rendered by a member), actually rendered to the
Company.

VI No alteration shall be made to this Memorandum of Association or to Articles of


Association of the Company, which are for the time being in force, unless the alteration
has been previously submitted to and approved by the Registrar of Companies.

VII. The Liability


of Members is limited.

VIIl. Every Member of the Company undertakes to contribute:


(i) to the assets of the Company in the event of its being wound up while he is a
Member, or within one year after he ceases to be a Member, for payment of the debts
and liabilities of the Company or of such debts and liabilities as may have been
contracted before he ceases to be a Member; and
(ii) to the costs, charges and expenses of winding up (and for the adjustment of the
rights of the contributories among themselves), such amount as may be required, not
exceeding the amount specified against their names (in case of subscribers to the
Memorandum of Association) in the subscription clause of the Memorandum of
Association and in case of other Members such amount as may be agreed to by them
which shall not be less than Rs. 5,000 (Rupees Five Thousand) per Member and not
greater than Rs.1,00,00,000/- (Rupees One Crore) per Member.

IX. True accounts shall be kept of all sums of money received and expended by the Company,
and the matters in respect of which receipt and expenditure take place, and of the
property, credits and liabilities of the Company, and subject to any reasonable restrictions
as to the time and manner of inspecting the same that may be imposed in accordance with
the regulations of the company for the time being, the accounts shall be open to inspection
of the members. At least once in every year, the accounts of the Company shall be
examined and correctness of the Balance Sheet and Income and Expenditure account
ascertained by one or more qualified auditors.

If upon a winding up or dissolution of the company, there remains, after the satisfaction of
all the debts and liabilities, any property whatsoever, the same shall not be distributed
amongst the members of the company but shall be given or transferred to such other
company having objects similar to the objects of this company, subject to such conditions
as the Tribunal may impose, or may be sold and proceeds thereof credited to Insolvency
and Bankruptcy Fund formed under Section 224 of the Insolvency and Bankruptcy Code,
2016 or any amendments/modifications thereof.

XI. The Company can be amalgamated only with another company registered under section 8
of the Act and having similar objects.

subscribed are desirous of being formed into a company not for profit, in pursuance of this
Memorandum of Association.
