INSTRUCTIONS TO THE TENDERER

(DOCUMENTS TO BE SUBMITTED ONLINE WITH THE OFFER)

1) Last Three financial year Experience Certificates should have minimum

i) One work order / contract (denotes executed only) equivalent to at least 20% of
the estimated cost of the tender or
ii) Two work orders / contracts (denotes executed only) together equivalent to at
least 25% of the estimated cost of the tender or
iii) Three work orders / contracts (denotes executed only) together equivalent to at
least 30% of the estimated cost of the tender.

To prove the experience the certificate for satisfactory completion of the work
issued by the authority not below the rank of Executive Engineer consisting of 1)
work order / LOA number 2) Scope and value of the work completed etc. shall be
submitted in the technical bid.

2) Valid Insurance copy & passing certificate of vehicle.

3) Valid Fitness Certificate & PUC certificate

4) Valid copy of permit

5) Proof of payment of tender fees & the Earnest Money Deposit.

6) PAN Card copy. The Income Tax Clearance certificate or copy of

Income Tax returns filed for the last 3 financial year.

7) Registration Certificate for at least Two heavy vehicles for

transportation of transformers and materials with T & P in the
name of Owner
8) Copy of Lease deed from sub registrar office along with all above documents ( in
case if bidder hiring the vehicle from other agency)

9) Copy of GST REGISTRATION.

10) Average annual Turnover certificate & copy of P/L account and
Balance sheet for last 3 financial year.

11) C.A. Certified Networth Certificate

GENERAL TERMS AND CONDITIONS :-

1. This is a online Two Bid tender. The schedule of work & estimated cost as

Mentioned is purely tentative & may vary as per the actual requirement on
side. If the prospective bidders have any query lies for any clause or term or
specification same should be brought to notice of the tender calling authority
that is EE, In written before pre-bid meeting. The objections/queries received
after due date of the pre-bid meeting will not be considered. The decision of
undersigned will be final & binding on all the bidders.
2. Tender must be submitted in original and without making any addition,
alteration & as per details given in other clause mentioned in Tender
document. The requisite details should be filled in by the Tenderer wherever
specified in the Tender Document.
3. The Tenderer should quote the rates of each items mentioned in the schedule
attached with the Tender with inclusive of all taxes, EPF/ ESIC etc. The rates
quoted for extra item other than schedule enclosed by any tenderer will not be
considered.
4. The rates shall be valid for entire period.
5. All entries in the Tender should be in ink. Erasing & over writings are not
permissible. No corrections & insertions should be initiated by the tenderer.
6. The tender should accompany with a list of contracts already executed by the
contractor at the time of submission of tenders.
7. The rates shall be quoted in figures as well as in words and shall be signed
by the person or persons duly authorized to sign on behalf of the tenderer.
The person or persons signing the bid shall initial all pages of bid. If any
discrepancy is observed between the amount in figures & in words, the
amount whichever is lower will govern.
8. The contractor who fails to starts the works within the schedule time and date
will be liable to forfeit of the earnest money deposit or security deposit paid in
addition to the compensation to the MSEDCL as per the terms & conditions of
the contract.
9. If it is found that quality of works as well as performance is unsatisfactory, the
contract is liable for termination without giving any notice and at the entire risk
of the contractor. The security deposit paid in cash shall be forfeited. The
entire work under this contract would be subject to general conditions of
contract for work and terms and condition of contract stipulated therein would
be binding on contractor.

10. The contractor should not entrust the work on subcontract or transfer on
assign the contract or any part thereof to any third party in case if it is not

Followed it will be treated as break of contract and will be terminated at

contractor's risk & cost.
11. The entire work under this contract would be subject to general conditions of
contract for work and terms and condition of contract stipulated therein would
be binding on contractor.
12. The contractor should have his own man power, tools and tackles required to
carry out the job. The workers employed for the job should be conversant with
the work. In case of any accident to his worker the total responsibility lies with
the contractor.
13. In case of damage to the MSEDCL's material/theft inappropriate cost of the
same will be recovered from the contractor.
14. The work shall be carried as and when allotted by the concerned division. The
completion period of ascertained work will be decided by the concerned
Executive Engineer.
15. All the works shall be carried out as per the specification and as General
method of construction approved and adopted by the MSEDCL. All MSEDCL
general rules will be binding on you please note.
16. The contractor will have to start the work as per instruction of E.E. concerned
or his authorized representative after getting the order from this office and
completion of formalities.
17. If any defects observed during the inspection the same is required to be
rectified by the contractor at his own cost
18. In case the work is not fully carried out by the contractor the MSEDCL will get
done the work through some other parties at high rates also and difference of
rates should be recovered from the contractor's bills who fail to execute the
order or the E.M.D. / S.D. etc will be forfeited.
19. The bills should be submitted through the Junior Engineer (FU) or Additional
Ex. Engineer (Manchar Division) duly endorsed to Executive Engineer,
Manchar in triplicate for the payment after completion of complete work to this
office. The bill will be paid by RTGS/NEFT only as early as possible after
receipt of bill along, with M.B. to this office, subject to availability of funds.
20. The contractor shall not entitled to claim any interest, any arrears or upon and
balance which may be found due to him at any time.

21. The Income tax & work contract tax and Service Tax, if applicable as per
prevailing rate will be deducted from the bills.
22. Period of Contract: Initially the period of contract will be for one year or

Completion of order value whichever is earlier.

23. You are also deemed to be fully aware of Company's General terms
conditions of works contract, and any ignorance of these terms and conditions
will be not be accepted since sub-station area is declared as prohibited area
by the Company it is necessary to take me prior permission from the work In
charge for entry etc. The safety of your personnel executing the work shall be
fully confirmed prior to undertaking the work and responsibility of safety for
your staff /persons shall lay with you.
24. You will be totally responsible for the safety of your persons while at work
either at Sub-station or on HT /LT lines or on road and Company will not be
responsible for any damage to your vehicle, material manpower etc.
25. No accommodation will be provided to you or to your persons by Company.
26. No T&P labours, crane any other relevant equipment will be provided by the
Company. Therefore, the same will be arranged by you.
27. Amount / Amounts due on account of damage or transportation delay or
default or breach of contract, the right to recover-retain or withheld the same
is reserved by the Company. Any type of compensation / damage etc. to your
labour or persons due to any accident etc. will have to be paid by you and
Company will not be responsible for the same.
28. All necessary precautions should be taken while carrying out the work so as
to reach the material safely at substation or store or site. In case of any
damage to the MSEDCL's material/theft inappropriate cost of the same will be
recovered from the contractor.
29. The contractor shall have to complete the work within 02 days from the
intimation from this office or authorized representative of this office for each
s/stns. If in case the contractor fails to carry out the work in stipulated time.
Penalty @ ½ % per delayed day for the delayed period will be charged
maximum up to 10% of the value of the contract order.
30. The contractor shall have to give the account of material for the material
issued to him time to time for transportation. If any material is found short
utilized than issued it is required to be returned otherwise recovery will be
made from the bills as per the MSEDCL’s rules.
31. The contract or any parts thereof shall not subject to change without the
permission of accepting authority or his authorized representative.

32. Earnest Money Deposit: - The contractor will have to pay E.M.D. at the rate 1
% of Tender value, as mentioned, to this office in the form of Cash/ Online/

BG/ D.D. drawn of any Schedule / Nationalized bank in favor of Executive

Engineer O&M Manchar MSEDCL, Division payable at Manchar Tenders
without payment of EMD shall not be considered and will be liable for
rejection.
33. The Tenderer shall have to pay the security deposit in terms of performance
guarantee amounting @ 10% of the value of the order within seven days from
the date of receipt of the LOA/order and before starting the work in from of
DD/Cash/BG The same will be refunded after completion of guarantee period.
Security Deposit will be interest free.
34. e-tender must be uploaded along with scanned attested Xerox copies of
documents should be submitted.
35. The price Tender should be submitted on line. Multiple quoted prices will not
be accepted. The tender will be finalized after the evaluating the documents
no additions/corrections/submission of documents after the bid submission
will be allowed. However for any error observed with a difference in the rates
quoted in the figures, words the lowest rates quoted in the figures & words will
govern.
36. If any discrepancy/objection found in the Tender documents regarding
specifications etc, should be brought to the notice of this office before up
loading of Tender in writing. No objection will be allowed/ entertained once
the bids are uploaded. The decision of undersigned will be final & binding on
all tenderer.
37. In case of any conflicting instructions or in difference of opinion on any point
or in case of dispute about the contract/work order, the decision of the
undersigned will be final & binding on successful bidder.
38. The contractor will have to execute and sign an agreement as per rules of
MSEDCL on the stamp paper of Rs.-200/- and will have to bear the stamp
duty within 7 days from the date of receipts of LOA/WO
39. The details of works to be carried out will be given by concerned Additional
Executive Engineer Manchar Division or his representatives.
40. The terms and conditions mentioned in the tender notice published in News
papers is applicable to this Tender.
41. The undersigned reserved the right to accept or reject any parts or all tenders
without assigning any reason & to make any alteration / modification if
necessary Further the undersigned reserves the right to bifurcate the tender
order & work to more than one contractor. No objections in this regard will be
entertained by this office.

42. Arbitration.
All disputes & difference of any kind whatsoever arising out of or in
connection with the contract, whether during the progress of the work or after
its completion & whether before or after the determination of the contract,
shall be referred by the contractor to the E.E. & E.E. shall (within 120 days)
after receipt of the contractor's representation make & notify decisions of all
matters referred to by the contractor in writing.
i. Demand for Arbitration:
In the event of any dispute or difference between the parties hereto as
to the construction or operation of this contract, or the respective
rights & liabilities of the parties on any matter in question, the dispute
or difference on any account or as to the withholding by
MAHARASHTRA STATE ELECTRICITY DISTRIBUTION COMPANY
of any certificate to \which the contractor may claim to be entitled to,
or if the E.E. fails to make a decision (within 120 days) then an in any
such case, the contractor (within 120 days) but within (180 days) of his
presenting his final claim on disputed matters, shall demand in writing
that the dispute or difference to be referred to arbitration.
ii. The demand for arbitration shall specify the matters, which are in
question, or subject of the dispute or difference as also the amount of
claim item wise. Only such dispute(s) or difference (s) in respect of
which the demand has been made, together with counter claims or set
off shall be referred to arbitration & other matters shall not be included
in the reference.
a. The arbitration proceedings shall be assumed to have commenced
from the day, a written & valid demand for arbitration is received by
the Company/ company.
b. The claimant shall submit his claim stating the facts supporting the
claims along with all relevant documents & the relief or remedy sought
against each claim within a period of 30 days from the date of
appointment of the Arbitral Tribunal.
c. The Company shall submit its defense statement & counter claims, if
any within a period of 60 days of receipt of copy of claims from the
Tribunal thereafter unless otherwise extension has been granted by
the Tribunal.

d. No new claim shall be added during the proceedings by either party.

However, a party may amend or supplement the original claim or

defense thereof during the course of arbitration proceedings subject to
acceptance by Tribunal having due regard to the delay in making it.
e. If the contractor(s) does/ do not prefer his / their specific and final
claims in writing, within period of 90 days of receiving the intimation
from the Company, that the final bill is ready for payment, he / they will
be deemed to have waived his / their claims(s) & the Company shall
be discharged & released of all liabilities under the contract in respect
of these claims.
43. Obligation during pendency of Arbitration:
Work under the contract shall unless otherwise directed by the Engineer,
continue during the arbitration proceeding, & no payment due or payable by
the Company shall be with held on account of such proceedings, provided,
however it shall be open for Arbitral Tribunal to consider & decide whether or
not such work should be continued during arbitration proceedings.
a. In case where the total value of all claims in question added together
does not exceed Rs. 1.00 crore (Rs. One crore) the Arbitral Tribunal
shall consist of a Sale Arbitrator who shall be either the E.E. of the
Company or serving or retired officer of the Company I Government
not below the grade of S.E. or equivalent nominated by the Chairman
of the Company in that behalf. The Sole Arbitrator shall be appointed
within 60 days from the day when a written & valid demand for
arbitration is received by the Company.
b. In cases the value of the claim exceeds Rs. 1.00 crore (Rs. One
crore) as above, the Arbitral Tribunal shall consist of panel of 3
serving or retired officers of MAHARASHTRA STATE ELECTRICITY
DISTRIBUTION COMPANY LTD. Govt. not below the grade of E.E. I
J.M. (F/A) as the Arbitrators. For this purpose, the Company will send
a panel of more than 3 names of arbitrators of one or more
department of the Company / Govt. to the contractor who will be
asked contractor's nominee. The Chairman shall appoint at least one
of them as the contractor's nominee & will also appoint the balance
number of arbitrators either from the panel or from outside the panel
duly indicating the presiding arbitrator from amongst the three (3)
arbitrators so appointed. While nominating arbitrators, it will be
necessary to ensure that one of them is or has worked in Accounts
Department.

c. If one or more arbitrators appointed as above refuses to act as

arbitrator, withdraws from his office as arbitrator or vacates his I their
office I offices or is / are unable or unwilling to perform his functions as
arbitrator for any reason whatever or dies or in the opinion of the
Chairman fails to act without undue delay, the Chairman shall appoint
new arbitrator's to act in his I their place in the same manner in which
the earlier arbitrator's had been appointed. Such reconstituted
Tribunal, may as its discretion proceeds with the reference from the
stage at which it was left by the previous arbitrators (s).
d. The Tribunal shall have powers to call for such evidence by way of
affidavits or otherwise as the Arbitral Tribunal shall think proper, and it
shall be the duty of the parties hereto to do or cause to be done all
such things as may be necessary to enable the Arbitral Tribunal to
make the award without any delay.
e. While appointing arbitrator (s) as above, due care shall be taken that
he then is large not the one I those who had as opportunity to deal
with the matters to which the contract relates or who in the course of
his I their duties as I Company's servant (s) expressed views on all or
any of the matters under dispute or difference. The proceedings or the
Arbitral Tribunal or the award made by such Tribunal will, however not
be invalid merely for the reason that one or more arbitrator had, in the
course of his service, opportunity to deal with the matters to which the
contract relates or who in the course of his their duties expressed
views on all or any of the matters under dispute.
f. Arbitral award shall state item wise, the sum & reasons upon \which it
is based.
g. A party may apply for corrections of any computational errors, any
typographical or clerical errors or any other error of similar nature
occurring in the award & interpretation of specific point of award to
tribunal within 30 days of receipt of the award.
h. A party may apply to Tribunal within 30 days of receipt of award to
make an additional award as to claims presented in the arbitral
proceedings, but omitted from the arbitral award.
i. In case of the Tribunal, comprising of three members any ruling or
award shall be made by a majority of Members of Tribunal. In the
absence of such a majority, the views of the Presiding Arbitrator shall
prevail.

j. Where the arbitral award is for payment of money, no interest shall be

payable on whole or any part of the money for any period till the date
on 'which the award is made.
k. The cost of the arbitration shall be borne equally by the respective
parties. The cost shall inter-alias include fees of the arbitrators as per
the rate fixed Company from time to time. Provided that the fee
payable per arbitrator for claims up to Rs. One Crore, shall not exceed
Rs. 2000/- per sitting subject to a maximum of RS. 25000/- & the fess
payable per arbitrator for claims over Rs. One Crore, shall not exceed
Rs. 2000/- per sitting subject to a maximum of Rs. 50000/-. Provided
further that the arbitrators who are in service of Govt. /
MAHARASHTRA STATE DISTRIBUTION COMPANY shall draw fees
at half of the rates mentioned above.
l. Company shall maintain a list of arbitrators. The Chairman shall have
full powers to delete or add the name of the arbitrators in the list or to
make amendments to the said list as per his discretion. The arbitral
proceedings should be completed & the award be finalized within one
year from the date of appointment of arbitrators. Subject to the
provisions as aforesaid, Arbitration & Conciliation Act 1996 & the rules
there under, & any statutory notification thereof shall apply to the
arbitration proceedings under this clause.
44. Octroi Duty : Material is to be transported outside the Municipal Corporation
limit should be done under the provisions of the Octroi rules and it should be
ensured that no payments of Octroi is required to be paid by MSEDCL by
observing due formalities prescribed by the concerned authorities from time to
time. The Municipal transport charges, if any, shall be borne by the contractor
whenever the vehicles of he transport contractor have to pass through the
pass through any Municipal area to the Consignee's Stores. The contractor
should obtain the necessary import from the concerned stores In Charge/
Consignee and complete the necessary formalities failing which the Octroi
charges are pre payable extra and no exemption or credit facility is granted,
the same will be paid by the company. The contractor shall however furnish
all details of Octroi charges well in advance.
45. Reimbursement:
a) Whenever payable by the Company Octroi Escort /Town duty charges
will be paid by the contractor and same will be reimbursed to him with
the bill payments for this contractor have to submits

separately the details of such payments with the bills.

b) Whenever payable by the Company Freight / Under charges wharf
age demurrage charges up to RS.500 will be paid by the contractor
and same will be reimbursed to him with the bill payments for this
contractor have to submits separately the details of such payments
with the bills.
46. The jurisdiction of this contract is subject to Ghodegaon Court Taluka
Ambegaon only.
47. (Insurance circular IR/A/Insurance/3088 dt.30.01.2014) As per Government of
Maharashtra Resolution referred above, contractor’s all risk (CAR) insurance policy
or Transit cum Erection (TCE). Or Erection all risk (EAR) insurance in respect of
contract works awarded by MSEDCL as principle to the contract work and workman’s
compensation insurance in respect of workmen engaged and deplayed by the
contractor’s to complete contract work, is required to be obtained from the Director of
insurance, the Govt. of Maharashtra; Graha Nirman Bhawan (MHADA), 264, First
Floor, Opp. Kalanagari, Bandra (East) , Mumbai 400051, under direct method or from
the insurance company approved by the Director of Insurance on Co-Insurance cum
servicing basis under indirect method.

Now, with the approval of the Director (Finance) and Director(Projects)

following directives are hereby issued for strict compliance.With Effect from 1st
May 2012, for any Tender/work order issued, the insurance clause shall be
amended/added as under.

A) Ensure that each contractor to whom contract work is awarded by you as

principal is submitting Two separate insurance policies as under issued by specific
notified officers of National Insurance Co. Ltd.

i) C.A.R/E.A.R/TCA policy for full contract period as mentioned in the work order.

ii) W.C. Policy in respect of workmen deployed to complete the contract period as
mentioned in the work order.

B) Ensure that the contractors do not submit insurance policies other than those
mentioned above at A (i) and (ii)

C) Please verify that co-share of the G.I.F @ 40% is mentioned under each and
every policy/ Endorsement issued by specific officers of National Insurance Co.Ltd.

D) If Contractor has not submitted Insurance policy as mentioned above at A(i) and
(ii) then deduct 1 % of bill value from running bill and deposit the said amount to the
Directorate of insurance as stated in your Circular No. IR/Insurance/ 015400 dt
30/05/2013.

48 The Executive Engineer,Manchar Division reserves the right to cancel

the order or part of the order at any time without any notice and assigning
any reason thereof.

1. The rates should be quoted including all charges specified if any

taxes etc.
2. e-tenders should uploaded on or before the due date and time.
3. Any conditional tender may not be considered.
4. The contract will be placed for one year.
5. All T & P's Labours, Vehicles, Fuel, RTO Formalities etc. are to
be arranged by the Agency.
6. Price fluctuations clause will not be considered.
7. All offers shall be kept open for acceptance for 90 days from the
date of opening of the tender.
8. Your tender will not be considered if you fail to furnish all the
information required in the tender form.
9. Tender complete with all the prescribed particulars duly attached
in together with all the necessary documents should be uploaded
to e-tender web site of MSEDCL.
10. The estimated cost & quantity to be transported of this work
contract is approximately. The Company shall reserve the right to
exceed or less the quantities specified in the tender against each
item or increase the period contract.

11. The tender must be accompanied by EMD to be paid either in

Cash or online or BG or D.D. payable at Machar. No other mode
of payment will be accepted.

12. EMD will be refunded as soon as possible after tenders are

finalized and as per availability of Funds. The tender should apply
for refund of EMD after expiry of 120 days from the receipt &
advance stamped receipt. No interest will be paid on EMD.

13. E.M.D. will be forfeited in following cases:-

i) If the Tenderer fails to pay security deposit, if the contract is

placed with him.

ii) If the tenderer is withdrawn before taking decision

regarding his tender by this office.

iii) If the successful Tenderer refuse to sign and complete the

iv) If the contractors fails to execute the contract after issue of

LOI/order.

14. The successful Tenderer has to transport the Company's

Materials / Poles etc. from various store center to Manchar
division Store and also within Manchar Division area, as directed
from time to time.

15. The Tenderer shall also be deemed to have acquainted with the
site conditions which he has to come across while executing the
work. No extra payment or charges will be admissible on any
ground.

16. You are also deemed to be fully aware of Company’s General

terms & conditions of works contract, and any ignorance of these
terms and conditions will be not be accepted as these conditions
are also binding on tenderer since sub-station area is declared as
prohibited area by the Company it is necessary to take the prior
permission from the work In charge for entry etc. The safety of
your personnel executing the work shall be fully confirm prior to
undertaking the work and responsibility of safety for your staff
/persons shall lay with you.

17. While submitted the Tender all details must be clearly filled in &
the rated should be quoted in enclosed proforma in figures as well
as in words. If there is difference in the rates given in words or
figures then the lowest rate will govern. No Scratching &
correction are allowed

18. In case of breakdown of vehicle alternative arrangement of

vehicle will be accepted. But it must be for a limited reasonable
period only. The vehicle should be maintained in fairly good
condition. All the terms will remain the same.

19. Right to accept the e-tender in part is reserved by the Executive

Engineer, MSEDCL, O & M Division Manchar.

20. The competent Authority does not bind himself to accept the
lowest rates and also reserves the right to accept to reject any or
all Tenders without assigning any reasons.

21. The problems of Labour, their loading, Companying, medical aid,

their payment accidental compensation etc. will be entirely at
Contractor's responsibility.

22. Any dispute between the contractor & the Engineer -in- Charge
will be settled by Executive Engineer, Manchar and his decision
shall be final and binding on the contractor.

23. Terms of Payment:-

i) The contractor should submit the bills in triplicate along with

necessary documents / certificates against each requisition
after completion of work by SDO, Dy. EE (M) Manchar
Division or his the representatives.
ii) On the basis of measurements, payment will be made
against each requisition by this office according to the
Company's producer as per the availability of funds.

iii) Income Tax will be deducted from each bill (as per the IT
rules)
iv) The contractor shall not be entitled to claim any interest on
arrears or any balance amount.
v) Measurements of the works carried out will be recorded by
the representative of the Company.

24. Recoveries / dues if any from the contractor shall be recovered

from the bills, in addition to the following deduction -
i) Deduction on account of retention Money.
ii) Penalty in full, if levied.
iii) Expenditure incurred by the Company on behalf to the
contractor in full.
iv) Any other amount from the contractor on any other account
whatsoever.

25. Any risk that will be involved due to non-registration of your firm
laborers / vehicle lives on the part of the contractor.

26. Corrigendum if any will be issued to each tenderer to whom the

Tender documents is issued. Each tender should retain on copy &
submit two copies to this office along with Tender form which
becomes part of the Tender Documents.

27. The Tenderer should enclose the documents showing that he has
previous experience & have successful completed such type of
works for Govt. / Reputed organizations minimum up to Rupees
Two Lakh Fifty Thousand only.

28. Tenderer which does not fulfill any of the above conditions or
incomplete in any respects liable to be rejected.

29 The Tenderer is requested to go through the tender documents

and if he has any doubt regarding meaning of the clauses, he
should sought clarification in writing from this before submitting
the tender.
