THIS AGREEMENT is dated this

Between

XXX , a company incorporated in Malaysia with its registered address at XXX (hereinafter referred to
as the “Company”) of the one part;

And

XXX (hereinafter referred to as the “Staff” or “Faizan Taqi”)

WHEREAS the Company has agreed to appoint (state name) has agreed to accept the appointment
as (state the designation) for (state the name of the Company) to be based at Malaysia, on the terms
and conditions hereinafter contained.

1. Appointment as Safety Specialist

The Company hereby agrees to appoint (state the name) with effect from (state the
commencement date), subject to the terms and conditions hereinafter contained. The
services rendered by the Staff shall subject to a review after the first six (6) months from the
date of this Agreement. In the event the Company does not satisfy with the Staff’s
performance rendered to the Company, the Company shall terminate this Agreement
pursuant to Clause 10 below.

2. Duties of the Safety Specialist

v) Perform additional functions or tasks as assigned by the Company

3. Attention, Skill and Diligence

The Staff is required to devote his time and attention, exercise due diligence, care and skills,
as may be necessary for the discharge of his duties as the Company’s consultant herein
appointed throughout the term of this Agreement until the completion of the services, in
accordance with the terms of reference herein specified, in meeting the requirements of the
Company.

4. Compliance with Statutory Requirements

The Staff shall, from time to time, observe and comply with all the requirements of the
relevant statutes, ordinances, proclamations, orders or regulations, present or future, affecting
or pertaining to the above services rendered, in the course of rendering his services to the
Company.

5. Serving Time

During the continuance of this Agreement, the Staff shall plan and devote his time for the
discharge of his duties as the Company’s consultant herein appointed in accordance with the
terms of reference herein specified throughout the term of this Agreement. The Company
shall have the right to amend the timetable as and when the Company’s deems fit.
6. Non Disclosure of the Company’s Affairs

6.1 The Staff shall not except as authorized by the Company reveal to any person, persons or
company any of the trade secrets or confidential operations processes or dealings or any
information concerning the organization, business, finances, transactions or affairs of the
Company which may come to his knowledge during his tenure hereunder and shall keep
with complete secrecy all information thereby.

6.2 The restriction set out in Clause 6.1 above shall continue to apply even after the
termination of this Agreement.

7. Remuneration

7.1 Subject to the Staff’s compliance of his obligation herein, the Company shall pay the
Staff a total sum of Ringgit Malaysia per month (“Fees”). The parties
hereto have expressly agreed that as the appointment of the Staff as our consultant is on
a contract basis, there shall not be any statutory payments such as the Employee
Provident Fund, Sosco and others payable to the personnel which the Staff send to the
Company under this Agreement and the above Fee shall also be paid to the Staff free of
tax, wherein should any tax is payable by the Staff due to the above appointment as
Company’s Safety Specialist, the Staff shall liable to pay for such tax on his part and
forthwith pay for such tax within the required schedule imposed by the relevant
authorities at your own costs and expenses.

7.2 All such monies shall be paid to the Staff without any deductions or liabilities of any kind,
provided that if any withholding income taxes are payable by the Company, the Company
shall pay all such withholding income taxes from such funds payable to the Staff. The
Company shall provide the Staff with a tax receipt or other relevant document(s)
evidencing each such payment, if required.

8. Applicable Law

This Agreement shall be construed and interpreted according to the Laws of Malaysia and the
parties hereby agree to submit to the exclusive jurisdiction of the courts of Malaysia in all
matters arising out of or in connection with this Agreement.

9. Duration

The appointment herein shall be for a period of two (2) years commencing from ---- and
expiring on ----. The agreement is renewable on yearly basis subject to the discretion of the
Company.

10. Termination

10.1 Either party may terminate the appointment herein by giving to the other party two (2)
months’ prior notice in writing.

10.2 The appointment herein shall be deemed terminated forthwith by the Company
without prior notice on the happening of any of the following events: -

(i) the Staff becoming bankrupt;

(ii) upon the Staff being charged or sued for any offence involving dishonesty or
fraud;
 (iii) upon the Staff committing any material, serious or persistent breach of any of the
provisions herein contained or be guilty of misconduct, willful neglect of the
discharge of his duties and responsibilities herein;

(iv) the death of the Staff;

(v) upon the liquidation or winding-up of the Company (other than for purposes of
reconstruction);

(vi) upon expiry of working permit;

(vii) upon expiry of contract period;

(viii) on ground of illness, disease or injury suffered;

(ix) when the service is no longer required by the Company;

(x) in the event the Staff have failed on the performance review as stated in the
Clause 1 above.

9. No Partnership

The staff is an independent entity. Nothing herein contained is intended to create and
employer-employee relationship or a principal-agent relationship or a partnership between the
parties hereto.

10. Working Permit

The Company shall assist you to apply for working permit and the permit will be borne by the
Company.

11. Air Ticket

You shall be entitled to one economy class return air passage to Pakistan once every half year
on reimbursement basis.

12. Representation & Indemnity

12.1 In the course of carrying out any works and services throughout the term of this
Agreement for the Company, you shall at all times indemnify and keep the Company
indemnified from and against all such claims, demands, actions, losses, damages, costs
and expenses of any nature, which may directly or indirectly be suffered by the
Company.

12.2 You hereby represents and warrants that his entry into this Agreement is not in breach of
and / or restricted by any contract of employment or contract for service between him and
any third party, and agrees to indemnify and keep the Company indemnified against all
claims brought against the Company in the event the Staff is in breach of his
representation herein.

13. Modification

This Agreement may not be altered, varied or modified unless it is in writing and signed by
parties hereto.
14. Notice

Any demand, consent, notice, request or other communications authorized or required to be

made herein shall be in writing and shall be sent by registered post or by email or delivered by
hand to a party at its address herein stated or to such other address as one party may notify to
